Pursuant to Regulation 33 of the Securities and Exchange Board of India [Listing Obligations
and Disclosure Requirements) Regulations, 2015, please find enclosed Un-Audited
Financial Results for the quarter and nine months ended 31st December, 2016 as approved
by the Board of Directors in their meeting held on Tuesday, 14th February, 2017 along with
Statutory Auditors' Limited Review Report.

In the Board meeting held on Tuesday, 14th February, 2017 the Board of Directors has inter
alia has decided as follows:

(i) Preferential issue of 3,00,000 nos. of Warrants convertible into equal number of equity
shares of Rs. 10/- each to Non-Promoter group, having an option to apply for and be
allotted equivalent number of equity shares in the Company on conversion within a
period of eighteen months from the date of allotment (herein after referred as
Warrants), at a minimum price as may be arrived in accordance with the Regulation 76
of Securities and Exchange Board of India (Issue of Capital and Disclosure
Requirements) Regulations, 2009 ("SEBIICDR Regulations"). The same is subject to the
approval of Shareholders by way of Postal Ballot.
