1.0 Project information
1.1 Introduction
Ultra-Construction (PVT) LTD is seeking eligible contractors for the proposed project of the
construction of a wind turbine (hereinafter called the project). Sri Lanka institution of
Information and Technology (SLIIT) is seeking proposals from well experienced and qualified
construction companies that are capable of implementing a Wind Turbine project. SLIIT pays
attention on using renewable energy for fulfilling their power demands and to save an extra piece
of finance. The SLIIT campus intends to supply site improvement, roadway access to the site,
electrical distribution that is needed for machines and other earth mining equipment.
1.1.1 Background
The main task of the project is to build a wind power plant which can generate 1W as the output
voltage. Specifications of the wind power plant, terms and conditions and scope of the work are
mentioned in the chapters to follow. Wind Power Plant can be set up at a single or multiple
locations anywhere in SLIIT. The Developer has to select the location(s) anywhere in the SLIIT,
after ensuring on its own the optimal generation from a given wind regime. The project has 1
wind turbine which is going to use 3 blades, upwind, horizontal axis wind turbine with a rotor
diameter of approximately 0.5 meters. The turbine, rotor and nacelle are mounted on top of a
tubular tower giving a rotor hub height of approximately 3 meters. The nacelle contains the
electrical generating equipment.
This wind turbine project requires a full service consultant with the ability to deliver a wide range
of service including project inspection, quality control, material testing, claims mitigation,
document control, construction management and constructability review.

1.5 Site description
Identifying and securing a suitable site is absolutely essential for a successful construction project
specially a wind mill. By considering necessary criteria such as, strong wind resource, Minimal
wind obstacles, Appropriate zoning for turbines, Minimal environmental concerns Noise and,
stability of wind towers, SLIIT has allocated an appropriate land which accomplishes all those
concerns.
The land is situated in the SLIITs premises. It was selected after our inspection. As we are
the consultation party of this project, we ensure that this site is free of tall trees and buildings as
well as site consists of a solid ground where the ground is dry and hard. That helps wind towers
to maintain a better stability. Another important fact is the wind speed. in allocated area; wind
speed is much better, when comparing to other vacant places in SLIIT premises.

2.2 Withdrawal/Modification of Proposals
Any proposal that is in the possession of Ultra Construction (PVT) LTD may be altered by letter,
bearing the name and signature of the contractors authorized representative, provided it is
submitted before the deadline. Modifications must be clearly indicated on the cover page of the
document to prevent confusion with the original Proposal. Telephone, verbal or electronic
alterations will not be considered.

2.5 Terms and Conditions
1) Ultra Construction (PVT) LTD reserves the right to cancel this RFP at any time, reject any
and all proposals or waive irregularities.
2) Ultra Construction (PVT) LTD shall determine at its sole discretion the value of any and/or
all proposals including price and non-price attributes.
4) Ultra Construction (PVT) LTD may perform an initial screening evaluation to identify and
eliminate any proposals that are not responsive to the request for proposals, do not meet
the minimum requirements set forth in the request for proposals, are clearly not
economically competitive with other proposals, or are submitted by respondents that lack
appropriate creditworthiness, sufficient financial resources, or qualifications to provide
dependable and reliable services.
5) Ultra Construction (PVT) LTD reserves the right to submit follow up questions or inquiries
to request clarification of information submitted and to request additional information
from any one or more of the respondents.
6) Ultra Construction (PVT) LTD may decline to enter into any potential engagement
agreement or contract with any respondent, terminate negotiations with any respondent,
or abandon the request for proposal process in its entirety.
7) Ultra Construction (PVT) LTD reserves the right to make an award to the other than the
lowest price offers or the proposal evidencing the greatest technical ability or other
measure if Ultra Construction (PVT) LTD determines that to do so would result in the
greatest value to Ultra Construction (PVT) LTD and its Member Utilities.
8) Those respondents who submit proposals agree to do so without legal recourse against
Ultra Construction (PVT) LTD, its Member Utilities, their directors, officers, employees and
agents for rejection of their proposal(s) or for failure to execute or act on their proposal
for any reason.
9) Ultra Construction (PVT) LTD shall not be liable to any respondent or party in law or equity
for any reason whatsoever for any acts or omissions arising out of or
in connection with this request for proposals.

10) Ultra Construction (PVT) LTD shall not be liable for any costs incurred by any respondents
in preparing any information for submission in connection with this RFP process or any
and all costs resulting from responding to this RFP. Any and all such costs whatsoever shall
remain the sole responsibility of the respondent.
11) Ultra Construction (PVT) LTD may require certain performance assurances from
respondents prior to entering into negotiations for a proposed project. Such assurances
may potentially include a requirement that respondents provide some form of
performance security.
12) Either Ultra Construction (PVT) LTD or any member utility may respond to, or enter into
negotiations for a proposal. Ultra Construction (PVT) LTD is not responsible or liable for
individual Member Utility interactions with the respondent that are not entirely
contained within Ultra Construction (PVT) LTD option or election to engage the
respondent as defined within the terms and conditions.

2.7 Evaluation of the RFP
University and Consultants will evaluate the proposals submitted based on this RFP. Evaluation
of the RFP will address the business and technical merits related to the requirements. University
will conduct a detailed review and evaluation of the principal company and all entities and/or
organizations participating in providing the services contemplated in this RFP. The evaluation of
proposals has one basic objective: to determine whether the proposer meets the requirements
set forth in this RFP and has the best value proposal.

2.9 Standards
All materials, equipment, and fabrication procedures shall be in accordance with the latest
applicable laws of the Democratic Socialist Republic of Sri lanka, and all local ordinances. In the
case of conflict between standards, the more stringent standards shall apply. All required stamps
shall be affixed to denote conformance to the appropriate codes. Data reports required by the
applicable codes shall be submitted to the University or designated engineer.
Wind Project Developer will provide Wind Turbine Generator, site improvements as need for
construction, foundation(s), tower(s), construction, financing, insurance, maintenance.
Sri Lanka Institute of information Technology will provide 13.2kV to primary side of switch,
low voltage conduit with communications cable or fiber optic, environmental
permitting, a gravel road access to site, utility protective relaying.

2.12 Proposal Submission Procedure
1. The contractor shall submit a proposal that provides all information required by this RFP
in accordance with the minimum requirements specified in the RFP.
The contractors shall submit no more than 2 copies of the proposal along with the original
copy on or before the deadline, i.e. 17th August 2016 at 4.00pm. Any proposals received
after the specified date or ones that do not comply fully with the instructions given in this
RFP will be considered non-compliant.

2. The contractors are expected to examine thoroughly the specifications and instructions
given hereby. Failure to do so will be at the proposers risk.
4. proposal will remain in effect for at least 50 days from the opening date.
5. Expenses incurred in the subsequent processes from preparation of the proposal to site
visits will be the responsibility of the contractor.
6. All documents regarding this project submitted by the contractor will become the
property of Ultra Constructions Private Limited.
7. The successful contractor will be subject to verification of non-fraud and for listing on the
list of debarred contractors/consultants per federal funding
requirements.

2.13 Initial Screening and Final Selection Procedure
1. Ultra Construction (PVT) LTD will evaluate the proposals submitted by prospective
contractors based on the stipulated evaluation criteria.
2. The decision of Ultra Construction (PVT) LTD in the selection process will be the final, and
no further influence from third parties is encouraged.
3. The eligibility of the contractors proposal with respect to the required specifications will
be assessed. Contractors are advised to strictly follow the design specifications
mentioned herein.
4. Any inability to comply with the mentioned design specifications will be a reason for the
rejection of the proposal for further negotiations.
5. Ultra Construction (PVT) LTD has the right to access third parties for the assessment
process of the presented proposals information validity; to be used in the evaluation
process later on.

3.0 Design and performance specifications
3.1 Summary of Work
In this RFP, the vendor has the obligation to specify all the materials and equipment for the Wind
Turbine Generating system just as it is listed below. The work contains delivery of all materials
and equipment to the job site, off-loading, receiving, and proper storage. The minimal equipment
and materials required by this RFP include, but are not limited to, the following major items:
1) Towers, 3 meters high if the Wind Project Developer wishes to propose a different height
tower, this can be done as voluntary alternate. In this case, please provide a separate
mandatory bid sheet, completely filled out with the alternate tower proposed.
2) Canopy
3) Blades
4) Lightning protection
5) Foundations, foundation anchor bolts, bolt sleeves.
6) Warrantees (include scopes, required durations, and acceptable limitations) and/or
maintenance agreement terms. Warrantees shall cover scheduled and unscheduled
maintenance during the warranty period and be offered for a minimum of 1years.
7) All nuts, bolts, gaskets, special fasteners, backing rings, etc., between components
8) and equipment furnished under these specifications.
9) Coupling guards for all exposed shafts and couplings.
10) First fill of lubricants.
11) Solvents and cleaning materials.
12) Finish painting of all equipment.
The equipment will be tested by the Wind Project Developer under observation of
designated engineer of Ultra Construction (PVT) LTD after erection to demonstrate full
operational status and fulfill the required guarantees. If the equipment fails to meet
guaranteed performance, the Wind Project Developer shall make additional tests and
modifications at no additional costs to the client, the SLIIT management. When the equipment is
shown to be fully operational and within the limits of the performance guarantee, the SLIIT will
accept the equipment for use.

3.2.2 Material description and specifications
Wind turbine generator:
Description
This generator has 4-foot leads which are attached with shrink-wrapped, reinforced soldering.
Typical output in non-geared wind devices is 0.52.5 V at 0.10.3 A.

Crimping Hub
Description
The hub will press fit onto the shaft of many small DC generators. The hub is designed to allow
you to change blade angles and/or interchange blade sets quickly and easily.

Dowels
Description
These dowels are used for designing and testing wind turbine blades, and they fit into the Wind
Turbine Hub. WE can design blades using materials like balsa wood or chipboard sheets, and
attach their blades to the 1/4-inch dowels using glue or tape.
These dowels, along with blade material, are the only consumable parts of a wind turbine
blade design experiment.

3.2.3 Production Process
Step 1: Building the Tower & Base
First drill a hole at the bottom of one of PVC T.
Using (4) 90 Degree PVC fittings, (2) PVC Ts and (4) 6" PVC pipe sections, construct the
two sides of the PVC turbine base. Make sure in this step to use the PVC Ts that do
not have a hole drilled in them.
Fit the parts together without using glue (PVC glue is really nasty stuff). To make them
fit snug, tap them together with a hammer or bang them on the floor once assembled.
Next, connect the two sides of the base using the PVC T with the hole. The hole will
allow you to snake out the wires from the DC motor.
Wrap a piece of duct tape around the outside of the motor. This piece of tape should be
about 1/2" wide and 18" long. This will help the motor fit securely into the PVC coupler.
For the next step, use (1) PVC 90 Degree fitting, (1) PVC coupler, (1) 2" piece of PVC pipe
and the DC motor w/wire.
Arrange the pieces as they look below. Push them together to form a solid piece. On a
large wind turbine this is called a nacelle. It holds the generator, gear boxes, and other
equipment.
Insert the wires attached to the DC motor through the nacelle. They should come out of
the 90 Degree PVC fitting. The motor will rest in the coupler.

Insert the motor into the coupler. It should fit very snuggly. Since the motor is
sometimes pushed frequently, it must be tight If it is too tight, take some tape off; if too
loose remove some tape. You can also glue the motor in to make it secure. You might
also tape the wires down inside the pipe to prevent breakage if someone yanked on the
wires.
Make sure the motor is straight and not too far in. If it looks cockeyed, straighten it out.
Otherwise it will cause your hub and blades to wobble while spinning.
Once the motor is secured, attach the hub. Press the hub onto the drive shaft. It should
fit very snuggly.
Step 3: Attaching the Tower to the Base
Snake the motor wires down the tower and through the hole in the PVC T at the base of
the wind turbine.
It is sometimes helpful to place a piece of tape over the wires as they come out of the
hole to prevent the wires from being broken at the motor if yanked too roughly.
Insert the bottom of the PVC tower into the T at the center of the turbine base.
Assure that the PVC pipe is seated tightly into the fittings by tapping together with a
hammer or by banging on the floor.
Do not use any glue so that you can take it apart and store it for next year!
Attach alligator clips to the wires coming out of the turbine to help hook up your turbine
to a multimeter.

Step 4: Making blades
Never make blades out of metal or any sharp edged material because they could cause injury
during testing. Blades tend to spin very fast (300-600 RPM) and can easily cut people if they
have sharp edges.
To make blades, carve or cut different shapes and sizes out of a variety of materials
(wood, cardboard, felt, fabric). Tape or hot glue them to the dowels. This project we use
balsa wood as the material of the blades.
Before testing check that the blades are securely attached to the dowel If not secured
properly, they may detach or deform as you test your turbine in high winds. We
recommend using a combination of tape and hot or regular glue.
Insert the dowels into holes on the crimping hub. It is important to tighten the hub
when inserting the blades so that they do not come out at high speed.
When attaching the blades to the hub consider a few important questions:
How close is the root of your blade to the hub? What do you think is
optimal?
Are your blades about the same size and weight? Blades that are not
balanced will cause vibrations that can reduce the efficiency of your
turbine.
Are the blades equally distributed around the hub? If not, you can also
have a set up that is out of balance.
Have you secured the hub after you inserted the blades? If not, they can
fly out at high speed.

3.3 Permits
Wind Project Developer will obtain all required permits for transport and construction of a one
or two WTG(s). A construction permit will be obtained by the TPS ASIA for the WTG system. Any
other permits deemed necessary are the responsibility of the Wind Project Developer.
3.5 Conveyance
Wind Project Developer shall be liable for regulating and executing all transport of materials and
equipment to the site, whether directly or through a conveyance subcontractor.

the SLIIT Management for its review and comment at a point roughly equivalent to being 60%
and 100% complete. Upon initial completion of each of the
Projects design, all project designs and calculations shall be submitted to the University for its
review and approval prior to construction. In all cases, the University may engage an independent
engineer to further review and approve design documents and calculations.
Review and approval of design documents by the University or the Ultra Construction (PVT) LTD
shall not relieve Wind Project Developer of any responsibilities for completeness and sufficiency
of the design nor in any way transfer the Wind Project
Developers responsibility for sufficiency of the work to the SLIIT Management or the Ultra
Construction (PVT) LTD.

3.7.2 Wind Project Developer Retesting and Turbine Modifications
In this endeavor, if the WTG(s) do not meet the Performance Guarantees specified in the
contract, the Wind Project Developer may perform an additional power output performance test
to verify the results of the previous test. There shall be no tolerances or concession for testing
error applied to the test results. The Wind Project Developer shall bear the test related expense
costs for the test.
If the unit has not met the performance guarantees, then the Wind Project
Developer shall, without cost to the SLIIT Management, make such alterations and modifications
as required to obtain the guaranteed performance. The alterations and modifications shall be
completed in a manner that is convenient to the SLIIT Management. The schedule for alterations
and modifications shall be subject to review and approval by the SLIIT Management. The
alterations and modifications shall be completed within 30 calendar days following the
performance test. After the alterations and modifications have been made, the WTG(s) shall be
retested.
The entire expense of the additional test demonstrating the effect of such alterations and
modifications shall be borne by the Wind Project Developer.
The entire expense means all charges acquired by the Wind Project Developer
during the retesting. Furnishing and installation of additional instrumentation, instrument costs,
data logging, computations, reports, and similar requirements necessary for the retest will be
included as part of the entire expense cost.
The SLIIT Management shall have the right to review the Wind Project Developers test data, test
calculations, all test data corrections, and test results. Disagreements or differences between the
Clients and Wind Project Developers calculations and analysis shall be resolved in a manner
acceptable to the SLIIT Management.
3.8.2 Grounding
The Project Developer shall provide 1m deep copper tube at the tower base for grounding
Cable connections.

3.10 Design Specifications
All equipment shall be designed to operate reliably and continuously for a minimum useful life
of 1 year of service. Wind Turbine Generation unit includes:

3.11 Generator and Accessories
3.11.1 General
This subsection describes the requirements for the generator and associated, accessories.
3.11.3 Terminals
The two generator terminals shall be brought out of the generator to an enclosed junction box
which shall be accessible without dismantling nearby structures or equipment. The Wind
Project Developer shall provide all terminal equipment.
3.11.4 Over-speed
The generator and gear box shall be capable of withstanding, without mechanical injury, and
over-speed of 25 percent.

Each bidder must submit their questions regarding the project prior to 31 st July 2016 to the point
of contact mentioned in this RFP document. Time duration for discussion with each contractor
will be allocated based on the questions you submit and you will be provided with printed answer
documents to your problems. Consultants of Ultra Construction Private Limited would help you out with
any further clarification you would require. Each company will be allowed to have participants at the
meeting.
The bidders must provide detailed minutes of respective sessions they had with the consultants of Ultra
Construction Private Limited. The minutes of respective sessions must be submitted via email to
ultraconstruction.pvt.@gmail.com within 2 business days. Failure to do so would cause cancellation of
any alterations made during the discussion with respective contractor.

4.0 Contract Details
4.1 Award and Contract Information
1. Ultra Construction Private Limited hereby notifies that all proposals in response to this
Request for Proposal from minority business enterprises are welcome. No Proposer shall
be discriminated in the chain of events to occur.
2. The Contractor should apprehend that should they be awarded a contract, there should
be no discrimination of any working personnel.
3. Ultra Construction Private Limited reserves the right to reject any proposal if deemed in
the best interest of the client. The Contractor whose proposal is the most responsive,
resourceful and is of the greatest use to the client will be selected. Ultra Construction
Private Limited will be the sole judge in making such decisions.
4. The selected Contractor will be required to enter into and sign a formal agreement with
Ultra Construction Private Limited that will be in effect for the duration of the contract
period. It is the responsibility of the contractor to review the contracts terms and
conditions and state any exceptions to those conditions in the response to this Request
for Proposal. (Refer Appendix 2: General Terms and Conditions).
The right to accept or reject any proposal is reserved by Ultra Construction Private Limited. The
Company expects to sign a formal agreement with the successful contractor once the contractor
is selected. Then the company expects the Contractors to work in alliance to finalize the project
scope of work and make any amendments, if any, until the Contractor is signed up for the project.

4.3 Form of Contract
A sample copy of the Form of Contract in which Ultra Construction (PVT) LTD will enter into a
new contract with the selected contractor is enclosed herein. Ultra Construction (PVT) LTD will
enter into the contract with any selected prospective contractor based on the Form of Contract.
Ultra Construction (PVT) LTD will consider the submission of a proposal by a contractor as an
acceptance of the terms mentioned within the form of contract. The terms mentioning the
standards speculated by Ultra Construction (PVT) LTD, must be addressed by the contractor and
the submission of a proposal will be assumed to be an acceptance of those terms.
The selected contractor must make sure to sign the agreement documents after the selection is
informed to them. Any failure to do so might result in the termination of the preference to award,
along with the awarding of the contract to the next best contractor.

5.0 Pre-Construction
The constructors officer in charge of the design specifications should provide the following
services related to the initial design and its revision, and the pre-construction work.
Provision of the initial feasibility of the original design and any adjustments that could be
suggested based on the specific expertise.
Maintain direct communication and negotiate with the initial utility providers.
Explain the methods used to reduce costs and improve the quality of the project where
possible.
Project planning and control carried on using appropriate techniques (Critical Path
Analysis or Gantt chart).

NON-DISCLOSURE AGREEMENT (OFFEROR)
This Non-Disclosure Agreement (the Agreement) is made this ___ day of ________ 201__,
by and between _________________________ (hereinafter referred to as "the OFFEROR ")
and Sri Lanka Institute of Information Technology (hereinafter referred to as SLIIT").
As a condition for its receipt and access to the Confidential Information described in Section
1.7 of the RFP, OFFEROR agrees as follows:
1) OFFEROR will not copy, disclose, publish, release, transfer, disseminate or use for
any purpose in any form any Confidential Information received under Section 1.7,
except in connection with the preparation of its TO Proposal.
2) OFFEROR shall return the Confidential Information to the State within five
business days of the States Notice of recommended award. If the OFFEROR does
not submit a Proposal, the OFFEROR shall return the Confidential Information to
T. N Mahaarachchi (CFO) on or before the due date for Proposals.
3) Each employee or agent of the OFFEROR who receives or has access to the
Confidential Information shall execute a copy of this Agreement and the OFFEROR
shall provide originals of such executed Agreements to the State. Each employee
or agent of the OFFEROR who signs this Agreement shall be subject to the same
terms, conditions, requirements and liabilities set forth herein that are applicable
to the OFFEROR.
4) OFFEROR acknowledges that the disclosure of the Confidential Information may
cause irreparable harm to the SLIIT and agrees that the SLIIT may obtain an
injunction to prevent the disclosure, copying, or other impermissible use of the
Confidential Information.
5) The SLIITs rights and remedies hereunder are cumulative and the SLIIT expressly
reserves any and all rights, remedies, claims and actions that it may have now or
in the future to protect the Confidential Information and/or to seek damages for
the OFFERORS failure to comply with the requirements of this Agreement. The
OFFEROR consents to personal jurisdiction in the Courts.
6) In the event the SLIIT suffers any losses, damages, liabilities, expenses, or costs
(including, by way of example only, attorneys fees and disbursements) that are
attributable, in whole or in part to any failure by the OFFEROR or any employee or
agent of the OFFEROR to comply with the requirements of this Agreement,
OFFEROR and such employees and agents of OFFEROR shall hold harmless and
indemnify the SLIIT from and against any such losses, damages, liabilities,
expenses, and/or costs.

7) The individual signing below warrants and represents that they are fully
authorized to bind the OFFEROR to the terms and conditions specified in this
Agreement. If signed below by an individual employee or agent of the OFFEROR
under Section 2 of this Agreement, such individual acknowledges that a failure to
comply with the requirements specified in this Agreement may result in personal
liability.
8) OFFEROR acknowledges that a person may not willfully make a false or fraudulent
statement or representation of a material fact in connection with a procurement
contract. Persons making such statements are guilty of a felony and on conviction
subject to a fine of not more than Rs.200, 000 and/or imprisonment not exceeding
5 years or both. OFFEROR further acknowledges that this Agreement is a
statement made in connection with a procurement contract.
9) This Agreement shall be governed by the laws of Sri Lanka.

NON DISCLOSURE AGREEMENT (TO- Contractor)
THIS NON-DISCLOSURE AGREEMENT (Agreement) is made as of this 7st July of ___________,
2015, by and between the Sri Lanka Institute of Information Technology ("SLIIT"), acting by and
through its Department,
And ____________________ (TO Contractor), a corporation with its principal business office
located at
_______________________________ and its principal office in Sri Lanka located at_________
_______________________________.
RECITALS
WHEREAS, the TO Contractor has been awarded a Task Order Agreement (the TO Agreement)
for Wind Turbine Construction (the TORFP) issued under the Consulting and Technical Services
procurement issued by the Department, and
WHEREAS, in order for the TO Contractor to perform the work required under the TO Agreement,
it will be
necessary for the SLIIT to provide the TO Contractor and the TO Contractors employees and
agents (collectively the TO Contractors Personnel) with access to certain confidential
information regarding ________________________________ (the Confidential Information).
NOW, THEREFORE, in consideration of being given access to the Confidential Information
in connection with the TORFP and the TO Agreement, and for other good and valuable
consideration, the receipt and sufficiency of which the parties acknowledge the parties do hereby
agree as follows:
1) Confidential Information means any and all information provided by or made
available by the SLIIT to the TO
a. Contractor in connection with the TO Agreement, regardless of the form,
format, or media on or in which the Confidential Information is provided and
regardless of whether any such Confidential Information is marked as such.
Confidential Information includes, by way of example only, information that
the TO Contractor views, takes notes from, copies (if the SLIIT agrees in writing
to permit copying), possesses or is otherwise provided access to and use of by
the SLIIT in relation to the TO Agreement.
2) TO Contractor shall not, without the SLIITs prior written consent, copy, disclose,
publish, release, transfer, disseminate, use, or allow access for any purpose or in any
form, any Confidential Information provided by the SLIIT except for the sole and
exclusive purpose of performing under the TO Agreement. TO Contractor shall limit
access to the Confidential Information to the TO Contractors Personnel who have a
demonstrable need to know such Confidential Information in order to perform under
the TO Agreement and who have agreed in writing to be bound
by the disclosure and use limitations pertaining to the

Confidential Information. Each individual whose name appears on documents shall
execute a copy of this Agreement and thereby be subject to the terms and conditions
of this Agreement to the same extent as the TO Contractor. TO Contractor shall
update information by adding additional names as needed, from time to time.
3) If the TO Contractor intends to disseminate any portion of the Confidential
Information to non-employee agents who are assisting in the TO Contractors
performance of the TORFP or who will otherwise have a role in performing any aspect
of the TORFP, the TO Contractor shall first obtain the written consent of the SLIIT to
any such dissemination. The SLIIT may grant, deny, or condition any such consent, as
it may deem appropriate in its sole and absolute subjective discretion.
4) TO Contractor hereby agrees to hold the Confidential Information in trust and in
strictest confidence, to adopt or establish operating procedures and physical security
measures, and to take all other measures necessary to protect the Confidential
Information from inadvertent release or disclosure to unauthorized third parties and
to prevent all or any portion of the Confidential Information from falling into the
public domain or into the possession of persons not bound to maintain the
confidentiality of the Confidential Information.
5) TO Contractor shall, at its own expense, return to the Department, all copies of the
Confidential Information in its care, custody, control or possession upon request of
the Department or on termination of the TO Agreement.
6) A breach of this Agreement by the TO Contractor or by the TO Contractors Personnel
shall constitute a breach of the TO Agreement between the TO Contractor and SLIIT.
7) TO Contractor acknowledges that any failure by the TO Contractor or the TO
Contractors Personnel to abide by the terms and conditions of use of the Confidential
Information may cause irreparable harm to SLIIT and that monetary damages may be
inadequate to compensate the SLIIT for such breach. Accordingly, the TO Contractor
agrees that the SLIIT may obtain an injunction to prevent the disclosure, copying or
improper use of the Confidential Information. The TO Contractor consents to personal
jurisdiction in Sri Lankan Courts. The SLIITs rights and remedies hereunder are
cumulative and the SLIIT expressly reserves any and all rights, remedies, claims and
actions that it may have now or in the future to protect the Confidential Information
and/or to seek damages from the TO Contractor and the TO Contractors Personnel
for a failure to comply with the requirements of this Agreement. In the event the SLIIT
suffers any losses, damages, liabilities, expenses, or costs (including, by way of
example only, attorneys fees and disbursements) that are attributable, in whole or in
part to any failure by the TO Contractor or any of the TO Contractors Personnel to
comply with the requirements of this Agreement, the TO Contractor shall hold
harmless and indemnify the SLIIT from and against any such losses, damages,
liabilities, expenses, and/or costs.
8) TO Contractor and each of the TO Contractors Personnel who
receive or have access to any Confidential Information shall
execute a copy of an agreement substantially similar to this

Agreement and the TO Contractor shall provide originals of such executed
Agreements to SLIIT.
9) TO Contractor shall promptly advise the SLIIT in writing if it learns of any unauthorized
use, misappropriation, or disclosure of the Confidential Information by any of the TO
Contractors Personnel or the TO Contractors former Personnel. TO Contractor shall,
at its own expense, cooperate with SLIIT in seeking injunctive or other equitable relief
against any such person(s).
10) The parties further agree that:
a. This Agreement shall be governed by the laws of Sri Lanka;
b. The rights and obligations of the TO Contractor under this Agreement may not be assigned or
delegated, by operation of law or otherwise, without the prior written consent of SLIIT;
c. SLIIT makes no representations or warranties as to the accuracy or completeness of any
Confidential Information;
d. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity
or enforceability of any other provision of this Agreement;
e. Signatures exchanged by facsimile are effective for all purposes hereunder to the same extent
as original signatures; and f. The Recitals are not merely prefatory but are an integral part
hereof.
