1.UponInkTip.com'sacceptance,thescreenplay,novel,manuscript,shortscreenplay,etc.("Work")willbe
madeavailableonInkTip.com'swebsitetoInkTip.com'sregisteredsubscribers("Subscribers")whoareagents,
managers,producersandotherindustryprofessionalsitisunderstoodandagreedthattheseSubscribersare
thirdpartybeneficiariesofthisAgreement.

2.Applicantrepresentsandwarrantsthathe/sheistheauthoroftheWork,andifnottheauthor,hasall
necessarylegalandequitablerightstotheWork.

3.ApplicanthasretainedatleastonecopyoftheWork,asInkTip.comwillnotberesponsibleforanylossor
destructionofthematerialssubmittedtoit.Applicantunderstandsthatitishis/hersoleresponsibilitytoprotect
theWork.Inordertoplaceanythingonourwebsiteitmustberegistered.Itshouldbefiledorregisteredwitha
WritersGuild,CopyrightOffice,and/orotherscriptprotectionorganizationsthatareavailablearoundtheworld.
Youcanregisteryourworkonlinenowbyselectingwww.wga.org(http://www.wga.org/)orwww.writevault.com
(http://www.writevault.com/).Itisfastandinexpensive.InkTip.commay,atitssolediscretion,changetheformat
anddisplayoftheWorkonitswebsite,andmaydiscontinuetheavailabilityoftheWorkonitswebsiteatany
timeforanyreason.

4.Applicant,whoatteststhathe/sheisatleasteighteen(18)yearsofage,hassubmittedtheWorkvoluntarily
andnotinconfidence.ApplicantunderstandsandagreesthatnoconfidentialrelationshipbetweenApplicant
andtheauthoroftheWorkifnotApplicant,andInkTip.comand/oritsSubscribersisbeingcreatedbythis
AgreementorbyApplicant'ssubmissionoftheWork.

5.ApplicantrepresentsandwarrantstoInkTip.comanditsSubscribersthattheWorktobesubmitted
hereunderisoriginalandthattheWorkwillnotcontaindefamatoryorunlawfulmatterandwillinnoway
infringeuponthecopyrightorviolatetheproprietaryrightsofanypersonwhomsoever.TheApplicantagreesto
indemnifyandholdInkTip.comanditsSubscribersharmlessfromanysuit,demand,orclaimmadeagainst
InkTip.comand/oritsSubscribersbyreasonofanydefamatoryright,andtheApplicantfurtheragreestopay
anyjudgmentorreasonablesettlementofferresultingfromanysuchsuit,demand,orclaim,andtopayany
reasonableattorneys'feesincurredbyInkTip.comand/oritsSubscribersindefendingagainstsuchsuit,
demand,orclaim.

6.NoobligationofanykindisassumedormaybeimpliedagainstInkTip.comand/oritsSubscribers,eitheras
aresultofthisAgreement,orApplicant'ssubmissionoftheWork.ItisunderstoodthatInkTip.comandits
Subscribershaveaccesstoand/ormaycreateorhavecreatedliterarymaterialsandideaswhichmaybe
similartotheWorkintheme,idea,plot,formatorotherrespects.Applicantwillnotbeentitledtoany

compensationorconsiderationbecauseoftheuseofanysuchsimilarmaterialthatmayhavebeen
independentlycreatedbyaSubscriberormayhavecometoInkTip.comoranySubscriberfromany
independentsource.

7.InkTip.comdoesnotitselfdeveloporpurchasewrittenmaterial,andexistsforthesolepurposeoffacilitating
introductionandinteractionbetweenwritersandpartiesinterestedindevelopingwrittenmaterial.InkTip.com
doesnotattesttoorguaranteethevalidityofanySubscriber,oranysubsequentagreementsbetween
ApplicantandanySubscriber.

8.ExceptasotherwiseprovidedinthisAgreement,ApplicantherebyreleasesInkTip.comfromanyandall
claims,demandsandliabilitiesthatmayariseinrelationtotheWork,orbyreasonofanyclaimnowor
hereaftermadebyApplicantthatInkTip.comoranySubscriberhasusedorappropriatedtheWork.INNO
EVENTSHALLInkTip.comORITSSUBSCRIBERSBERESPONSIBLEORLIABLETOAPPLICANTFOR
INDIRECT,SPECIAL,PUNITIVE,INCIDENTALORCONSEQUENTIALDAMAGESORLOSTPROFITSOR
REVENUESOFAPPLICANT,EVENIFINKTIP.COMORITSSUBSCRIBERSHAVEBEENADVISEDOFTHE
POSSIBILITYOFSUCHDAMAGE.TheextentofInkTip.com'sliability,ifany,shouldotherwisebedetermined,
shallbetheamountofanysumspaidInkTip.combyApplicant.

9.AllthetermsandconditionsofInkTip.com'sDisclaimerWebPageareherebyincorporatedintothis
SubmissionReleaseAgreementasifrecitedhereininfull.

10.InkTip.comreservestherighttoremoveanyWorkfromitswebsite,withorwithoutcause,withorwithout
notice.Ifwithoutcause,theSubscriber'sfeesshallbeproratedaccordingly.

11.ItisunderstoodthatthewayInkTipisabletoenticenewindustryprofessionalstouseInkTipisbypromotion
ofInkTipresults.Therefore,IpromisetoalwaysinformInkTipofanyrelationshipIformwithanyindustry
professionalthatwasinanywayfound,heardaboutornurturedthroughInkTip,sothatInkTipcannotonly
promotemyselfandmyworks,butalsopromotethemselves.Itisunderstoodthatthisisaconditiontousing
InkTip.

12.GeneralProvisions:
(a)EntireAgreement:ThisAgreementcontainstheentireagreementofthepartiesheretoandsupersedesany
priorwrittenororalagreementbetweenthemrespectingthesubjectmattercontainedherein.Thereareno
otherrepresentations,agreements,arrangements,orotherunderstandings,oralorwritten,betweentheparties
heretorespectingthesubjectmattercontainedhereinwhicharenotfullyexpressedherein.ThisAgreement
maybeamendedormodifiedonlybywrittenagreementsignedbydulyauthorizedrepresentativesofallofthe
partieshereto.
(b)Waiver.WaiverofanydefaultorbreachofthisAgreementoranywarranty,representation,covenant,or
obligationcontainedhereinshallnotbeconstruedasawaiverofanysubsequentbreach.
(c)Severability.IfanyprovisionofthisAgreement,ortheapplicationofittoanypartyorcircumstance,isheldto
beinvalid,theremainderofthisAgreement,andtheapplicationofsuchprovisiontootherpartiesor
circumstances,shallnotbeaffectedthereby,theprovisionsofthisAgreementbeingseverableinanysuch
instance.
(d)TitlesandHeadings.TitlesandheadingstoparagraphsinthisAgreementareforthepurposeofreference
onlyandshallinnowaylimit,define,orotherwiseaffecttheprovisionsofit.
(e)Heirs.Exceptasotherwiseprovidedherein,thisAgreementisbindinguponandinurestothebenefitofall
parties,theirheirs,executors,administrators,assigns,successorsininterestorotherlegalrepresentatives.
(f)Notices.AllnoticesandpaymentsunderthisAgreementaretobeinwritinganddeliveredtoInkTip.comat
itspostaladdressaboveandtoApplicantathis/herpostaladdressnotedbelow,orsuchotheraddressas

eitherpartymaysubsequentlyspecifyinwritingtotheotherparties.
(g)Arbitration.Anycontroversy,disputeorclaimarisingoutoftheinterpretation,performanceorbreachofthis
Agreementshallberesolvedbybindingarbitration,attherequestofeitherparty,inaccordancewiththe
GuidelinesoftheAmericanArbitrationAssociation,intheCityofLosAngeles,California.Thearbitratorsshall
applyCaliforniasubstantivelawandtheCaliforniaEvidenceCodetotheproceeding.Thearbitratorsshall
havethepowertograntalllegalandequitableremediesandawardcompensatorydamagesprovidedby
Californialaw,includingthepowertoawardpunitivedamages.Thearbitratorsshallprepareinwritingand
providetothepartiesanawardincludingfactualfindingsandthereasonsonwhichthedecisionisbased.The
arbitratorsshallnothavethepowertocommiterrorsoflaworlegalreasoning,andtheawardmaybevacated
orcorrectedpursuanttoCaliforniaCodeofCivilProcedureSections1286.2or1286.6foranysucherror.
(h)Attorneys'Fees.Ifanactionisbroughtforthepurposeofenforcing,defending,orpreventingabreachofthis
Agreement,thesuccessfulorprevailingpartyinanysuchproceedingshallbeentitled,inadditiontosuchother
reliefasmaybegranted,torecoverreasonableattorneys'feesandcostsofsuitincurredinsuchproceeding.
(i)StateLaw.ThisAgreementshallbeconstruedandenforceableaccordingtothelawsoftheStateof
Californiaforallpurposes.AnyactionconcerningthisAgreementshallbebroughtinLosAngeles,California
andthepartiesconsenttoserviceofprocessinCalifornia.
