Reseller / Integrator & Developer Partner Application Form For GroupVille - Version 2006

Important: Please note that these updated partner programs replaces older programs for new and current partners.
As of Jan 1, 2006, only this new agreement will be valid. All program members must (re-)submit this new form, thank you.

This document contains two application forms, one for Resellers/Integrators and one for Java/Web Developers (for Web applications linked
with GroupVille) or Java for WebObjects Developers (for internal GroupVille module development).

You may apply for one or both programs at the same time.

Please make sure to fill out the ‚Profile Form‘ completely before you sign it (section 4. below) and mail it to the address given at the bottom
of the last page. Thank you.

We will have a webpage for our resellers and partners with online login but you stilll need to fill out this written form, sign it and send it back
to us for legal purposes. This partner webpage also hosts the reseller price lists (and will host the optional certification test in 2006, if you
apply for the premium partner program).

1. Application Form for Resellers / Supporters / Integrators

There are two programs you can choose from: A free Program and a Premium Program at $ 999 / year. The differences between the two
programs are outlined in red color below.

O Option 1: Free Partner program. This program includes:

◦ License Discounts for software reselling (between 25 - 35 % depending on your sales volume)
◦ Access to GroupVille reseller and training materials

or

O Option 2: Premium Partner Program at $ 999 / year. for resellers who want dedicated support as well as be optionally
certified with a logo for GroupVille training / maintenance and includes (please tick the option you prefer):

O 1 (one) free GroupVille 12-user license for testing, resale to your customers or internal use and 2 (two) support incidents
or
O 1 (one) free GroupVille 25-user license for testing, resale to your customers or internal use.

and

◦ License Discounts for software reselling (between 25 - 35 % depending on your sales volume)
◦ Access to GroupVille reseller and training materials
◦ Free deployment licenses and support incidents bundled (see above)
◦ Optional free certification possibility (certification for GroupVille support) *
◦ Access to GroupVille pre-release builds
 For resellers in the free program who achieve $ 10k+ sales per calendar year, the partnership fee for the Premium
Program is waived or the reseller automatically gets the premium partner status for free.

* Upon passing this free online test about GV deployment techniques (first in 2006) you - as a GroupVille partner - can display the “Certified
GV Premium Reseller / Partner 200x ” logo for use on your webpage or promotional materials during the membership period.

2. Application Form for Developers

There are two options for developers, the first one is already available:

O I/We would like to link my server-based application GroupVille

You can link your server application to GroupVille by using well-known standards (RSS, iCal, vCard, SOAP data import/export...). This
option is already available and you can contact us so we can discuss details on how you to link your (web-based / server) application with
GroupVille.

Since GroupVille is written in Java, it may be easier to link to other Java/J2EE-software, but we will make efforts in any case to join
applications if you have an interesting proposal.

O I/We would like to become a solutions developer for GroupVille

Please note that a new SDK for internal modules (written in Java WebObjects for GroupVille 2.x) is not completed yet. You can sign up now
and we will send you the SDK as soon as it’s ready.
(Knowledge in Java server-side programming and Java in WebObjects skills are required for this option).

I will be informed by e-mail, when ‘GroupVille’ / the Software Development Kit (SDK) become available for download.

Before shipping my GroupVille plug-in, I can submit it to Sendai Systems for a quality control test free of
charge. After passing this test, my software will be featured in the list of certified plug-ins for ‘GroupVille’
(details will be provided, test and listings are completely free of charge).

4. Agreement

I would like to apply as:

O Reseller / Integrator for GroupVille and related products in the free program (option 1)

O Premium Reseller / Integrator program for GroupVille and related products (option 2, $ 999 / year).
Payable by bank wire or by credit card at the start of the term. As soon as your payment arrived, we will send you
the free included license numbers and/or incident coupons.

O Free Developer Program for GroupVille (Webservices now available, please contact us, SDK for internal modules available later)

(Note: You may apply for both reseller/integrator and developer programs if you are interested).

Applicants hereby certify with their signature:

1. I/We (The Applicants/ The Applicant) have read the application criteria for both programs [Reseller /
Developer] and meet the qualification criteria.
I/We understand that My/Our company name, logo and address and contact information (we will not disclose your contact e-mail on the
wepage so you don't need to worry about spam) can be made available on Sendai’s partner web page and/or a PDF list available online.

2. Sendai Systems will provide The Applicant with software (‘GroupVille Demos' / 'Betas’ / 'Previews' in Premium Partner Program /
‘GroupVille SDK’ in Developer Program) and/or license keys if your application is accepted. This software is provided ‘AS IS’ WITHOUT
ANY WARRANTY; without even the implied warranty of FITNESS FOR A PARTICULAR PURPOSE.

3. Available Programs

3a. Free Programs

The "Free Reseller/Integrator" program and the "Developer Program" are completely free of charge.
Sendai Systems reserves the right to stop, end or modify both programs in the future. In this case, Applicants and Program Members have
no right to substitutions or reimbursements of any kind .

- If you join the free program (3a.) at first and reach $ 10'000 (US Dollars) sales or above, we will automatically upgrade you for free to 3b.

3b. Paying Program

The "Premium Reseller/Integrator" Program fee is (US Dollars) $ 999 / year, payable by bank wire or by credit card at the start of the term.
Sendai Systems reserves the right to stop, end or modify the program in the future. In this case, Applicants and Program Members have no
right to substitutions or reimbursements of any kind by the end of their yearly membership period.

As outlined above, you have these garantuees and if you join the paying program (3b.) :

- You will receive either (one) free GroupVille 12-user license and 2 (two) support incidents or 1 (one) free GroupVille 25-user license free.

- If you join the paying program (3b.) - $ 999 (US Dollars) / year - and reach $ 10'000 (US Dollars) sales or above during your membership
year, we will immediately reimburse the $ 999 to you.

- We do not automatically renew the yearly "Premium" program. You can decide by the end of each term (year) if you want to renew the
paying program or not.

4. Applicants certify that all contact information given above is correct and true. (In order to ensure the quality
of our software & services to our customers. Sendai Systems only accepts individuals/companies who meet the
above mentioned criteria.) Sendai Systems reserves the right to review and withdraw applications or
memberships at any time if criteria are not met or not honored.

5. The Applicants and Members certify that they follow the copyright and export regulations that come with
Sendai Systems’s software and bundled third-party software.

6. Sendai Systems must be informed immediately in written form if the applicants are no longer able or interested
to take part in the programs they applied for.

7. Severability. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be
unenforceable, the remainder of this Agreement shall continue in full force and effect.

8. Complete Agreement. This License constitutes the entire agreement between the parties with respect the
memberships to Reseller and Application programs by Sendai Systems and supersedes all prior or
contemporaneous understandings regarding such subject matter. No amendment to or modification of this
License will be binding unless in writing and signed by Sendai Systems. The parties hereto confirm that they have
requested that this Agreement and all related documents be drafted in English.
