A REPORT TO THE BOARD OF DIRECTORS OF JKF REGARDING THE

STATUS OF THE OFFICE WHILE SERVING AS ACTING MANAGING

DIRECTOR

Introduction

This report covers the period of acting from 4th June 2014 and 23th June 2014 , both
days inclusive, 2014.

The following key administrative matters were handled by the Ag. Managing Director:

1. STATUS REPORT ON THE BOARD OF DIRECTORS OF THE JOMO

KENYATTA FOUNDATION

The Ag. MD received a request from Mrs. Margaret Thiongo on 18/6/2014 requesting
for a Status Report on The Board of Directors of the Jomo Kenyatta Foundation. To be
forwarded to the Cabinet Secretary MoEST. We provided the report vide letter reference
JKF /MD/C/120/VOL.XVI/72 dated 18/6/2014 as follows:

Current Members of the Board are:

1. Jacob K. Mwirigi - Chairman

2. Prof. Isaac N. Kimengi-Member

3. PS. Ministry of Education, Science & Technology-member

4. PS. National Treasury Member

5. PS. Head of Public Service Member

Four (4) vacancies exist on the Board following the expiry of the term of the following
directors on 31st December 2013:

1. Simon Maseia Ole Kingi

2. Muhidin Mohamed Sheikh

3. Sophia B.Lepuchirit

4. Prof. Nathan Oyori Ogechi

Mr. Ole Kingi and Sheikh had served for two (2) terms each while Ms. Lepuchirit and
Prof. Ogechi served one (1) term each.
 The Managing Director, Mrs. Nancy W. Karimis term came to an end on 24/5/2014.
The Managing Director was appointed on 25th May 2005 and subsequently re-
appointed to serve on three year contract terms.

2. NOTICE OF AGM

In consultation with the Chairman, the Ag. MD issued a Notice for the Annual General
Meeting to be held on 10/7/2014 at 10.00 a.m.

RESUMPTIOM OF DUTY BY OUTGOING MD MRS. NANCY W. KARIMI

The Ag.MD was informed via e-mail by Mrs. Nancy W. Karimi, the outgoing MD that
she was resuming duty on Monday 23/6/2014. A staff MEMO reference
JKF/HRA/I/6/VOL.I/170 dated 23/6/2014 was also issued by the GM HR &
Administration informing the staff that the Board of Directors has extended the services
of Mrs. Karimi as Managing Director of the Jomo Kenyatta Foundation w.e.f.
25/5/2014 until further Notice ( Memo is enclosed). Following this development,
the Ag. MD saw it appropriate to wait for further guidance from the Chairman and the
Board of Directors as to the following maters:

1. The termination of Acting position.

2. Acting Allowance based on the period served.

The Acting Ag. MD was paid Acting Allowance for 13 days as at end of June 2014.

The Board is requested for guidance on the end of the Acting period.

Report is issued for noting and guidance by the Board of Directors.
