This contract modification ("Modification") is made and entered into effective as of the ? Oay of
ryut ZO16 by and between the CITY OF CHICAGO ("City"), a municipal corporation and home rule unit of
local government existing under the Constitution of the State of lllinois, acting through its Department of
Aviation ("Department"), at Chicago, lllinois, and Universal Security, lnc. ("Contractor"). (The City and the
Contractor are sometimes collectively referred to herein as the "Padies").

The CITY and CONTRACTOR have heretofore entered into an agreement for'Unarmed Security
Guard Services for the Chicago Airporl System' dated the 1't day of June 2007 (hereinafter referred to as
the "Contract") whereby the Contractor provides certain 'Unarmed Security Guard Services for the
Chicago Airport System' therein set forth for the City. The purpose of this Modification is to extend the
above-referenced Contract for One (1) Year effective June 1 ,2016 through May 31 ,2017 and lncrease
Vendor Limit pursuant to Section 3.23 Contract Extension Option, Section 3.31
Modifications/Amendments and Section 3.5 Quantities of the Contract, and incorporate additional terms
and conditions due to changes in Laws and/or the City policies since the date the contract was awarded or
last modified.

The Padies agree as follows:

TERMS AND CONDITIONS

The Contract is modified to incorporate the following additional and revised terms and conditions

1 Pursuant to Section 3.23, Contract Extension Option, the contract is extended One (1) Year effective
June 1 ,2016 through May 31 ,2017.

2. Pursuant to Section 3.31, Modifications/Amendments The Contract's current value (Vendor Limit) of
$66,962,664.99 is hereby increased by $5,000,000.00, from funding accounts #740 85 4010 0157
0157 and Various Capital Funds to a total adjusted Contract value of $71,962,664,99.

3. Pursuant to Section 3.31, The first full grammatical sentence of Section 2.17 C. "Living Wage
Ordinance" is hereby deleted and replaced in its entirety with the following:

"C. As of July 1 ,2015, the Base Wage is $12.13 per hour"

4. Contractors are responsible for notifying the City and updating their EDS any time there is a change in
circumstances that makes any information provided or certification made in an Economic Disclosure
Statement (EDS) inaccurate, obsolete, or misleading. Failure to so notify the City and update the EDS
is grounds for declaring the Contractor in default, terminating the contract for default, and declaring the
contractor ineligible for future contracts. Your contract also requires that you notify the City of any
changes in ownership. lf you have a change in ownership or any other change in EDS information to
disclose, complete the online EDS, which includes a Disclosure of Retained Parties. Please submit an
electronically signed, one-page EDS Certificate of Filing, which validates that the EDS has been filed.
Additionally, the Municipal Code of Chicago requires the disclosure of Familial Relationships with
Elected City Officials and Department Heads. The web address to submit your EDS and Familial

Non-compliance with these terms and conditions may be used by the City as grounds for the termination
of this Contract, and may fudher affect the Contractor's eligibility for future contract awards. Except as
herein modified all other terms and conditions of said Contract as heretofore approved shall remain
unchanged and in full force and effect.

Execution of this Modification by Contractor is duly authorized by Contractor, and the signature(s) of each
person signing on behalf of Contractor have been made with complete and full authority to commit
Contractor to all terms and conditions of this Modification, including each and every representation,
certification, and warranty contained herein, or as may be required by the terms and conditions hereof.
