Carta de Acuerdo

Esta Carta de Acuerdo, (o "LOA") de fecha est hecho por y

entre la Oficina Federal de Investigacin (en lo sucesivo, el "FBI") y el Ministerio de
Seguridad de la Nacin de la Repblica Argentina con domicilio en Gelly y Obes 2289,
Ciudad de Buenos Aires, Argentina (en lo sucesivo denominada la "Agencia Internacional
de Aplicacin de la Ley").

CONSIDERANDO, que el FBI patrocina el Sistema de ndice Combinado de ADN,

versin 7.0 o versiones posteriores, (en lo sucesivo "CODIS") como parte de un programa
de asistencia tcnica a los laboratorios de crimen federales, estatales y locales, y permite a
los laboratorios almacenar, comparar y combinar los registros de ADN de delincuentes,
evidencias de escenas del crimen, restos de personas no identificada y familiares de las
personas desaparecidas; y

CONSIDERANDO, que el FBI proporciona el software CODIS a los laboratorios del

crimen federales, estatales y locales que realizan anlisis de ADN, as como capacitaciones,
asistencia al usuario y actualizaciones de software sin costo alguno para los laboratorios del
crimen;

CONSIDERANDO, que el FBI tambin est autorizado a poner a disposicin los servicios
del Laboratorio del FBI a los organismos internacionales encargados de hacer cumplir la
ley;

CONSIDERANDO, que la Agencia Internacional de Aplicacin de la Ley (representada

por el suscrito) tiene la intencin de cumplir con todas las disposiciones de la presente
LOA;

POR TANTO, esta LOA instrumenta los acuerdos entre el FBI y la Agencia Internacional
de Aplicacin de la Ley para el intercambio, uso y apoyo del software y servicios CODIS:

l. SUBLICENCIA USAR SOFTWARE CODIS

A. El FBI ha concedido a la Agencia lntemacional de Aplicacin de la Ley una sublicencia

ilimitada de utilizar el software CODIS y de sus modificaciones /mejoras (en adelante
denominado el "software CODIS").

B. Al firmar esta LOA, la Agencia Intemacional de Aplicacin de la Ley reconoce

expresamente:

l. El software CODIS, para el cual el FBI tiene u obtendr una licencia sin restricciones de
uso, es propiedad exclusiva del FBI.

2. El personal de la Agencia Internacional de Aplicacin de la Ley no podrn utilizar el

software CODIS hasta que sean especficamente autorizados para ello por el FBI.

3. Esta LOA no autoriza a la Agencia Internacional de Aplicacin de la Ley para distribuir
o sublicenciar el software CODIS, o copiar el software CODIS con fines de distribucin o
distribuir el software CODIS. Esta LOA no autoriza a la Agencia Internacional de
Aplicacin de la Ley para distribuir, publicar o divulgar pblicamente la informacin
obtenida de o incluida en el software CODIS, incluyendo, pero no limitado a: los Boletines
CODIS, capturas de pantalla de software CODIS, materiales de la reunin del CODIS, y
materiales de instruccin o de capacitacin sin la autorizacin previa y por escrito del FBI.
A los efectos de esta Carta de Acuerdo, se considerar a la Agencia Internacional de
Aplicacin de la Ley como la Agencia con domicilio en la primera hoja de esta LOA.

4. El FBI puede tenninar inmediatamente la sublicencia para utilizar el software CODIS si

la Agencia Intemacional de Aplicacin de la Ley conculca cualquiera de las disposiciones
de la presente Carta de Acuerdo. En el caso de extincin de la licencia de uso del software
CODIS, la Agencia Internacional de Aplicacin de la Ley tendr la intencin de eliminar el
software CODIS de su sistema(s), incluyendo todos los medios de comunicacin en lnea y
de almacenamiento, dentro de los diez ( 1O) das hbiles siguientes a la recepcin del aviso
de terminacin por escrito, e inmediatamente devolver el software CODIS y todos los
materiales adjuntos proporcionados por el FBI.

5. La Agencia Internacional de Aplicacin de la Ley tiene la intencin de tomar las

precauciones necesarias para evitar que personas no autorizadas accedan al software
CODIS. En el caso de que el FBI detennine que no se han tomado precauciones razonables,
la sublicencia para utilizar el software CODIS podr ser terminada inmediatamente y no
podr ser restaurada hasta que el FBI dete1mine que se han implementado suficientes
procedimientos de seguridad para proteger el software CODIS del acceso no autorizado. La
determinacin de si se han implementado suficientes procedimientos de seguridad para
proteger el software CODIS por la Agencia Internacional de Aplicacin de la Ley, ser a la
entera discrecin del FBI. Si no se han implementado suficientes procedimientos de
seguridad a satisfaccin del FBI dentro de los treinta (30) das hbiles siguientes a la
recepcin de la notificacin de cancelacin, el FBI podr terminar la licencia de uso del
software de CODIS y la Agencia Internacional de Aplicacin de la Ley deber devolver el
software CODIS al FBI, de conformidad con lo sealado precedentemente.

6. La Agencia Internacional de Aplicacin de la Ley entienden que esta Carta de Acuerdo

exclusivamente entre ella misma y el FBI, y ninguna otra parte o individuo adquiere
derecho alguno sobre el software CODIS en virtud de la presente Carta de Acuerdo. Si un
tercero expresa inters en obtener o tener acceso al software CODIS, la Agencia
Internacional de Aplicacin de la Ley tendr la intencin de remitir el tercero al FBI.

II. RESPONSABILIDADES DE ORGANIZACIN- El FBI y la Agencia Internacional de

Aplicacin de la Ley entienden y tienen la intencin de adherirse a lo siguiente en relacin
con el suministro y uso del software CODIS:

A. Entendimientos del FBI.

El FBI tiene la intencin de:

l. Mantener una licencia sin restricciones para el software CODIS y proporcionar el
mantenimiento de dicho software.

2. Implementar todos los cambios, actualizaciones y /o mejoras necesarias en el sistema

CODIS.

3. Preparar y distribuir directrices para la utilizacin de CODIS; estas directrices se pondrn

a disposicin en el idioma ingls.

4. Determinar la idoneidad de la propuesta de mejoras en el sistema CODIS a propuesta de

los laboratorios del crimen federales, estatales y locales. En general, si el FBI determina
que la propuesta es beneficiosa para la comunidad global del software CODIS, el FBI
tendr la intencin de aprobar y financiar dicha solicitud. Para la compatibilidad Prm, el
software CODIS se mantendr dentro de la versin de los estndares publicados de
confonnidad con los estndares de compatibilidad de Prrn.

5. Instalar y dar apoyo a CODIS, lo cual incluye la instalacin del software CODIS, la
capacitacin al personal apropiado de la Agencia Internacional de Aplicacin de la Ley (en
idioma ingls), la emisin de la documentacin del usuario del software (en idioma ingls),
la provisin de una "Mesa de Ayuda" accesible por va telefnica (en idioma ingls), y
correo electrnico (o una conexin de red).

6. Llevar a cabo personalmente la formacin de usuarios para un mximo de veinte (20)

personas en una ubicacin fisica proporcionada por la Agencia Internacional de Aplicacin
de la Ley.

B. Entendimientos de la Agencia Internacional de Aplicacin de la Ley.

La Agencia Internacional de la aplicacin de la ley tienen la intencin de:

l. Aceptar el software CODIS y operarlo de confornlidad con las reglas y regulaciones de

la Agencia Internacional de Aplicacin de la Ley aplicables y segn los ttminos y
condiciones de esta Cruta de Acuerdo.

2. Designru un enlace CODIS para comunicarse con el FBI (en idioma ingls).

3. Aceptar la decisin del FBI respecto a las solicitudes de mejora del software y, en caso
de que la solicitud de mejora de la Agencia Internacional de Aplicacin de la Ley sea
denegada, continuar utilizando el software CODIS, tal como existe o devolver el software
CODIS y toda documentacin de apoyo para el FBI.

4. Proporcionar una instalacin adecuada para el FBI o su contratista para llevar a cabo una
clase de capacitacin in situ de usuarios. Esto incluye mesas, sillas, conectividad adecuada,
regletas, transformadores de potencia para convertir de EE.UU. 11 Ov al estndar de

electricidad del pas receptor, segn sea necesario para todos los estudiantes y estaciones de
trabajo, dos pantallas para proyectar presentaciones, y dos proyectores de ordenador.

5. Designar personal apropiado para la capacitacin CODIS, y de ser necesario,

proporcionar intrpretes para acompaar a dicho personal a la capacitacin. Todo el
personal que asista deber tener un conocimiento prctico del idioma ingls. La clase y
todos los materiales estarn disponibles en el idioma ingls.

6. Proporcionar al FBI o a su contratista la lista de los nombres de quienes participarn en

la capacitacin del FBI diez ( 1O) das hbiles antes de la capacitacin programada.

7. Proporcionar una direccin de entrega y recepcin de los equipos y materiales que se

utilizarn para llevar a cabo la capacitacin in situ. Asegurar el equipo y los materiales
antes, durante y despus de la clase (hasta el envo de regreso al FBI o a su contratista).
Asimismo, proporcionar apoyo para el transporte local del equipo de entrenamiento y
materiales segn sea necesario.

8. Si se instala en ms de un sitio, todo el hardware del ordenador y software comercial

("Commercial Offthe Shelf'- COTS) sern llevados a una nica ubicacin centralizada
para su instalacin.

III. COSTOS - El FBI y la Agencia Internacional de Aplicacin de la Ley entienden y

tienen la intencin de adherirse a lo siguiente en relacin con los costos asociados con el
suministro y uso del software CODIS:

A. Intenciones del FBI:

l. Proporcionar el software CODIS, as como sus actualizaciones y mejoras.

2. Mantener el software CODIS.

3. Proporcionar una demostracin para la Agencia Internacional de Aplicacin de la Ley en

situ inmediatamente despus de la instalacin.

4. Proporcionar copias de la documentacin necesaria para el uso del CODIS software.

5. Mantener un servicio de asistencia (en idioma ingls) para los usuarios del CODIS . El
FBI proporcionar un mismo servicio de asistencia para todas las Agencias Internacionales
de Aplicacin de la Ley que utilicen el software CODIS.

6. Proporcionar la capacitacin CODIS o bien durante la instalacin o inmediatamente

despus de la misma. La capacitacin tendr una extensin de aproximadamente cuatro a
cinco das.

7. Proporcionar un mdulo prctico de capacitacin ("Computer Based Training"- CBT) y

actualizaciones de nuevas versiones.

8. Solventar el salario y beneficios del personal empleado por el FBI y/o contratistas del
FBI.

B. Las intenciones de la Agencia Internacional de Aplicacin de la Ley:

l . Solventar el salario y beneficios del personal empleado por la Agencia Internacional de

Aplicacin de la Ley para operar el software CODIS.

2 . Solventar el viaje y gastos de alojamiento para al menos dos contratistas del FBI para
viajar hacia la Agencia Internacional de Aplicacin de la Ley a los efectos de instalar el
software CODIS y brindar capacitaciones sobre su uso.

3. Solventar los beneficios salariales y gastos de viaje/alojamiento para el personal de la

Agencia Internacional de Aplicacin de la Ley (e intrpretes, de ser necesario) para asistir a
la capacitacin del CODIS a llevarse a cabo en un nico lugar dentro del pas receptor.

4. Instalar, de ser necesario los gastos operativos asociados con una conexin de red amplia
para el servicio de asistencia CODIS.

5. Solventar los salarios, beneficios y gastos de viaje/alojamiento, asociados con la solicitud

de asistencia del contratista del FBI, segn sean requeridos o solicitados en situ para la
Agencia Internacional de Aplicacin de la Ley.

6. Solventar los salarios y beneficios asociados con la asistencia al usuario del contratista
del FBI segn sean requeridos o solicitados en adicin de lo provisto a travs del servicio
de asistencia instalado por el FBI (de conformidad con lo especificado en la Seccin III.A.F
precedentemente).

7. Proveer un espacio fisico (y, de ser necesario, cualquier modificacin al mismo) para
instalar el sistema CODIS, incluyendo los gastos de operacin en relacin con ese espacio,
tales como de electricidad, calefaccin, aire acondicionado y seguridad.

8. Proporcionar todo el hardware y actualizaciones del hardware necesarias para ejecutar

propiamente el software CODIS.

9 . Cubrir los costos de contar con las instalaciones adecuadas para que el FBI o su
contratista desarrollen las capacitaciones in situ a los usuarios.

10. Reembolsar al FBI o su contratista por los gastos de envo del equipo de entrenamiento
y materiales.

IV. ACCESO AL SISTEMA NACIONAL DE INDEXACIN DE ADN. Nada de lo

contenido en esta Carta de Acuerdo autoriza el acceso a la Agencia Internacional de
Aplicacin de la Ley al Sistema Nacional de Indexacin de ADN (NDIS) administrado por
el FBI. El acceso y las bsquedas en NDIS por la Agencia Internacional de Aplicacin de la
Ley debern regirse por un acuerdo por separado y con arreglo a los procedimientos NDIS.

V. RESPONSABILIDAD

A. La Agencia Intemacional de Aplicacin de la Ley tiene la intencin de mantener

indemne y exonerar al FBI de cualquier reclamo que pueda interponer un tercero.

B. Cualquier disputa que surja en relacin con esta Carta de Acuerdo o su objeto, se
aplicar la ley de los Estados Unidos y/o del Distrito de Columbia segn sea el caso.

VI. TERMINACIN DE LA CARTA DE ACUERDO

A. Cualquiera de las partes podr rescindir la presente Carta de Acuerdo, por cualquier
motivo, con un preaviso por escrito de treinta (30) das de la fecha en la que se pretenda
terminar el acuerdo.

B. En caso de recisin de la presente Carta de Acuerdo, la Agencia Intemacional de

Aplicacin de la Ley entiende y tiene la intencin de eliminar el software CODIS de su
sistema(s), incluyendo todos los medios de comunicacin en lnea y de almacenamiento
dentro de los diez (1 O) das hbiles de la recepcin de la notificacin de terminacin, e
inmediatamente regresar el software CODIS y todos los materiales asociados
proporcionados por el FBI.

VII. MODIFICACIONES A LA CARTA DE ACUERDO. Esta LOA representa el acuerdo

completo y final sobre la materia entre el FBI y la Agencia Internacional de Aplicacin de
la Ley, sin peijuicio de cualquier acuerdo previo, ya sea oral o escrito. Las modificaciones a
esta Carta de Acuerdo slo tendrn efecto de ser por escritas y firmadas por ambas partes.

 Letter of Agreement
This Letter of Agreement, (LOA) dated , is made by and
between the Federal Bureau of Investigation (hereinafter referred toas "FBI") and the
National Ministry of Security of the Argentine Republic with offices at Gelly y Obes
2289, Buenos Aires City, Argentina (hereinafter referred toas "Intemational Law
Enforcement Agency") .

WHEREAS, the FBI sponsors the Combined DNA index System version 7.0 or
subsequent versions (hereinafter referred to as "CODIS") as part of a technical assistance
program to Federal, State and local crime laboratories which allows crime laboratories to
store, compare and match DNA records from offenders, crime scene evidence,
unidentified human remains and relatives of missing persons; and

WHEREAS, the FBI provides CODIS software to Federal, State and local crime
laboratories performing DNA analysis, as well as training, user support, and software
upgrades at no cost to the crime laboratories;

WHEREAS, the FBI is also authorized to malee available the serv ces of the FBI
Laboratory to intemationallaw enforcement agencies;

WHEREAS, Intemational Law Enforcement Agency (as represented by the

undersigned) intends to abide by all the provisions of this LOA;

NOW, THEREFORE, this LOA memorializes the understandings between the

FBI and Intemational Law Enforcement Agency for the sharing, use and support of the
CODIS software and services:

l. SUBLICENSE TO USE CODIS SOFTWARE

A. The FBI has granted Intemational Law Enforcement Agency an unlimited

sublicense to use the CODIS software and modifications/enhancements
thereto (hereinafter referred toas "CODIS software").

B. By signing this Letter of Agreement, Intemational Law Enforcement

Agency expressly acknowledges:

l. The CODIS software, for which the FBI has or will obtain an
unrestricted license to use, remains the exclusive property ofthe FBI.

2. The Intemational Law Enforcement Agency personnel may not use the
CODIS software in any manner until specifically authorized to do so
by the FBI.

3. This LOA does not authorize the Intemational Law Enforcement
Agency to distribute or sublicense the CODIS software, or copy the
CODIS software for putposes of distribution or distribute the CODIS
software. This LOA does not authorize the International Law
Enforcement Agency to distribute, publish or publicly disclose
information obtained from or included in the CODIS software,
including, but not limited to: CODIS Bulletins, screen shots of CODIS
software, CODIS meeting materials, and instructional and/or training
materials without the prior written approval ofthe FBI. For plilposes
of this Letter of Agreement, the International Law Enforcement
Agency shall be considered the agency at the address listed on the first
page of this LOA.

4. The FBI may mmediately termnate the sublicense to use the CODIS
software ifthe Intemational Law Enforcement Agency violates any of
the provisions of this Letter of Agreement. In the event the !icense to
use the CODIS software is terminated, the Intemational Law
Enforcement Agency intends to remove the CODIS software from its
system(s), including all on-line and backup storage media, within ten
( 1O) business days of receipt of a written termination noti ce, and
inunediately retum the CODIS software and all accompanying
materials provided by the FBI.

5. The Intemational Law Enforcement Agency intends to take reasonable

precautions to prevent unauthorized persons from accessing the
CODIS software. In the event that the FBI determines that such
reasonable precautions have not been taken, the sublicense to use the
CODIS software may be terminated immediately and may not be
restored until the FBI determines that sufficient security procedures
have been implemented to protect the CODIS software from
unauthorized access. The determination whether sufficient security
procedures to protect the CODIS software have been implemented by
the Intemational Law Enforcement Agency is the sole discretion of the
FBI. If sufficient security procedures have not been implemented to
the satisfaction ofthe FBI within thirty (30) business days ofreceipt of
the cancellation notice, the FBI may termnate the license to use the
CODIS software and the Intemational Law Enforcement Agency
should retum the CODIS software to the FBI as provided above.

6. The Intemational Law Enforcement Agency understands that this

Letter of Agreement is sol el y between itself and the FBI, and no other
party or individual acquires any rights to the CODIS software by
virtue of this Letter of Agreement. If any third party expresses an
interest in obtainng or having access to the CODIS software, the
Intemational Law Enforcement Agency ntends to refer the third party
to the FBI.

 II. ORGANIZATIONAL RESPONSIBILITIES - The FBJ and the International
Law Enforcement Agency understand and intend to adhere to the following
relating to the provison and use of the CODIS software:

A. Understandings ofthe FBI.

The FBI intends to:

l. Continue to hold an unrestricted license for CODIS software and

provide maintenance for that software.

2. Implement all necessary system-wide changes, upgrades and/or

enhancements to CODIS.

3. Prepare and distribute guidelines for utilization ofCODIS; such

guidelines shall be made available in the English language.

4. Detennine suitability ofproposed CODIS system enhancements as

proposed by Federal, State, local, and international crime laboratories.
Generally, if the FBI determines that the requested enhancement is
beneficia! to the overall CODIS software community, then the FBI
intends to approve and fund such rcquest. For Priim compatibility,
CODIS software shall be maintained to within one version of current
published standards in accordance with Prm backward compatibility
standards.

5. Install and provide support for CODIS, which includes installation of

CODIS software, training of appropriate personnel from the
International Law Enforcement Agency (in the English language),
issuing software user documentation (in the English language),
providing a Help Desk accessible va telephone (in the English
language), and email (or wide area network connection).

6. Conduct hands on user training for up to twenty (20) people at one

physicallocation provided by the International Law Enforcement

,,
Agency.

B. Understandings ofthe lnternational Law Enforcement Agency.

The International Law Enforcement Agency intends to:

l. Accept the CODIS software and operate it in accordance with the

f!JS> applicable rules and regulations of the International Law Enforcement
Agency and the terrns and condtions ofthis Letter of Agreement.

2. Appoint a CODIS liaison to communicate with the FBI (in the English

 language).

3. Accept the decision ofthe FBI with respect to software enhancement

requests and in the event that the Intemational Law Enforcement
Agency's request for a software enhancement is denied, continue to
use the CODIS software as it exists or retum the CODIS software and
any and all supporting documentation to the FBL

4 . Provide an appropriate facility for the FBI or its contractor to conduct

an onsite user training class. This includes tables, chairs, adequate
power, power strips, power transformers to convert from U.S . l lOv to
the electricity standard ofthe receiving country as needed for all
students and instructor workstations, two screens to project a
presentation, and two computer projectors.

5. Designate appropriate personnel for CODIS training, and if necessary,

provide interpreters to accompany sucb personnel to the training. All
persmmel attending should have a working knowledge of the English
language. The class and all materials will be in the English language.

6. Provide the Iist ofnames oftraining attendees to the FBI or its

contractor ten (1 O) business days in advance of the scheduled training.

7. Provide an address and receive delivery of equipment and materials

that will be used to conduct the onsite training. Secure the equipment
and materials prior, during and after the class (until retum shipping
occurs to the FBI or its contractor). Further, provide support for the
local transport oftraining equipment and materials as necessary.

8. If more than one site shall be installed, all computer hardware and
Cornmercial Offthe Shelf(COTS) software will be brought toa single
centralized Iocation for installation.

III. COSTS - The FBI and the Intemational Law Enforcement Agency understand
and intend to adhere to the following relating to the costs associated with the
provision and use ofthe CODIS software:

A. Intentions ofthe FBI:

1. Provide the CODIS software, including system upgrades and

enhancements.

2. Maintain the CODIS software.

3. Provide a demonstration for Intemational Law Enforcement Agency

on site irnmediately following installation.

 4. Provide copies ofnecessary documentation for use of the CODIS
software.

5. Maintain a Help Desk (in the English language) for CODIS users. The
FBI will provide one help desk position for the support of all ofthe
International Law Enforcement Agencies using CODIS software.

6. Provide CODIS software training class provided either during the

installation or immediately following the installaton. The class is
approximately four to five days long.

7. Provide a Computer Based Training (CBT) module and updates for

any new releases.

8. Pay salary and benefits for personnel employed by the FBI and/or FBI
contractors.

B. Intentions ofthe Intemational Law Enforcement Agency:

l . Pay salary and benefits for personnel employed by the Intemational

Law Enforcement Agency to operate the CODIS software.

2. Pay travel and lodging costs for at least two FBI contractor personnel
to travel to the Intemational Law Enforcement Agency to nstall the
CODIS software and train in ts applications.

3. Pay Salary benefits and travelllodging expenses for personnel ofthe

Intemational Law Enforcement Agency (and interpreters, f
necessary) to attend CODIS training held ata single location within
the receiving country.

4. Install, if necessary and operating expenses associated with a wide

area network connection to the CODIS Help Desk.

5. Pay Salary and benefits and travelllodging expenses associated wth

FBI contractor support required and/or requested to be provided on-
site at the Intemational Law Enforcement Agency.

6. Pay Salary and benefits associated with FBI contractor user support
required and/or requested beyond what is provided through the one
contractor help desk position funded by the FBI (as specified in
Section III.A.5 above).

7. Provide Physical space (and, ifnecessary, any modifications thereto)

to accommodate the CODIS system, including operating expenses in

 connection with that space, such as electric, heat, air conditioning,
and security.

8. Provide all hardware and hardware upgrades necessary to properly

run the CODIS software.

9. Cover costs for an appropriate facility for the FBI or its contractor to
conduct an onsite user training class.

1O. Reimburse to the FBI or its contractor for of all shipping costs for
training equipment and materials.

IV. ACCESS TO THE NATIONAL DNA INDEX SYSTEM. Nothing contained

in this Letter of Agreement authorizes the International Law Enforcement Agency
access to the National DNA lndex System (NDIS) administered by the FBI.
Access to and searches ofNDIS by an International Law Enforcement Agency
should be governed by a separate agreement in accordance with NDIS
Procedures.

V. LIABILITY

A. The International Law Enforcement Agency intends to indemnify and hold

harmless thc FBI for any claims that may be asserted by a third party.

B. Should any claim arise regarding this Letter of Agreement or its subject
matter, the law of the United States and/or the District of Columbia shall
apply as applicable.

VI. TERMINATION OF THE LETTER OF AGREEMENT

A. Either party may termnate this LOA, for any reason, by providing the
other party with thirty (30) days written notice oftheir intent to termnate.

B. In the event of a termination of this LOA, the International Law

Enforcement Agency understands and intends to remove the CODIS
software from its system(s), including all on~line and backup storage
media, within ten (10) business days ofreceipt ofthe termination notice,
and immediately return the CODIS software and all accompanying
materials provided by the FBI.

VII. MODIFICATIONS TO THE LETTER OF AGREEMENT. This LOA

represents the full and final arrangement on this issue between the FBI and the
International Law Enforcement Agency, notwithstanding any prior arrangement,
either oral or written. Modifications to this LOA should only be effective if in
writing and signed by all parties.
