Supply & Installation of MEP Works ON

SUB-CONTRACT AGREEMENT

This Subcontract Agreement is entered into this 21st day of September, 2010 by and
between:

TAG Engineering & Contracting Co. W.L.L.., P.O. Box: 31840, Doha, Qatar, a firm
duly organized and registered in Qatar as a General Contractor, having Commercial
Registration No.37106, and having its registered and executive office at Villa No.
114712, Ain Khalid, behind Al-Jazeera Petrol Station, Salwa Road, Doha-Qatar,
(hereinafter referred to as The Contractor or TAG) which term and expression
shall, where the context so admits, mean, and include its authorized representatives,
legal successors and assignees) herein referred as Party-1,

AND

------------------------------------- as the Subcontractor for Mechanical Electrical &

Plumbing works, having Commercial Registration No. -------- and having its
registered and executive office located at------------- , Doha, Qatar, (hereinafter
referred to as the The Subcontractor or as ---------) which term shall, where the
context so admits, mean and include its authorized representatives, legal
successors, but not any assignees) herein referred as Party-2.

(Hereinafter referred to collectively as Parties and individually as Party).

Whereas The Contractor has entered into an agreement (hereinafter called the
Contract with Public Works Authority (hereinafter called Employer or PWA or
Ashghal) for their project referred as Renovation of Qatar Radio & TV Corporation
Complex, the Corporation now with its new name as Qatar Media Corporation,
State of Qatar (hereinafter referred to as the Owner or QMC).

And whereas the Contractor is desirous to sublet Mechanical, Electrical, and

Plumbing Works (hereinafter referred to as Subcontract Works or MEP Works) and
the Subcontractor has agreed to undertake and complete the same in accordance
with the terms and conditions set out in the Subcontract,

Now therefore, for and in connection of the promises, covenants, and agreements
hereinafter contained and to be performed by the parties hereto, the said parties
hereby covenant and agree as follows:

The Contractor hereby covenants to pay to the Subcontractor, in consideration of the

execution and successful completion of the Subcontract Works defined in Scope of
Work (SOW) and Division of Responsibilities (DOR) and the remedying of any
defects therein acceptable to the Contractor, Consultant, Employer and the Owner;
the Subcontract Price or such other sums as may become payable under the
provisions of the Subcontract Agreement.

This Subcontract will carry back to back responsibilities and obligations and rights of
the Employer in the Contract shall be deemed the obligations and rights of the
Contractor unless otherwise modified and / or amended in the Particular Conditions
(attached as Annex-1).

The obligations and rights of the Contractor in the Contract shall be deemed to be
obligations and rights of the Subcontractor unless otherwise amended in the
Particular Conditions.

The word Contract Works appeared in Contract shall be deemed as Subcontract

Works

The following documents shall be deemed to form and be read and construed
together as part of this Subcontract Agreement. In the event of ambiguity between
any of the provisions of the Subcontract, the priority shall be in the order listed
below:

1. This Subcontract Agreement.

2. Special Stipulations (Annexure-1.1)
3. Contract including Particular Conditions, General Conditions,
Specifications, Drawings and other documents forming part of
Contract. (Annexure-1.2)
4. Project Specifications with their Compliance. (Annexure-2)
5. Scope of Work. (Annexure-3)
6. Project Milestones. (Annexure-7)

7. Division of Responsibilities. (Annexure-4)

8. Price Breakdowns. (Annexure-5)
9. Project Organization Chart. (Annexure-6)
