MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement is entered into by and between:

SUNFINE STAFF TRAINING CENTER, a language service provider for student visa and trainee
visa individuals duly organized and registered in accordance with the Philippine Laws with office address at
Room 418 JMM Building, CCDC, Buyagan, La Trinidad, Benguet, Philippines herein referred to as the
FIRST PARTY and herein represented by the General Manager Jeremiah L. Gumpic, of legal age, Filipino
citizen and a resident of Boted, Tawang, La Trinidad, Benguet;

-and-

CORDILLERA CAREER DEVELOPMENT COLLEGE a non-stock, non-profit educational

institution duly organized and registered in accordance with the Philippine Laws located at Buyagan, La
Trinidad, Benguet, Philippines herein referred to as the Second Party and herein represented by Sherry
Junette M. Tagle, of legal age, Filipino Citizen and a resident of Beckel, La Trinidad, Benguet, Philippines.

W I T N E S S E T H :

WHEREAS, the FIRST PARTY is a Japanese language assistance provider duly organized and
registered in accordance with the Philippine Laws;

WHEREAS, SECOND PARTY is a non-stock non-profit educational institution duly organized and
registered under Philippine laws;

WHEREAS, the parties agree to the following terms and conditions;

TERMS AND CONDITIONS:

Obligations of the First Party:

SECOND PARTY agrees to lease its facilities to the FIRST PARTY;

WHEREAS, above parties agreed that above mentioned account settlement shall be subject to the
following terms and conditions;

1. The FIRST PARTY shall pay to the SECOND PARTY the amount of Five
Thousand Pesos (P5,000) monthly as payment for the usage of facilities by the
individuals of the trainee program;

2. The FIRST PARTY shall give a share of Fifteen Percent (15%) from the Gross
Revenue acquired from the Student Visa language assistance program to the
SECOND PARTY as payment for usage of facility;
 WHEREAS, the FIRST PARTY agrees to provide language assistance to the students of the
SECOND PARTY such as Japanese Foreign Language Subject;

WHEREAS the FIRST PARTY agrees to provide certificates to the students of the SECOND
PARTY upon completion of a Japanese Foreign Language Subject which can be used as an access to any
of the Visa Assistance Programs provided by the FIRST PARTY;

WHEREAS, parties further agreed to avail of the alternative modes of dispute resolution in the
settlement of any and all dispute/s that may arise from this contract. In the event that the dispute has to be
filed in court, the same shall only be filed in the proper courts of La Trinidad;

WHEREAS, the terms and conditions of this agreement shall be binding and enforceable between
the parties, their heirs and assigns;

WHEREAS, THE PARTIES WILLINGLY AND VOLUNTARILY ENTERED INTO THIS

AGREEMENT AND DO HEREBY PROMISE AND AGREE TO FAITHFULLY COMPLY WITH ALL ITS
TERMS AND CONDITIONS THEREOF.

IN WITNESS WHEREOF, the PARTIES have hereunto affixed their signatures this

 This instrument, which refers to a Memorandum of Agreement, consists of Two (2) Pages
including the page whereon this acknowledgment is written, has been signed on each and every page
thereof by the parties and their witnesses, and sealed with my notarial seal.
