services, among others. Oracle operates in more than 145 countries across the world. It is headquartered
in Redwood Shores, California and employed approximately 136,000 people as of May 31, 2015.

The company recorded revenues of $37,047 million during the financial year ended May 2016 (FY2016),
a decrease of 3.1% as compared to FY2015. The operating profit of the company was $12,604 million in

Oracle Corporation (Oracle or "the company") is one of the leading providers of information technology
(IT) solutions. The company offers software and computer hardware products and services, including
database and middleware software, application software, cloud infrastructure, hardware systems such as
computer server, storage and networking products and related support and services. It also offers a range
of cloud computing technologies, including database and middleware software as well as web-based
applications, virtualization, clustering, large-scale systems management and related infrastructure. The
company operates in the Americas, Europe, Middle East and Africa, and Asia Pacific.

Oracle operates through three businesses: cloud and on-premise software, hardware and services.
These businesses are further divided into five operating segments which include software license updates
and product support; cloud software and on-premise software; hardware products; hardware support; and
cloud infrastructure-as-a-service (IaaS).

The company's software licenses updates and product support segment offers personalized support
services, including Oracle Lifetime Support and product enhancements and upgrades. Software license
updates provide customers with rights to software product upgrades and maintenance releases and
patches released during the term of the support period. Product support includes internet and telephone
access to technical support personnel located in the company's global support centers, as well as internet
access to technical content. Software license updates and product support contracts are generally priced
as a percentage of the net new software license fees. Oracle's customers purchase software license
updates and product support contracts when they acquire new software licenses and renew their software
license updates and product support contracts annually.

Oracles cloud software and on-premise software business segment markets, sells and delivers a range
of application and platform technologies through Software as a Service (SaaS), and Platform as a service
(PaaS) offerings. Oracles software applications and platforms, SaaS and PaaS are delivered through a
cloud-based IT environment that the company hosts, manages and supports, through the licensing of
software products, including Oracle Applications, Oracle Database, Oracle Fusion Middleware and Java,
among others.

The hardware products segment provides Oracle Engineered Systems, servers, storage, networking,
industry-specific hardware, virtualization software, operating systems including the Oracle Solaris
Operating System and management software to support IT environments, including cloud computing
environments.

The companys hardware support segment offers customers with software updates for the software
components essential to the functionality of hardware products, such as Oracle Solaris and certain other
software products, and can include product repairs, maintenance services and technical support services.

The cloud IaaS business segment provides infrastructure cloud services that are enterprise-grade, hosted
and supported within the Oracle Cloud to perform elastic compute, storage and networking services on a
subscription basis; and Oracle Managed Cloud Services, a comprehensive software and hardware
management and maintenance services for customer IT infrastructure for a fee for a stated term that are
hosted at Oracle data center facilities, select partner data centers or physically on premise at customer
facilities.

Additionally, the companys services business includes: consulting services, designed to support
customers and global system integrator partners architect and deploy Oracles offerings, including IT
strategy alignment, enterprise architecture planning and design, initial software implementation and
integration, and ongoing software enhancements and upgrades; advanced customer support services,
are provided on premise and remotely to customers, enabling them to access Oracle products and
services and also include certain other services; and education services for Oracle products and services,
including training and certification programs offered to customers, partners and employees in various
formats, including instructor-led classes at the companys education centers, live virtual training, self-
paced online training, private events and custom training.

HISTORY
Larry Ellison, Robert Miner, Bruce Scott and Edward Oates founded Oracle as System Development
Laboratories in 1977. They decided to build a new type of database called a relational database system
and changed the name to Relational Software (RSI). In 1979, RSI shipped its first commercial structured
query language (SQL) database, V2. In 1982, the company changed its name to Oracle Systems, which
later became Oracle Corporation (Oracle or "the company"). A year later, the company introduced V3, the
first portable database to run on personal computers (PCs), minicomputers and mainframes. In 1984, the
company established Oracle Canada, Oracle Netherlands and Oracle UK.

Oracle went public in 1986 and within two years, it became the world's largest database management
system (DBMS) company. Subsequently, it also added financial management, graphics and human
resource management software, and began offering consulting services to customers.

The company launched its first media server for video-on-demand (VOD) in 1994. In the following year, it
launched a 64-bit relational data base management system (RDBMS). Growth continued in 1997 when
the company formed the Network Computer affiliate to market an internet appliance with no disk drive and
local memory. The company also released a database, Oracle8, and introduced its first comprehensive
customer resource management (CRM) software.

Oracle launched Oracle8i, an internet database and centerpiece of Oracle's internet platform, in 1999. It
also formed a separate company, Oraclemobile.com, to provide free internet content aggregation
services to mobile phone users. Oracle acquired data quality specialist Carleton, in 2000, and in the
following year, it acquired Strategic Processing. In 2002, the company acquired the intellectual property
and technology assets of Indicast, a provider of open, standards-based voice portal technology; and
acquired Netforce. Oracle made an unsolicited offer to acquire enterprise software company PeopleSoft
in 2003, which was rejected by the PeopleSoft's board.

The company acquired the assets of SiteWorks Solutions, a supplier of clinical trial management software
products, in 2004. Subsequently, Oracle submitted a revised bid to acquire PeopleSoft, which was
accepted by the PeopleSoft's Board of Directors, and the acquisition was completed in 2005. The
acquisition included PeopleSoft's development centers based in Bangalore, India. In the same year, the
company acquired majority interest in i-flex solutions for approximately $909 million, which served 575
banks in 115 countries with its products supporting corporate banking, consumer banking, investment
banking, internet banking, asset management and investor services.

In 2006, the company acquired CRM applications provider Siebel Systems for approximately $5.9 billion.
Oracle's other acquisitions in the year included Sleepycat Software, a private supplier of open source
database software for developers of embedded applications; HotSip, a provider of telecommunications
infrastructure software; Net4Call, a leading provider of service delivery components for
telecommunications industry to support the company's service delivery platform (SDP) for the
telecommunications industry; Telephony@Work, an internet protocol (IP)-based contact center
technology developer; Portal Software, a provider of billing and revenue management solutions for the
communications and media industry; intellectual property assets of Sigma Dynamics Technology, a real
time decision software developer; Sunopsis, a provider of data integration products for heterogeneous IT
environments; MetaSolv Software, a provider of support system (OSS) solutions for communications
service providers; Stellent, a provider of enterprise content management (ECM) software solutions; and
SPL WorldGroup, a provider of revenue and operations management software for the utilities industry.

The company continued its acquisition spree in 2007 by acquiring Hyperion, a provider of performance
management software; Tangosol, a provider of data grid software; intellectual property assets of
AppForge, a developer of mobile application development and mobile applications platform; Lodestar, a
provider of meter data management and competitive energy operation solutions; Agile, a provider of
product life management software solutions; Bharosa, a provider of online identity theft and fraud
detection software; Netsure Telecom, a provider of network intelligence, analytics and network data
integrity software; Bridgestream, a provider of Enterprise Role Management software; LogicalApps, a
provider of automated governance, risk and compliance (GRC) controls management solutions; Interlace
Systems, a provider of strategic operational planning software; and Moniforce, a software vendor for
monitoring the availability and performance of any web application. In the same year, Oracle established
Oracle Asia Research and Development Center (OARDC) Shanghai, China, a research and development
center to focus on innovation in computing and web 2.0 technologies. It also collaborated with Sun
Microsystems, a provider of computers, computer software and hardware, and information technology (IT)
services to deliver pre-configured databases.

In 2008, Accenture opened an Innovation Centre at Oracle's UK headquarters in Reading (Berkshire, the
UK) for the development, delivery and commercialization of business solutions based on Oracle
technology. In the same year, Oracle acquired BEA Systems, a provider of enterprise application
infrastructure solutions, and extended its ECM software portfolio through acquisition of Captovation, a
provider of document capture solutions. In the same year, i-flex's name was changed to Oracle Financial
Services. Oracle and Satyam Computer Services (now part of Tech Mahindra), a consulting and IT
services provider, entered into a co-development agreement to build Oracle Application Integration
Architecture (AIA) Process Integration Packs for Enterprise PLM. The company's other acquisitions in
2008 included AdminServer, a provider of insurance policy administration software; Global Knowledge
Software, a division of Global Knowledge; ClearApp, a supplier of application management solutions for
composite applications; Advanced Visual Technology, a provider of three dimensional (3D) visual macro
space planning software for retailers; Primavera Software, a provider of Project Portfolio Management
(PPM) solutions; RuleBurst Holdings, the parent company of Haley, a provider of policy modeling and

automation software; and Tacit Software's intellectual property assets. During 2008, Oracle announced
plans to construct a new Global Information Technology facility in West Jordan, Utah. Wipro Technologies
entered into an agreement with Oracle to co-develop and jointly market process integration packs (PIPs)
built on the Oracle Application Integration Architecture (AIA) for communications. The companies also
launched the innovative solutions lab (OZONE) at Wipro's Electronic City Facility in Bangalore, India. In
the same year, Oracle and semiconductor chip company Intel entered into collaboration to work on
enterprise ready cloud computing.

In 2009, Oracle acquired application configuration management solutions provider mValent; Relsys
International, a provider of drug safety and risk management solutions; GoldenGate Software, a provider
of real-time data integration solutions; Sun Microsystems and Virtual Iron Software, a provider of server
virtualization management software; and certain assets of HyperRoll, a provider of financial reporting
acceleration solutions. In the same year, Oracle and LumenData, a product development and services
firm focused on enterprise data management, entered into an agreement to co-develop Oracle Master
Data Management (MDM) products for higher education institutions. Subsequently, Deloitte and Oracle
extended their alliance to address organizational challenges associated with the conversion to
International Financial Reporting Standards (IFRS). During the year, Accenture and Oracle expanded
their global network of development centers, with the opening of the Accenture Innovation Centers for
Oracle in Tokyo, Japan and in Istanbul, Turkey.

In 2010, Oracle acquired Silver Creek Systems, a provider of product data quality solutions; Sun
Microsystems; AmberPoint, a provider of SOA solutions; Convergin, a provider of real-time service
brokering solutions; and Phase Forward, a provider of applications for life sciences companies and
healthcare providers. In the same year, the company acquired Secerno, a provider of database firewall
solutions; some of the pre-paid assets of eServGlobal, a provider of advanced IT-based, pre-paid
charging solutions for the communications industry; and Art Technology Group, a provider of eCommerce
software and related on demand commerce optimization applications. Subsequently, Accenture and
Oracle agreed to jointly develop integrated software packages to address the growing needs of social
service agencies around the world. During the year, Qualcomm and Oracle pre-integrated Oracle's Sun
Java Wireless Client on Brew Mobile Platform Operating System. Hindustan Petroleum Corporation
(HPCL), one of India's largest public sector units, selected Oracle Audit Vault and Oracle Database Vault
solutions for its crude oil import tender application. Teknosa, Turkey's leading technology retailer,
selected the company's Oracle Retail Macro Space Management and Oracle Retail In-Store Space
Collaboration to optimize Teknosa's retail space and for localizing and tailoring assortment, price and
promotions within its 256 stores. The UAE Central Bank selected Oracle FLEXCUBE to improve banking
efficiency in the Emirates and provide insights into the changing scenario of assets and liabilities of banks
in the country.

During 2010, NaviSite started using Oracle's Sun Servers as a foundation for its managed services
offering. Wipro and Oracle formed an alliance to co-develop an integration solution to help consumer

goods companies launch new products faster. Oracle and Capgemini expanded their relationship to
provide application testing solutions. The company also collaborated with CACI to deliver solution and
services to improve federal contract management and launched Oracle Health Sciences Institute, in
partnership with Sun Labs. Oracle, Fundtech and Sierra Atlantic jointly introduced Seamless STP, a
solution that integrates bank payments and receivables processing systems with their corporate client's
ERP systems, offering corporate treasury executives a single, transparent view of cash flow. The
company made a strategic investment in Mellanox Technologies, a supplier of end-to-end connectivity
solutions for servers and storage systems. The company expanded its partnership with Open Text
allowing it to embed Oracle technology to deliver a new set of enterprise content solutions. Oracle and
Apple together launched OpenJDK project, an open source project focused on implementation of the
Java programming language, for Mac OS X.

In 2011, Oracle provided its software suite to support Cox Communications' wireless service. In the same
year, Dapey Zahav, yellow pages of Israel chose Oracle Exadata for its core systems and the bank of the
Lao PDR selected Oracle FLEXCUBE universal banking to modernize operations. Subsequently, Brazil's
Banco Santander selected Oracle Exadata database machine and ICON selected Oracle Health
Sciences LabPas to automate its clinic processes. During the same year, Oracle and Fujitsu, a Japanese
multinational IT equipment and services company, delivered enhanced SPARC enterprise M3000 server.
The company won new clients, including Transplace, PHH, ALDO, Sandia National Laboratories, Sharp
HealthCare, Zawya, Sony Ericsson, Media Markt China, Nilson Group, Acuatico Air Indonesia and
healthAlliance.

In 2012, 7-Eleven Mexico selected Oracle Retail Platform to support growth. In the same year, American
Apparel, a clothing manufacturer, distributor, and retailer, chose Oracle's ATG Web Commerce to support
global retail channels. Subsequently, Oracle and Cloudera entered into a joint agreement to provide
Apache Hadoop distribution and tools for Oracle Big Data Appliance. The company made a series of
acquisitions in 2012, including RightNow, the US software company to enhance its customer service
cloud capabilities; ClearTrial, a provider of cloud-based clinical trial operations; Taleo, a database vendor;
DataRaker, a provider of a cloud-based analytics platform; Eloqua, a provider of cloud-based marketing
automation and revenue performance management software; and SelectMinds a provider of cloud-based
social talent sourcing and alumni management applications. In the same year, the USC Shoah
Foundation Institute selected Oracle's StorageTek T10000C Tape Drives to support its ongoing project to
catalogue and preserve visual testimonies from Holocaust survivors and witnesses. Subsequently, Oracle
partnered with Deloitte Consulting, a management consulting firm, to deliver a pre-configured enterprise
risk and finance solution that includes financial services industry specific accounting rules library,
reporting and key performance indicator catalog, and data models. During 2012, ARTstor, a non-profit
organization, selected Oracle's Sun ZFS Storage 7420 appliances to support rapidly growing digital
image library. ING Bank Netherlands, a financial services organization, selected Oracle Fusion Human
Capital Management. The University of Louisville selected Oracle Enterprise Healthcare Analytics
solutions, Oracle Database 11g and Oracle Fusion Middleware components as the foundation for the
Louisville Informatics Institute (LOUI) initiative. Subsequently, the company made a strategic minority
investment in Engine Yard, a cloud development platform that supports Ruby, PHP and Node.js web

development languages. Oracle unveiled cloud and consolidation capabilities for Oracle SPARC
SuperCluster engineered system. Later in the year, the company unveiled Oracle NoSQL Database 2.0.

Clinical research organizations (CROs), SIRO Clinpharm and Hangzhou Tigermed Consulting selected
Oracle Health Sciences InForm to increase clinical trial productivity and support global electronic data
capture, in 2013. In the same year, M.Video, a Russian consumer electronics retailer, selected Oracle
Commerce Solutions to support growth and develop a complete customer experience. Subsequently,
Kohl's Department Stores, a specialty department store chain, selected Oracle Retail Merchandising,
Planning and Supply Chain solutions to integrate core retail operations across its 1,146 stores in 49
states. Also, Globe Telecom, one of the leading telecommunications companies in the Philippines,
selected Oracle Fusion Middleware and Oracle Exalogic Elastic Cloud for business transformation;
Nihonkai Gas, a Japan-based utility, selected Oracle Utilities Customer Care and Billing to deploy next-
generation customer billing system and improve service delivery. During the same year, Oracle acquired
Acme Packet, a provider of session border control technology; Tekelec, a provider of network signaling,
policy control, and subscriber data management solutions for communications networks; Nimbula, a
provider of private cloud infrastructure management software; and Responsys, a provider of enterprise-
scale cloud-based business-to-consumer (B2C) marketing software; BigMachines, a cloud-based
configure, price and quote (CPQ) solution provider; Compendium, a cloud-based content marketing
provider; and Bitzer Mobile, a provider of mobile applications management solutions.

Later in 2013, AkzoNobel, a paints and coatings company selected Oracle Talent Management Recruiting
Cloud Service for its recruiting needs. In the same year, CenterNet, an internet provider and mobile
network operator in Poland, deployed Oracle Communications Prepaid Charging to support its
telecommunications network, as well as enhance network management and billing capabilities for next-
generation communication services. Subsequently, The Beijing Hualian Group, a retail enterprises
supported by China's Ministry of Commerce, selected Oracle and Oracle Retail applications; and Big
Fish, a producer of casual games, selected MySQL Cluster Carrier Grade Edition (CGE) to power its
Marketing Management Service platform. During the same year, Oracle made a strategic minority
investment in Proteus, a digital health company. Telenor Global Services selected the company's Tekelec
Diameter Signaling router to support new international LTE network roaming. Oracle and Microsoft
entered into a partnership that will enable customers to run Oracle software on Windows Server Hyper-V
and in Windows Azure. Oracle and Salesforce.com announced a comprehensive nine-year partnership
encompassing all three tiers of cloud computing: applications, platform and infrastructure. As part of the
partnership, Oracle would integrate salesforce.com with Oracle's Fusion HCM and Financial Cloud, and
provide the core technology to power Salesforce.com's applications and platform. Oracle, NetSuite, and
Deloitte announced a strategic alliance to deliver integrated HCM and ERP cloud Services for mid-size
customers. Golf Channel, a television network, selected the company's Pillar Axiom Storage system to
support rapid growth and new reality programming. Subsequently, Oracle and Accenture launched a
multi-year strategic initiative to bring the performance of Oracle Engineered Systems to clients. Accenture
created a set of solutions incorporating Oracle Engineered Systems into Accenture's data center
transformation consulting and outsourcing services. Later in the year, the company expanded its
investment in global cloud infrastructure by adding new data centers in Canada and Germany, bringing

In 2014, Oracle entered into an agreement to acquire Corente, a provider of software-defined networking
(SDN) technology for wide area networks (WANs). The combination of Oracle and Corente is expected to
deliver SDN offerings, delivering a technology portfolio for cloud deployments with SDN offerings that
virtualize both the enterprise data center LAN and the WAN. In the same year, Gymboree, an American
specialty children apparel retail store company selected Oracle Commerce to support its full range of
international ecommerce sites including Gymboree, Janie and Jack, and Crazy 8 brands. Along with
Oracle Commerce, Gymboree also intends to implement Oracle WebLogic Suite. Subsequently,
Kalpataru, one of India's leading real estate development conglomerates, deployed Oracle Human Capital
Management (HCM) Cloud, part of Oracle Cloud. The Los Angeles County Department of Health
Services (DHS) deployed Oracle Enterprise Healthcare Analytics components as the foundation for its
new Enterprise Patient Data Repository (EPDR). During the year, Oracle collaborated with Pluribus
Networks, an American manufacturer of computer networking equipment, to offer customers the ability to
use OpenStack plug-ins to manage their cloud environments based on Oracle Solaris and Pluribus
Networks' Netvisor. Oracle started working with Nuance Communications, a provider of voice and
language understanding solutions to help simplify and accelerate data collection and management for
clinical trials through state-of-the-art voice-to-text capabilities for web-based apps and mobile devices.
Oracle signed an agreement to acquire BlueKai, a cloud-based big data platform that enables companies
to personalize online, offline and mobile marketing campaigns with information about targeted audiences.
This acquisition enhances Oracle's data driven marketing capabilities. Oracle partnered with BT, a
leading provider of communications services and solutions, to test Oracle enterprise session border
controller and BT's session initiation protocol (SIP) trunking to support a Microsoft Lync 2013 unified
communications environment. Oracle Health Sciences launched Oracle Clinical Monitoring Cloud, a
flexible and scalable solution integrating clinical trial management, comprehensive analytics and mobile
monitoring in the Oracle Health Sciences Cloud.

Oracle introduced Oracle Mobile Authenticator, a token-based authentication application that enables
organizations to cost-effectively provide strong authentication and prevent unauthorized access to vital
company and customer data, in 2014. In the same year, the company launched two new Oracle Cloud
services, including the Oracle Database Backup and Oracle Storage Cloud. Through these the company
extended the comprehensive portfolio of enterprise-grade cloud solutions. Oracle launched a new
addition to Oracle Marketing suite, Oracle Eloqua for manufacturing which helps manufacturers improve
the customer experience and drive revenue. Subsequently, Oracle launched Virtual Compute Appliance
that allows companies to streamline these critical tasks with a single, integrated system designed to run
virtually any application and support cloud services. During the year, Oracle entered into a definitive
agreement to acquire MICROS Systems, a provider of integrated software and hardware solutions to the
hospitality and retail industries, for approximately $5.3 billion. The addition of MICROS extends Oracle's
offerings in industries by combining MICROS' industry specific applications with Oracle's business
applications, technologies and cloud portfolio. This acquisition was completed in 2014. Oracle signed an
agreement to acquire LiveLOOK, a provider of real-time, visual collaboration technology for co-browsing
and screen sharing. Erasmus University Medical Center Rotterdam chose Oracle to support genomic
research and advance personalized medicine. The company introduced Oracle Big Data SQL, a big data
solution. Subsequently, Oracle expanded its footprint in Seattle, Washington with the opening of a new
cloud engineering center. Oracle signed an agreement to acquire TOA Technologies (TOA), a provider of
cloud-based field service solutions. This acquisition is expected to enhance the company's cloud offerings

with the addition of Field Service SaaS solutions.

Also in 2014, Oracle launched Social Station, a new workspace within Oracle Social Cloud's Social
Relationship Management (SRM) platform to provide next-generation user experience to its customers. In
the same year, the company launched Oracle Yard Management, an extension to the Oracle Value Chain
Execution suite of applications that enables enterprises control their distribution material flow to improve
order fulfillment and logistics operations. Subsequently, Oracle acquired Front Porch Digital, a provider of
content storage management solutions. This acquisition is expected to enhance the company's
comprehensive enterprise-grade cloud and on-premise content storage management solutions. During
the year, POSCO, one of the largest steel manufacturing companies, selected Oracle Product Hub,

to the US Dollar. The company could experience similar foreign currency volatility in the future if the
Venezuelan government further devalues the Venezuelan currency, the amounts and timing of which are
uncertain. In addition, the company may incur similar foreign currency losses for countries that are
dealing with similar risks of high inflation, such as in certain Latin American and other emerging market
countries where Oracle does business. These currency variations could impact margins on sales of the
company's products in countries outside of the US and margins on sales of products that include
components obtained from suppliers located outside of the US.

The company enters into foreign currency forward contracts so fluctuations in the foreign currency
exposures are offset by gains or losses on the foreign currency forward contracts in order to mitigate the
risks and volatility associated with the foreign currency transaction gains or losses. However, these may
not hedge the risk completely leading to foreign exchange currency translation losses. The company
recorded a loss of $110 million due to foreign currency translations in FY2015.

its intellectual property rights. Unauthorized third parties may try to copy or reverse engineer portions of
its products or otherwise obtain and use its intellectual property, which Oracle may not be able to defend.
For instance, Google won a six-year court case brought by software firm Oracle, which claimed Google
had infringed its copyright by using 11,500 lines of Java code in its Android operating system. Oracle had
contested that Googles use of its proprietary Java code exceeded fair use, and was seeking damages of
up to $9 billion. Android is by far the most popular mobile operating system, with 1.4 billion monthly active
users worldwide and a market share of more than 80%. Those users downloaded 65 billion apps in 2015
alone. In addition, the laws of some countries do not provide the same level of protection to the

Fiscal 2016 Compared to Fiscal 2015:

Our results of operations for fiscal 2016 compared to fiscal 2015 were significantly impacted by
movements in international currencies relative to the U.S. Dollar, which decreased our total revenues by 5
percentage points, total operating expenses by 4 percentage points and total operating margin by 7
percentage points.

Excluding the effects of unfavorable currency rate fluctuations, our total revenues increased in fiscal 2016
due to constant currency growth in our cloud and on premise software business revenues and services
business revenues. The constant currency growth in our cloud and on-premise software business
revenues during fiscal 2016 was attributable to growth in our software license updates and product
support revenues, growth in our SaaS, PaaS and IaaS revenues, and revenue contributions from our
recent acquisitions and was partially offset by fiscal 2016 decreases in our new software licenses
revenues. The constant currency growth in our services business revenues was primarily attributable to
our recent acquisitions. These constant currency increases in our revenues during fiscal 2016 were

partially offset by constant currency decreases in our hardware business revenues. In constant currency,
the EMEA region and the Asia Pacific region contributed approximately equal amounts to our fiscal 2016

during fiscal 2016 primarily due to increased sales and marketing and research and development
expenses resulting primarily from increased headcount, increased cloud SaaS, PaaS and IaaS expenses
resulting from increased headcount and infrastructure expenses to support the increase in our cloud
SaaS, PaaS and IaaS revenues, higher restructuring expenses that were recorded pursuant to the Fiscal
2015 Oracle Restructuring Plan (2015 Restructuring Plan; see Note 9 of Notes to Consolidated Financial
Statements included elsewhere in this Annual Report), and higher general and administrative expenses
due to higher headcount and higher professional services fees, primarily legal related fees. These
constant currency expense increases were partially offset by fiscal 2016 reductions in expenses
associated with certain of our intangible assets that became fully amortized during fiscal 2016 and lower
acquisition related and other expenses, which primarily was attributable to higher expenses during fiscal
2015 as a result of a goodwill impairment loss of $186 million (see Note 7 of Notes to Consolidated
Financial Statements included elsewhere in this Annual Report for additional information).

Excluding the effects of unfavorable foreign currency rate fluctuations, our total operating margin and total
operating margin as a percentage of revenues decreased in fiscal 2016 as our total expenses increased
at a faster rate than our total revenues.

Fiscal 2015 Compared to Fiscal 2014:

Our results of operations for fiscal 2015 compared to fiscal 2014 were significantly impacted by
movements in international currencies relative to the U.S. Dollar, which decreased our total revenues by 4
