(Customer) and (Seller) are referred to herein as the concern sides. (Customer) and (Seller) hereby have agreed to the following listed legal
conditions.

DEFINITION AND INTERPRETATION

Except where an express provision of these listed legal conditions states the contrary, each and every obligation of a side under the listed legal
conditions is to be performed at that side's cost.

ELECTRONIC PRODUCT INFORMATION

Subject to Clauses ____ and ____, the (side A) agrees to cover and keep indemnified the (side B) and/or whichever Beneficiary against whichever
liability, loss, costs, expenses, claims or proceedings whatsoever arising out of or in connection with whichever statement relating to the goods and
services including, with no limitation, the Goods.

CONFIDENTIALITY
This Clause ____ shall remain in force with no limit in time in respect of Confidential Information which comprises Personal INFORMATION or which
relates to a patient, his or her treatment and/or medical records. Save as aforesaid and unless otherwise expressly set out in the Contract, this Clause
____ shall remain in force for a period of ____ years after the termination or expiry of This Legal form of document.

INFORMATION PROTECTION
Beneficiary against all claims and proceedings and all liability, loss, costs and expenses incurred in connection therewith by the (side B) and whichever
Beneficiary as a result of whichever claim made or brought by whichever individual or other legal person in respect of whichever loss, damage or
distress caused to that individual or other legal person as a result of the (side A)'s unauthorized processing.

AGENCY
In such cases, the Beneficiary or, as the case may be, Beneficiaries which established the Framework Agreement shall only be legally responsible for
whichever Order placed under such Framework Agreement if the Order was placed on the (side A) by the Beneficiary or, as the case may be,
Beneficiaries.

GENERAL
Save as needed by law and/or the requirements of whichever relevant stock exchange and Clause ____, no publicity shall be made by whichever of
the concern sides relating to whichever matter in connection with the Contract with no the prior written consent of the other side.

THIRD side civil liberties

All or whichever of the provisions of the Contract may be rescinded or varied by the concern sides in their entirety or in part with no the consent of or
the need to give whichever notice to whichever person not a side to it.

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides hereto set their hands as of the date
