VERIFICATION AND CERTIFICATION

I, JOSE A. SANTOS, herein representing Pepsi-Cola Products

Philippines, Inc., (PCPPI) in my capacity as Settlement and Credit Manager
and by virtue of a Secretarys Certificate and a Special Power of Attorney
attached as Annex A and B of the complaint, of legal age, married, Filipino,
with sales office address at Canaoay, San Fernando City, La Union, under oath,
depose:

1. I am the duly authorized representative of the Plaintiff Pepsi-Cola

Products Philippines, Inc in the foregoing case;

2. I caused the preparation of the foregoing Complaint;

3. I have read its contents and that the same are true and correct of
our own direct, personal knowledge;

4. Further, pursuant to Rule 7 of the 1997 Rules of Civil Procedure and

existing Supreme Court circulars, we hereby certify that we have not
heretofore commenced any other action or proceeding involving the
same issues in the Supreme Court, the Court of Appeals, or any
other tribunal or agency; that to the best of our knowledge, no such
action or proceeding is pending in the Supreme Court, the Court of
Appeals, or any other tribunal or agency; and that if we should
hereafter learn that other similar or related actions or proceedings
has been filed or is pending before the Supreme Court, the Court of
Appeals, or any other tribunal or agency, I undertake to report that
fact within five (5) days therefrom to this court.
