CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contact of Lease made and entered into in the City of Panabo, Philippines, by and
between:

ANNIE ROSE O. ARCENAL, Filipino, of legal age, and resident of Prk. 2, Arguilles St.,
San Francisco, Panabo City, hereinafter referred to as the LESSOR;

- and -

, of legal age, and resident of Prk. 5-B,


Almonte Urban Brgy. Southern Davao, Panabo City, hereinafter called the LESSEE;

WITNESSETH: That

WHEREAS, the LESSOR has offered to lease to the LESSEE the space property at
Prk. 2, Arguilles St., San Francisco, Panabo City and the LESSEE is willing to accept
such offer, subject to the following terms and conditions;

SECTION I
SUBJECT AND PURPOSE

1.1 The LESSOR hereby leases to the Lessee the Leased Premise.

SECTION II
TERM

2.1 The lease shall be for a period of one (1) year, renewable for the same period upon
mutual agreement of both parties in writing. The contract shall take effect on the date of
execution hereof and rental shall start in the 24th day of April and shall remain in force
until terminated in accordance with the provisions hereof. Notwithstanding, the fixed
term of the lease, the LESSOR may pre-terminate the lease upon mutual understanding
of both parties. (TERMINATE DUE TO VIOLATIONS)

SECTION III
RENTAL

3.1 The LESSEE agree to pay the LESSOR a monthly rental of Twelve Thousand
Pesos (P12,000.00).

3.2 The LESSEE agree to pay the LESSOR a total of Forty Eight Thousand Pesos
(P48,000.00) as Two (2) Months Advance and Tw0 (2) Months Deposit of the monthly
rental on the date the contract shall take effect. (DEPOSIT FOR
UNATTENDED/UNPAID BILLS)

3.3 The monthly rental shall be payable every 24th day of each month to which the
rental corresponds, without need of demand, starting June 24, 2017. (FAILURE TO
PAY..)

SECTION IV
IMPROVEMENTS AND ALTERATIONS
4.1 The LESSEE may, at its own expense, renovate or introduce improvements,
alteration, installation, and/or additions on the Leased Premises to suit LESSEES
business purpose. Upon termination of the Contract, the LESSEE may remove from the
leased premises all such improvements that it may have introduced provided such
removal shall not cause damage to the building.

4.2 The LESSEE at its option and expense, insure the furniture, fixtures and
improvements it has introduced on the Leased Premises.

SECTION V
REPAIRS AND MAINTENANCE

5.1 Expenses for minor repairs and maintenance for the Leased Premises for the
duration of the lease, in order to keep the Leased Premises in good safe condition, shall
be for the account of the LESSEE. However, major repairs which cover those affecting
the structure of the building shall be account of the LESSOR.

5.2 The Lessee shall, at its own expense, maintain the Leased Premises in clean and
sanitary condition, free from obnoxious odors, disturbing noises and nuisances.

SECTION VI
USE AND CARE OF LEASED PREMISES

6.1 The Leased Premise shall be used exclusively for the pursuit of the business of the
Lessee and/or its subsidiaries and the LESSEE shall not use the Leased Premises for
any other purpose without prior written consent of the LESSOR.

6.2 The Lessee shall not assign or transfer its right in the contract nor sublease all or
any part of the Leased Premises, without the prior written consent of the LESSOR, and
no right, title or interest thereto or therein shall be conferred on or vested on any person
other than the LESSEE without such written consent.

SECTION VII
UTILITIES

7.1 The LESSEE shall pay all bills and/or charges for water, electricity, telephone
services, garbage disposal and other necessary utility services actually used or
consumed by the LESSEE within the Leased Premises during the term of the lease.
The LESSOR shall have the right to hold any equipments of the LESSEE such
computers, xerox machine, equipment to unpaid electricity, water bills, etc. until such
time the account has fully been settled.

SETION VIII
TAXES

8.1 The LESSEE shall pay whatever taxes, impost and assessments which may be
levied upon the Leased Premises.

SECTION IX
DESTRUCTION OF PREMISES

9.1 In the event of partial destruction of the Leased Premises during the term of the
lease from any cause attributable to the LESSORS such as structural defects, the
LESSOR shall forthwith repair the same. Any partial destruction of the Leased Premises
for any of the causes mentioned above shall neither annual or void this lease, except
that LESSEE shall be entitled to a proportionate reduction of rent while the repairs are
being made, any proportionate reduction being based on the area not utilized by the
LESSEE during the repair.

IN WITNESS WHEREOF, the LESSOR and the LESSEE have signed this Lease
Contract on this 24th day of April, 2017 at Panabo City.

Said instrument refers to CONTRACT OF LEASE consisting of three (3) pages, and
including the page on which this Acknowledgement is written, and signed by the parties
