1. Executive summary

ATHENA CHATTISGARH POWER LIMITED, is one of the fastest upcoming Thermal Power Plant ably
supported by Energy Infratech Limited an EPC organization with best practices assisting to setup
Green field Power plants using state of the art technologies. ACPL aims at benefitting the customers of
setting up large scale power plants in shortest possible time period. Energy Infra hires best and
experienced manpower to leverage the technologies and earn a repute amongst the domain. Energy
Infra also is diversifying to comprehensive plant service company maintains the power generation and
industrial facilities of hydraulic power plants, nuclear power plants, electric power stations and special
work sites in order to realize the ideal of sustainable development.

ACPL is in forefront in setting up 1200 MW Thermal Power plants in Chattisgarh on a fast track mode
and planning to commission for generation by mid 2014 and thereafter, energy infra is an ideal
company to endeavor its social responsibilities. It subscribed to the UN Global Compact and has
complied and will continue complying with the ten principles in the four main areas of human rights,
labor, environment, and anti-corruption. ACPL is striving to embed the laid down agreed ten principles
of the UN Global Compact in the companys sustainable management strategy and principles. In this
way, the company that exhibits its transparent business policy and public trust in Athena Chattisgarh
Power Limited that will be improved.

ACPL not only internally practice the ten principles of the UN Global Compact but also communicate
them to stakeholders including customers, shareholders, the government, vendors, employees and the
local community, so that the spirit of the UN Global Compact will be disseminated throughout society.

Athena Chattisgarh Power Limited, actively evaluating software solutions for Enterprise Asset
Management to configure Revenue generating Assets of both the units, Preventive Maintenance
Schedules, Stores and Inventory Material Management, Procurement, Work order generation and
tracking solution, Labour and Safety applications to the generation units to streamline the business
process in Purchase, Stores and Contracts functions. The proposed Maximo software is a Web
browser to leverage the facility. Escalation, Dash Boards and Alert management, Integration to critical
assets for PM scheduler are the key software functions to maintain the Power facility network with high
availability. ATHENA CHATTISGARH POWER Ltd., a pioneer embraced over the period latest
technologies to optimize the precious resources and finances for high uptime asset availability and
profitability. ATHENA CHATTISGARH POWER Ltd proposes to align with IT systems thereby to
maximize the revenue in the areas of support of Asset classification, maintenance functions of Power
Plant Assets, Metering and Consumption are few key areas as identified for savings of precious
financial resources. MIS reports of MTBF, MTTR, MMBF, Equipment Utilization, Fuel Consumption,
Costing are few identified reports. Envision proposes Maximo 7.5 a leading Industry solution as a
bestfit to manage their valuable and revenue generating assets for audit and statuary compliance.

After having multiple exchange of mail communication and telecon discussions, Envision taking into
consideration of Athena Chattisgarh Power Limited Asset Management and Maintenance
requirements with SLA configuration. Following were the proposed solutions.
Maximo Asset Management Software: Asset management module. Preventive
Maintenance module, Work order management and tracking module, Job Plans
and Safety module. Contracts module, Purchase and Stores Inventory Module,

2. Project background & Solution proposed
2.1 Background
ATHENA CHATTISGARH POWER Ltd, a Green field super Thermal Power plant is scheduled for
commissioning early 2014, hereafter ref as ACPL is looking for a One stop solution to Track and
Monitor its upcoming Power Plants and its sub systems for high availability, adapt to pro active
maintenance functions and costing to maintain the Assets. Inventory management, Material Planning,
Work Scheduling, Purchase and Stores Inventory are prime functions. Envision proposes ENVISION
Maximo 7.5 as suitable solution to manage the Std Power Facility Assets to undertake Maintenance
services and Inventory management.

Statement of Work

Vide Appendix - C

This Statement of Work Appendix C, describes the work to be undertaken by Envision the tasks to
be performed by us and the deliverable materials to be delivered and the estimated schedule. This
SOW shall be governed by the terms and conditions of the Terms of Business (Agreement) attached
hereto as AppendixD.

In the event of any contradiction, inconsistency or ambiguity between the terms of this Statement of
Work and the Agreement, this Statement of Work will govern. This Statement of Work, its Appendices,
and the Agreement represent the entire agreement between the parties regarding the subject matter
and replace any prior oral or written communications

Changes to this Statement of Work will be processed in accordance with the Project Change Control
Procedure described in Appendix C. The investigation and the implementation of changes may result
in modifications to the Estimated Schedule, Charges, and other terms of this Statement of Work and/or
the Agreement.

2.4 Project Scope


This SOW describes the scope of the project vide Appendix - C. Envision will implement Maximo
Enterprise Asset Management functions of Purchase, Stores, Contracts, Asset Management, Work
Order, Preventive Maintenance, Plans, Safety and KPI and Dash boards in Single phase for
monitoring Plant Operations, Alerts and Escalation Management. The project will be performed in a
Single phased implementation of features and functionality with each phase building on those that
preceded it. This follows the standard IBM Unified Method Framework.
The scope of engagement is

Implementation of Maximo in Single Phase at Athena Chattisgarh Power Ltd Power Plant site
at, Chattisgarh
Implementation of Maximo - Purchase, Stores and Contracts, Asset Management, PM
Scheduling, WO Tracking, Dashboard, KPI and MIS Reporting.

2.4.1 Software supply

2.4.2 Implementation scope
Envision will implement IBM Maximo Enterprise Asset Management software solution ver 7.5 at
Athena Chattisgarh Power Ltd, Plant site identified Assets and replicate to other similar assets as per

2.4.3 Data Migration Scope:


ENVISION will provide the Master data collection templates to Athena Chattisgarh Power Ltd for
Data collection.
Athena Chattisgarh Power Ltd will do Data Collection, cleansing and provide the Master data in
the templates provided by ENVISION.
Envision will train the users to load the data into the Maximo EAM solution.

2.4.4 Training scope


Envision would take train the trainer approach. Envision will provide Two week class room
training to core team on the solution.

2.4.5 Exclusions
Gathering, Cleansing and manipulation of Master data
Design, development, configuration, modification and installation of other applications except
mentioned in the scope.
Organization restructuring and any other organizational changes and Manual Data entry
Business Process Re-engineering (BPR)
Development for any enhancements & conversions, which are not included in the current project
scope.
Envision will be using our preexisting proprietary tools, during this engagement to perform the
responsibilities. These tools and associated documentation are not provided to the customer
under the terms of this SOW and the Agreement, and remain the property of Envision.
Work under this SOW will be performed at the Athena Chattisgarh Power Ltd Plant site,
Chattisgarh in India, except for any project related activity which Envision determines would be
best performed on our premises at Hyderabad premises in order to complete its obligations and
responsibilities under this SOW.
Envision will provide the Services under this SOW during normal business hours, 9.00 AM to
6:00 PM, Monday through Friday, except national holidays.

2.4.6 Key Assumptions

This SOW and Envision estimates are based on the following key assumptions. Deviations that arise
during the proposed project will be managed through the procedure described in Appendix B Project
Change Control Procedure, and may result in adjustments to the Project Scope, Estimated Schedule,
Charges and other terms. These adjustments may include charges on a time and materials basis
using Envision and Athena Chattisgarh Power Ltd agreed standard rates in effect at such time for
any resulting additional work or waiting time. If an assumption deviation is not resolved through
Appendix B, Project Change Control Procedure within 7 days then the issue will be resolved in
accordance with Appendix B Escalation Procedure.

Project Assumptions
While ENVISION prepared this document and planned the timelines and resources, certain
assumptions and interdependence have been made, basing on the information or requirements
currently known by ENVISION; and based on such assumptions and interdependencies, the cost and
investment into the Project were estimated and proposed to Athena Chattisgarh Power Ltd for review
these assumptions and interdependence from time to time and determine the validity of such
assumptions and interdependence. Should any assumptions or interdependence are no longer valid
and impose obstacle or hindrance to the progress of the Project, ENVISION and Athena Chattisgarh
Power Ltd would discuss and mutually agree on the service scope and contract price.

This section highlights the assumptions and interdependencies for the project:
ACPL and ENVISION will form a steering committee that is available to make quick decisions, within
reasonable timeframe as stipulated by the project work plan. The steering committee should include
members from ACPL and ENVISION.
The proposed implementation and approach assumes the necessity for end user involvement, access
to information and data, and a project office equipped with external phone lines, printer, PCs for
programmers. ENVISION also assumes access to drinking water supplies, fax machine, copier,
Meeting Rooms for discussions, projector.
ENVISION assumes that Training Room will be available for the following implementation activities:
o Participation during the requirements analysis phase of the Project
o Participation during walk-through session
Athena Chattisgarh Power Ltd (ACPL) will identify and assign an individual as Single Point of
Contact who has the authority to make all decisions related to the project and to either assign
resources or negotiate the assignment of resources within the organization.
ACPL will provide timely access to people and information including but not limited to the following
areas:
Line-of-business executives, for gathering information needs, critical success factors for decision
making, information delivery mechanism required, etc.
Source system experts, to understand the operations of the existing back-end system
Existing documentation on business processes, application systems, future direction, where relevant
ACPL will be fully responsible for the availability and proper working of the Network infrastructure
including SMTP and bandwidth provisions as required.
Access and use of ACPL Customer premises by ENVISION consultants as required during the course
of the project.
In the event a deliverable was submitted to ACPL for Signoff without feedback for a total of 5 working
days from date of submission, ENVISION would assume that the deliverable is delivered in
accordance to ACPL expectations and deem signed off.

All project implementation related activities would be conducted at ACPL Customer Plant site location.
Infrastructure: ACPL will install in all respects the required Hardware, Networking Connectivity and
procure the Software licenses required for successful implementation of Project. ACPL and its Owner
will provide the SMEs, Stake holders and consultants during the Process study and implementation
period and provide uninterrupted access to the Central servers.

Application Installations: The Consultant of Envision would impart training to the system
administrator on local activities such as General Administration.

UAT (User Acceptance Test): The UAT testing will be carried out at ACPL site location

Change in Scope of Work: Any request in changes in scoping from users of ACPL and its Owner will
go-through a formal Change-Request process via the Project Steering Committee for its approval.

Envision will recommend ACPL recommended System Hardware and software to be evaluated to
meet IBM Maximo v7.5 softwares minimum requirements. ACPL will provide adequate hardware and
software as required.

Envision recommends the minimum v7.5 Client (desktop) requirements:

o Processor: Pentium {600} MHz or greater;

o Memory: {2 GB} MB memory;

o Operating System: Windows 2000 Professional or XP; and

o Browser: Microsoft Internet Explorer {6.0}

All the business processes configured in Maximo will be same to ACPL as Owner at plant site.
There are no deviations in business processes.

Scope is limited to configuration of Maximo 7.5, to ACPL for Enterprise Asset management
and to bring the respective Asset Data and integrate, for rolling the same solution at Plant site
as agreed upon.

ENVISION will validate, refine and confirm the requirements, scope, approach, schedule and
effort during the Prepare and Design phases of the engagement. Any changes to the
requirements, scope, approach, schedule and effort, and their impacts on pricing will be
processed through the Project Change Control Procedure (Appendix B) prior to starting work
on the subsequent stages.

After the Prepare phase, if there are any large gaps between the Scope given by ACPL as per
this SOW, then ENVISION will have the ability to re-price for the entire scope of work. This will

be managed through the Project Change Control Procedure (Appendix B) and may have an
impact on the project schedule.

After the Design phase, if there are any large gaps between the Scope given by ACPL as per
this SOW, then ENVISION will have the ability to re-price for the entire scope of work. This will
be managed through the Project Change Control Procedure (Appendix B) and may have an
impact on the project schedule.

ENVISION assumes that ACPL is ready to utilize the Maximo 7.5 enhanced functionalities and
ready to accept the workarounds proposed by ENVISION to avoid Product customizations &
Screen customizations.

ACPL is ready to use the Maximo 7.5 default reports. ENVISION will critically review the
existing report customizations and provide solution for report requirements.

ACPL will ensure the dedicated participation in the project by forming the Core team.
ENVISION team will interact with the core team only throughout the project for understanding
the existing systems & process and to gather requirements, getting sign-off on deliverables
etc.

ACPL will respond to the queries raised by ENVISION team within three working days. If there
is a delay in project schedule due to delayed response, ENVISION will do the impact analysis
and follows change management procedure, if changes are required.

ACPL will provide all adequate office facilities, infrastructure, sitting arrangements, office
utilities like phone, fax, e-mail, internet, hardware, software, related documents etc. to
ENVISION project team.

3. Project Approach & Methodology

ENVISION will perform this project in accordance with our time proven Enterprise Asset Management
(EAM) RUP methodology. The methodology leverages ENVISIONs intellectual capital obtained from
previous successfully implemented projects. Its comprehensive approach to the implementation of
complex integrated systems also addresses the process transformation and change management
planning that are critical to the objectives of a successful Maximo implementation. Each phase builds
upon those that preceded it, further refining both the design and the release strategies before
development commences.

Implementation Plan
Tentative Implementation Activities:

1. After the Project Kick off meeting with the stakeholders, Roll out team shall Install and deploy the
Development Environment for Maximo 7.5.

2. A demo to all stakeholders of existing functionality in Maximo 7.5 will be demonstrated as a Vanilla
built it process.

3. Capture current business process of the proposed solution as AS IS Process and Take a sign off from
stakeholders.

4. Once Documentation of AS IS and TO BE Process are signed off, We start our standard process in
integration projects with proposed solution design, identify the integration points, customized
applications, testing and deployment strategies and end user training.

5. Our tailored plan and approach for implementation will be presented to all stakeholders and request to
appoint Management Representative - MR for resolving any issues during implementation process.

6. Based on our implementation strategy, required process will be communicated to customer before the
project kick off and process reviews will be monitored by MR and Account Manager as mutually
agreed period.

7. Based on the requirements gathered and documented for sign off will be drivers for the solution
design, customization, integration process will be tailored to drive implementation plan specific to
ACPL proposed and accepted Solution.

8. After tailoring the above processes, we develop Solution Testing process which comprises testing
strategy, plan, test cases will be prepared for the proposed solution,

9. On the same lines our deployment process is designed to facilitate developed solution in different
phases like UAT, Pre-Go-Live and go live processes.

10. We also define our Post Go live support process in our implementation plan and all these plans are
explained in detail to all stakeholders to understand the complexity in the implementation and
adherence to standard processes to meet timelines.

11. Change process is also included in our implementation and its impact on overall processes.

The proposed team structure for this project would be as follows:

Envisions Onsite & Offsite team members will report to the project manager. The Onsite coordinator will be the
point of contact for ACPL team.

The team lead and the lead functional consultant will be involved in interactions with the ACPL team during the
project execution phase. ENVISION project manager and ACPL Project manager will be interacting on a
regular basis (daily / weekly status meets) to understand the project state. ENVISION delivery director and
ACPL key members will form a steering committee and will the point of escalations during the project
execution from both sides.

4.1 Project Management


ENVISION will provide Ongoing project management for the agreed responsibilities in this SOW. The
purpose of this activity is to provide technical direction and control of ENVISION project personnel and
to provide a framework for project planning, communications, reporting, procedural and contractual
activity. This activity is composed of the following tasks:
a. Review the SOW and the contractual responsibilities of both parties with the ACPL Project
Manager;
b. Maintain project communications through ACPL, Project Manager;
c. Coordinate the establishment of the project environment;

4.5.2 Implementation services:


The services for this engagement will be charged on Fixed price basis as per the enclosed scope of

Billing Norms and Payment


The norms relating to the payment of fees and expenses are outlined below:
Billing from ENVISION, as per schedule mentioned above, will be based on the signed
ENVISION Statement of Work and the Agreement
All invoices fall due within 15 days of raising the invoices. Late payment fee of 2% per month
will be chargeable for all payments delayed beyond this period of 30 days.
ACPL will provide certificates for any tax deduction effected
Where sign-off from ACPL is required for raising a bill, the bill will be raised after actual or
deemed acceptance by ACPL, as the case may be. However, any inadvertent delay in raising
the bill or omission in claiming for the deliverables rendered by ENVISION will not disqualify
ENVISION for making claims for such deliverables under subsequent bills to be raised by
ENVISION.

4.6 Additional terms& Conditions
4.6.1 Termination
Either party may terminate this Statement of Work by giving the other party not less than 30 days
written notice. Upon termination, ACPL will pay ENVISION for 1) all Services ENVISION provides and
any Products and Materials ENVISION delivers through termination, 2) all expenses ENVISION incurs
through termination, and 3) any charges ENVISION incurs in terminating the Services.

4.6.2 Business Contact Information


ACPL authorizes Envision enterprise solutions Private Limited to store and use its business contact
information wherever they do business, in connection with ENVISION products and services or in
furtherance of ENVISIONs business relationship with ATHENA CHATTISGARH POWER LIMITED
India. ENVISION may cite your company's name and the general nature of the Services that were
performed for you to our other customers and prospective customers as an indication of ENVISION's
experience, unless we both specifically agree otherwise in writing.

4.6.3 Required Consents


ACPL is responsible for promptly obtaining and providing to ENVISION all Required Consents
necessary for ENVISION to provide the Services described in this SOW. A Required Consent means
any consents or approvals required to give ENVISION and its subcontractors the right or license to
access, use and/or modify (including creating derivative works) the hardware, software, firmware and
other products ACPL uses, without infringing the ownership or license rights (including patent and
copyright) of the providers or owners of such products.
ACPL will indemnify, defend and hold ENVISION, its subcontractors and majority-owned subsidiaries,
harmless from and against any and all claims, losses, liabilities and damages (including reasonable
attorneys fees and costs) arising from or in connection with any claims (including patent and copyright
infringement) made against ENVISION, alleged to have occurred as a result of ACPLs failure to
provide any Required Consents to ENVISION.
ENVISION will be relieved of the performance of any obligations that may be affected by ACP,s failure
to promptly provide any Required Consents to ENVISION.

4.6.4 Information security


In addition to ACPL and ENVISION (the Parties) obligations under this SOW and the Agreement, the
following provisions apply in the event that one Party makes Sensitive Personal Information and/or
Business Sensitive Information available to the other, which the providing Party agrees are appropriate
security measures to protect the information:
"Sensitive Personal Information" (SPI) refers to an individuals name in conjunction with that
individuals social security number, driver license number, state identification number, medical
information, date of birth, electronic signature or mothers maiden name. Business Sensitive
Information (BSI) refers to information the parties agree is due special handling as a result of its
content and which is marked as sensitive by the owning Party.
a. The Parties will agree in advance prior to providing the other any SPI or BSI.
b. If the Party providing the SPI or BSI requires additional security measures beyond those
specified in this SOW and the Agreement, the Parties will mutually agree to them pursuant to the
Project Change Control Procedure in Appendix B. These security measures will be set forth in an
additional Appendix. For example the providing party may require that real or live SPI will be
masked, scrambled or otherwise de-identified to mitigate risks in providing this information to the
other Party.
c. Each Party agrees to implement the security measures specified in this SOW and the
Agreement, and security measures agreed pursuant to sec b., above, if any, which the Party
providing the information has determined are appropriate security measures to protect their
information.

d. Each Party agrees to communicate, manage and mitigate risk by implementing the security
measures to protect SPI and/or BSI specified in this SOW and the Agreement. Additional or
different services will be deemed a request for new services and managed through the Project
Change Control Procedure in Appendix B.

4.6.5 Signature acceptance


This SOW and the referenced Agreement identified below, are the complete agreement between
ACPL and ENVISION regarding Services, and replace any prior oral or written communications
between us. Accordingly, in entering into this SOW, neither party is relying upon any representation
that is not specified in this SOW including without limitation, any representations concerning 1)
estimated completion dates, hours, or charges to provide any Service; 2) the experiences of other
customers; or 3) results or savings ATHENA CHATTISGARH POWER Ltd may achieve.
Each party accepts the terms of this SOW by signing this SOW by hand or, where recognized by law,
electronically. By such acceptance each party agrees that no modifications have been made to this
SOW.

reproduction of this SOW made by reliable means (for example, photocopy, electronic scan or
facsimile) is considered an original and all Services ordered under this SOW are subject to it.

Appendix B: Project Procedures

B - 1: Project Change Control Procedure


The following process will be followed if a change to this SOW is required:
A Project Change Request (PCR) will be the vehicle for communicating change. The PCR must
describe the change, the rationale for the change and the effect the change will have on the
project.
The designated Project Manager of the requesting party will review the proposed change and
determine whether to submit the request to the other party
Both Project Managers will review the proposed change and recommend it for further
investigation or reject it. ENVISION will specify any charges for such investigation. A PCR must
be signed by authorized representatives from both parties to authorize investigation of the
recommended changes. ENVISION will invoice ACPL for any such charges. The investigation
will determine the effect that the implementation of the PCR will have on price, schedule and
other terms and conditions of this SOW and the Agreement
A written change authorization and/or PCR must be signed by authorized representatives from
both parties to authorize implementation of the investigated changes. Until a change is agreed in
writing, both parties will continue to act in accordance with the latest agreed version of the SOW.

B - 2: Deliverable Materials Acceptance Procedure


Each deliverable Material as defined in Appendix A - Deliverable Materials Guidelines will be reviewed
and accepted in accordance with the following procedure:
One (1) soft copy of the deliverable Material will be submitted to the ACPL Project Manager. It is
the ACPL Project Manager's responsibility to make and distribute additional copies to any other
reviewers
Within Three (3) business days of receipt, the ACPL Project Manager will either accept the
deliverable Material or provide the ENVISION Project Manager a written list of requested
revisions. If ENVISION receives no response from ACPL Project Manager within Three (3)
business days, then the deliverable Material will be deemed accepted
The ENVISION Project Manager will consider ACPLs timely request for revisions, if any, within
the context of ENVISIONs obligations as stated in Appendix A - Deliverable Materials Guidelines
Those ACPL revisions agreed to by ENVISION will be made and the deliverable Material will be
resubmitted to the ACPL Project Manager, at which time the deliverable Material will be deemed
accepted
Those ACPL revisions not agreed to by ENVISION will be managed in accordance with
Appendix B Project Change Control Procedure
Any conflict arising from this deliverable Materials Acceptance Procedure will be addressed as
specified in the Escalation Procedure set forth in Appendix B.

B - 3: Escalation Procedure
The following procedure will be followed if resolution is required to a conflict arising during the
performance of this SOW.
When a conflict arises between ACPL and ENVISION, the project team member(s) will first strive
to work out the problem internally
Level 1: If the project team cannot resolve the conflict within two (2) working days, the ACPL
Project Manager and ENVISION Project Manager will meet to resolve the issue

Level 2: If the conflict is not resolved within three (3) working days after being escalated to Level
1, the ACPL Executive Sponsor will meet with the ENVISION Project Executive to resolve the

If the conflict is resolved by either Level 1 or Level 2 intervention, the resolution will be
addressed in accordance with the Project Change Control Procedure set forth in Appendix B
If the conflict remains unresolved after Level 2 intervention, then either party may terminate this
SOW. If the conflict is addressed by termination, ACPL agrees to pay ENVISION for a) all
Services ENVISION provides and any Products and Materials ENVISION delivers through
termination, b) all expenses ENVISION incurs through termination, and c) any charges
ENVISION incurs in terminating the Services
During any conflict resolution, ENVISION agrees to provide Services relating to items not in
dispute, to the extent practicable pending resolution of the conflict ACPL agrees to pay invoices
per this SOW and the Agreement.

1. Equipment Management

2. Work Order Module

Maintenance work is standardized by comprehensive work specifications for all the tasks to be performed.
Work specifications contain the maintenance tasks to be performed, the work details, the personnel required
with their skills, the time required to perform the job, the materials to be used, the tools and services required
and the safety requirements.
Each work order shall, at a minimum, specify the requester, equipment to be worked on, the task to be
accomplished, procedures to accomplish the task, parts required, work order type, priority, trade
employed, status, department, location and projected completion date.
The Work Order System shall be capable of processing both Preventive Maintenance (PM) and
Corrective Maintenance (CM) work orders.
The Work Order System shall be capable of processing Emergency Maintenance (EM) work orders after
work is completed.
The Work Order System shall provide a password approval security system.
The Work Order System shall be capable of automatically determining spare parts availability for each
work order.
The Work Order System shall be capable of tracking work orders (CM, PM, and EM) from conception to
completion.
Generate daily, weekly, or monthly work schedules for each craft.
Ability to sort and display work orders by a variety of parameters such as priority, date requested, cost
center, equipment number, craft, etc.
Ability to generate management control reports such as itemizing open or backlogged work order, work
load by craft, time and cost by work order and equipment number, craft, etc.
System shall be able to charge materials and parts against individual work orders and equipment piece,
and this function shall be interactive with the inventory control program for automatically determining parts
