The Supreme Court affirmed the decision of the Public Service Commission granting Morong Electric's application for a certificate of public convenience and necessity to operate an electric service. While Morong Electric did not have a certificate of incorporation at the time it was granted the franchise, the Court held that the franchise was still valid because American jurisprudence allows contracts made by promoters on behalf of a corporation to be adopted by the corporation once organized. The incorporation of Morong Electric and its acceptance of the franchise terms cured any deficiency from it not existing as a corporation yet.
