MUSIC LICENSING AGREEMENT

Re Sanda Paya Theekshana Anuradha Jagath Perera Damitha Ayodya

I, in my capacity as the Producer / Lyricist of the content grant the rights to KPM Records for
the aforementioned track through this agreement as follows :

1. The exclusive digital rights for the use of the song track for digital distribution &
Airbourne (including Ring-in-Tones / Music on Demand (MOD) / Video on Demand
(VOD) / WAP / WEB / IPTV and any form of digital distribution) to make it available
to the public locally and internationally.

2. However, KPM Records has been vested with all the rights by the Artists / Producers
to decide and promote the song track for publicity purposes to enable / increase the
usage of Ring-in Tone activities.

3. KPM Records agrees that the material supplied by the Artists / Producers is used
solely for the above specified purposes only and shall not use the content for any
other illegal purposes whatsoever outside the scope of this agreement.

4. The Artists / Producers hereby undertake to tender all required material created,
developed or improved, for the sole use of Ring-in-Tones & promotions.

5. I guarantee and signify that ;

a) I, as the Artist / Producer have the exclusive right to enter into this
agreement;

b) I, as the Artist / Producer declare that none of the music materials will
fringe upon / violate the rights of any other person or party;

c) KPM Records shall not be obligatory to make any payments to me or

any third party for the Recordings, except to the licensor as set in
Schedule I of this Agreement;

6. Empowerment Rights

The track shall be the sole and exclusive property of KPM Records with full power to
own, assign, use, telecast, perform, broadcast or permit other party to use the track
and I shall assist KPM Records with regard to all matters if necessary to sign
documents in this connection for the purpose of granting ownership to KPM Records.
 7. Damages / Claims / Indemnity

In the event of any breach of the terms and conditions hereof by the Producer, the
Producer hereby undertakes to hold KPM Records free of liability, harmless and
indemnified at all times from and against all claims demands, actions, damages, loss,
costs, charges, expenses and legal suits by any Third Party by reason of any act
committed by the Producer due to the breach of the terms and conditions agreed by
the Producer.

LICENSED TERMS AND GRANT OF LICENSE:

Start Date: 25 / 05 / 2017 End Date: 24 / 05 / 2022

Auto-renewed unless terminated at the end of the licensed term

Revenue Share:
50% Licensors %: 50% Licensee%: of the Revenue

Note: Above revenue share is after deducting the Local distribution / operators revenue share percentage.

KPM Records hereby agrees to share 50% of the revenue earned for the said content with the
Producer as per the revenue statements (download reports) provided by the mobile operators.
