CONTRACT TO SELL

Know All Men By These Presents:

This CONTRACT TO SELL is entered and executed by and between:

CARL D. HILL, married to ARLYN G.


HERMOSO-
HILL and MICHAEL H. HILL, single, both of legal
age, Filipinos and residents of No. 52 Ballecer St.,
Zone 02, Signal Village, Taguig City, Metro Manila,
Hereinafter referred to as SELLERS;

-AND-

SPOUSES BENEDICT S. BAUTISTA and


ELENA
WONG-BAUTISTA, both of legal age, married,
Filipino and residing at _______________________
______________________________________________,
hereinafter referred to as the BUYER;

WITNESSETH;

1. That the SELLERS are the real and absolute owners of the
parcels of land located in Pembo, Makati City embraced and registered
in Katibayan ng Original na Titulo Blg. 6531 and 6458, more particularly
described as follows:

“A parcel of land (Lot 3-A of the subdivision Plan,Swo-


00-001681, being a portion of lot 3, Block 43, Psd-13-
005204, L.R.C. Record No. ), situated in Brgy. of
Pembo, City of Makati, Metro Manila, Island of Luzon.

Bounded on the S.W., along line 1-2 by Lot 4-A, Swo-00-


001347, on the NW., along line 2-3 by Swo-007602-007602-
001219-D (lot 1-B & lot 1-A) on the NE., along line 3-4 by
Road Lot 40, Psd-13-005204; and on the SE. . . along line 4-1
By Lot 3-B of the subdivision plan. . . . . . .

“A parcel of land (Lot 3-B of the subdivision Plan, Swo-


00-001681, being a portion of lot 3, Block 43, Psd-13-
005204, L.R.C. Record No. ), situated in Brgy. of
Pembo, City of Makati, Metro Manila, Island of Luzon.

Bounded on the N.W., along line 1-2 by Lot 13-A, of the


Subdivision plan; on the NE., along line 2-3 by road Lot 40
(Yellow Bell Street); on the SE., along line 3-4 by Lot 5;
and on the SW., along line 4-1 by Lot 4, ALL Block 43,
Psd-`13- . . . . . .

containing an area of ONE HUNDRED FIFTY FOUR (154)


square meters, more or less . . .

2. The SELLERS offered to sell the above described parcels of land


to the herein BUYERS and the latter agreed based on the terms
and conditions below stipulated.

3. For and in consideration of the total contract price of FOUR


MILLION PESOS (P 4,000,000.00), Philippine Currency, which
as per the agreement of the parties, shall be payable in
accordance with the terms of conditions set hereinbelow, the
SELLER or their successors or assigns, have hereby sell,
transfer and convey in favor of the BUYERS, the two (2) parcels
described above.

4. That the sum of THREE HUNDRED THOUSAND PESOS


(P 300,000.00) which was already received by the SELLERS from
the BUYERS, by way of loan with mortgage, as provided for in
the Deed of Mortgage of Registered Land dated May 19, 2004
shall be credited and/or deducted from the purchase price in the
herein contract;

5. On various dates, the SELLERS also acknowledged having


received assorted hardware/electrical materials with a total
value of ONE HUNDRED FORTY FOUR THOUSAND FIVE
HUNDRED EIGHTY EIGHT PESOS (P 144,588.00), which value
shall also be credited/deducted from the purchase price in the
herein contract;

6. Upon signing of this contract, the BUYERS shall pay the sum of
THIRTY FIVE THOUSAND PESOS (P 35,000.00), Philippine
Currency;

7. One month after the signing of the herein contract, the BUYERS
shall also pay the sum of FIFTY THOUSAND PESOS
(P 50,000.00), Philippine Currency;
8. Thereafter, the remaining amount shall be payable in
accordance with the herein schedule:

a. January to December, 2010 – monthly installment at


TWENTY THOUSAND PESOS (P 20,000.00), Philippine
Currency;
b. Anytime in 2010, when BENEDICT S. BAUTISTA
ends/completes one (1) Seafarer’s contract and goes
home, the sum of FOUR HUNDRED THOUSAND PESOS
(P 400,000.00) shall be given to the SELLERS, as part of
the purchase price;
c. January to December, 2011 – monthly installment at
TWENTY THOUSAND PESOS (P 20,000.00), Philippine
Currency;
d. Anytime in 2011, when BENEDICT S. BAUTISTA
ends/completes one (1) Seafarer’s contract and goes back
home, the sum of FOUR HUNDRED THOUSAND PESOS
(P 400,000.00) shall be given to the SELLERS, as part of
the purchase price;
e. January to December, 2012 – monthly installment at
TWENTY THOUSAND PESOS (P 20,000.00), Philippine
Currency;
f. Anytime in 2012, when BENEDICT S. BAUTISTA
ends/completes one (1) Seafarer’s contract and goes back
home, the sum of FIVE HUNDRED THOUSAND PESOS
(P 500,000.00) shall be given to the SELLERS, as part of
the purchase price;
g. January to December, 2013 – monthly installment at
TWENTY THOUSAND PESOS (P 20,000.00), Philippine
Currency;
h. Anytime in 2013, when BENEDICT S. BAUTISTA
ends/completes one (1) Seafarer’s contract and goes back
home, the sum of FIVE HUNDRED THOUSAND PESOS
(P 500,000.00) shall be given to the SELLERS, as part of
the purchase price;
i. January to December, 2014 – monthly installment at
TWENTY THOUSAND PESOS (P 20,000.00), Philippine
Currency;
j. Anytime in 2014, when BENEDICT S. BAUTISTA
ends/completes one (1) Seafarer’s contract and goes back
home, whatever is the remaining sum still due shall be
given to the SELLERS to complete the purchase price;

9. The foregoing properties subject matter of the herein sale, is


already in the possession of the BUYERS, it shall remain in the
possession of the BUYERS, until the ownership thereof is
already transferred to the BUYERS;

10. By virtue of the herein contract and in consideration of the


payments schedule mentioned above, in addition to the lawful
possession of the properties herein mentioned, the BUYERS are
both duly authorized to perform such other activities or business
within the premises, free from intervention from the SELELRS,
provided the same in accordance with law, public policy, public
order and sound custom;
11. THAT any improvement, beautification and/or constructions
done by the BUYERS within the premises shall be indicated and
registered in the name of the BUYERS and shall not be part of
the sale;

12.Upon the execution of the herein contract, the existing mortgage


registered at the Registry of Deeds for the City of Makati, on
one of the properties subject matter of the herein contract, shall
be lifted and released, and possession of the two (2) titles
covering the subject matter herein shall be given to the BUYERS;

13. That the SELLERS shall pay the capital gains and documentary
stamp taxes at the Bureau of Internal Revenue (BIR) for the
registration of the herein sale and the BUYER shall shoulder the
transfer tax, entry fees and such other expenses for the
registration of the sale;

14.That the SELLERS shall warrant the genuineness of their titles


and their rightful ownership and possession of the properties
subject matter herein and thereby certify to defend the said title
against any claimant now and in the future.

15. In case litigation arises by virtue of the herein contract, the


parties agree that litigation shall be lodged in the proper court
possessing jurisdiction on the matter in Makati City and thereby
agree that the offended party shall assess an attorney’s fee
equivalent to twenty percent (20%) of the total amount due and
demandable plus litigation expenses.

16. At the time that the last payment is given, the SELLERS shall
execute a final DEED OF ABSOLUTE SALE in favor of the
BUYERS, their successors or assigns, covering the two (2)
parcels of land covered herein.

day of August, 2009 in the City of Manila.
