AFFIDAVIT

I, DENNIS S. GUMABONG, of legal age, married, Filipino, with

residence at Dahlia St., Villamonte, Bacolod City, Negros Occidental, after
having been duly sworn to in accordance with law, do hereby depose and state
the following:

1. That I am the registered owner of CYNFOR CONSTRUCTION SUPPLY

as evidenced by the DTI certification attached herein;

2. That by profession, I am a Master Mariner (a copy of my PRC License

is herein attached) currently employed as a Chief Mate in Star
Oceans, a shipping company;

3. That the nature of my work requires me to be outside of the country

most of the time in a calendar year;

4. That for the longest time, it is my wife GINA M. GUMABONG who runs
and administers the CYNFOR CONSTRUCTION SUPPLY on my behalf
while I am away;

5. That it is difficult to maintain the business under my name as legal

and other documentary requirements requires my consent, approval,
and in some instances, my presence, in order that it be given legal
and binding effect;

6. That I find it taxing and burdensome to always issue a Power of

Attorney to my representative in the Philippines in order to perform
or execute certain acts while I am at sea;

7. That fore reasons above-cited, I am voluntarily transferring my rights

and the ownership of CYNFOR CONSTRUCTION SUPPLY in favor of
my wife GINA M. GUMABONG;

8. That GINA M. GUMABONG be constituted as the new registered

owner of the CYNFOR CONSTRUCTION before the Department of
Trade and Industry (DTI);
 9. That it is in the best interest of the business that the same be in the
name and administration of my wife who has mastered the
processes, needs and nuances of the business;

10. That the transfer involves solely the business name of the
establishment and such transfer is not intended to defraud the
creditors or any third persons;

11. The the undersigned is surrendering the original business certificate

to the DTI for cancellation and hereby waive my right to use of the
business name in favor of my wife GINA M. GUMABONG;

12. That I have no existing debts nor any outstanding obligation;

13. That I am executing this affidavit to attest to the truth of the

foregoing and for whatever legal purposes that this statement may
serve.

The undersigned most respectfully submit the herein attached Affidavit for the
transfer of the Business Name CYNFOR CONSTRUCTION SUPPLY in favor of
my wife GINA M. GUMABONG, in compliance with the requirements and
guidelines of your good office.

It is the humble submission of the undersigned that this request for transfer
be given due course by your good office, and that consequently the
registration of the said business name be renewed for the current year.
