NON-CIRCUMVENTION, NON DISCLOSURE & WORKING AGREEMENT
CÁMARA INTERNACIONAL DE COMERCIO (I.C.C. 400/500/600)
ACUERDO DE TRABAJO, NO EXCLUSIÓN Y NO ACCESO

WHEREAS the undersigned wish to enter into this Agreement to define certain parameters of the future legal obligations, are bound
by a duty of Confidentiality with respect to their sources and contacts. This duty is in accordance with the International Chamber of
Commerce.
CONSIDERANDO QUE las partes que firman desean entrar a este Acuerdo y para definir los parámetros de las obligaciones legales
futuras, son limitados por un deber de Confidencialidad con respecto a sus Fuentes y contactos. Este deber es en acuerdo con la
Cámara de Comercio Internacional.
WHEREAS the undersigned desire to enter a working business relationship to the mutual and common benefit of the parties hereto,
including their affiliates, subsidiaries, stockholders, partners, co-ventures, trading partners, and other associated organizations
(hereinafter referred to as “Affiliates”).
CONSIDERANDO QUE el deseo firmado de incorporar una relación de negocio de trabajo a la ventaja mutua y común de las partes
a esto, incluyendo sus afiliados, los subsidiarios, los accionistas, los socios, las co-empresas, los socios comerciales, y otras
organizaciones asociadas (más abajo designadas “afiliados ").
NOW THEREFORE in consideration of the mutual promises, assertions and covenants herein and other good and valuable
considerations, the receipts of which is acknowledged hereby, the parties hereby agree as follows:
POR LO TANTO en la consideración de las promesas mutuas, las aserciones y los convenios adjuntos y otras consideraciones
buenas y valiosas, la información que se recibe en el presente, las partes convienen por este medio lo siguiente:

A. The parties will not in any manner solicit, nor accept any business in any manner from sources or their affiliates, which sources
were made available through this agreement, without the express permission of the party who made available the source and,
A. Las partes de ninguna manera solicitarán, ni aceptarán negocio alguno de ninguna forma que provenga de las fuentes directas
o cualquiera de sus afiliados, subsidiarios, accionistas, socios comerciales, etc., de las fuentes que fueron hechas disponible
directamente por medio de este acuerdo, sin el permiso expreso de las fuentes que están proporcionando información en este
acuerdo sin el permiso expreso y por escrito de la parte que proporciono la fuente,

The parties will maintain complete confidentiality regarding each other business sources and/or their Affiliates and will disclose
such business sources only to the named parties pursuant to the express written permission of this party who made available
the source, and,
B. Las partes mantendrán completa confidencialidad con respecto a cada una de las fuentes de negocio y/o sus afiliados y
divulgarán tales fuentes de negocio solamente a las partes nombradas conforme al permiso de escritura expreso de esta parte
que hizo disponible la fuente,

That they will not in any of the transactions the parties are desirous of entering into and do, to the best of their abilities assure
the other that the transaction codes established will not be affected.
C. Que en ninguna transacción alguna de las partes deseosas de entrar y realizar, afectara los códigos de transacción
establecidos no serán afectados.

That they will not disclose names, addresses, e-mail address, telephone and tele-fax or telex numbers to any contacts by
either party to third parties and that they each recognize such contracts as the exclusive property of the respective parties and
they will not enter into any direct negotiations or transactions with such contracts revealed by the other party and

D. Que no divulgarán nombres, las direcciones, correos electrónicos, teléfonos o cualquier otra información a ningún contacto por
cualquier medio a terceras personas y que cada una reconoce los contratos como la propiedad exclusiva de las partes
correspondientes y esta no entrará en negociaciones o transacciones directas con tales contratos revelados por la otra parte y

That they further undertake not to enter into business transaction with banks, investors, sources of funds or other bodies, the
names of which have been provided by one of the Parties to this agreement, unless written permission has been obtained from
the other party (ies) to do so. For the sake of this agreement, it does not matter whether information obtained from a natural or
a legal person. The parties also undertake not to make use of a third party to circumvent this clause.
E. Que comprenden no entrar en la transacción de negocio con los bancos, los inversionistas, las fuentes de fondos u otros
cuerpos, los nombres cuyo han sido proporcionados por una de las partes de este acuerdo, a menos que el permiso por
escrito se haya obtenido del otro parte (IES). Para el beneficio de este acuerdo, no importa si la información es obtenida de
una persona natural o legal. Las partes también se comprometen a no hacer uso de terceros para evitar esta cláusula.

That in the event of circumvention of this Agreement by either party, directly or indirectly, the circumvented party shall be
entitled to a legal monetary penalty equal to the maximum service it should realize from such a transaction plus any and all
expenses, including but not limited to all legal costs and expenses incurred to recover the lost revenue.
F. Que en caso de elusión de este acuerdo por cualquier parte, directa o indirectamente, la parte evasora será acreedora a una
penalización monetaria legal igual al servicio máximo él debe realizar de tal transacción más cualesquiera y todos los costos,
incluyendo pero no limitados a todos los costos legales y costos contraídos para recuperar el rédito perdido.

All considerations, benefits, bonuses, participation fees and/or commissions received as a result of the contributions of the
parties in the Agreement, relating to any and all transactions will be allocated as mutually agreed.
G. Asignarán todas las consideraciones, ventajas, primas, honorarios de la participación y/o comisiones recibidos como resultado
de las contribuciones de las partes en el acuerdo, referentes cualesquiera y a todas las transacciones según lo convenido
mutuamente.

I. This Agreement is valid for any and all transaction between the parties herein and shall be governed by the enforceable law in
All Commonwealth Country’s, European Union Country’s, Asian Countries, USA Courts, Mexican Courts, Latin American
Courts or under Swiss Law in Zurich, in the event of dispute, the court arbitration ICC International Chamber of Commerc
GENEVE ( SWISS )
I. Este acuerdo es válido para cualesquiera y toda la transacción entre los partes adjunto y será gobernado por la ley ejecutoria en
Todos los Paises de la Commonwealth, Paises de la Unión Europea, Paises Asiáticos, Cortes de los E.E.U.U. Cortes
Mexicanas, Cortes Latinoamericanas o bajo Ley Suiza en Zurich, en caso de conflicto, la corte de arbitraje de la Cámara
International de Comercio(ICC) GENEVE (SUIZA)

J. The signing parties hereby accept the jurisdiction of Mexico City as the exclusive venue. The duration of the Agreement shall
perpetuate for six (6) months from last date of signing.
Las partes que firman aceptan por este medio someterse la jurisdicción de México, DF, como lugar exclusivo . La duración del
acuerdo perpetuará por seis (6) meses a partir de la última fecha de firma.

A. Signatures on this Agreement received by the way of Facsimile, Mail and/or E-mail shall be an executed contract. Agreement
enforceable and admissible for all purposes as may be necessary under the terms of the Agreement.

A. Las firmas en este acuerdo recibido por medio de facsímil, de correo y/o de email serán un contrato ejecutado. Acuerdo
ejecutorio y admisible para todos los propósitos como puede ser necesario bajo los términos de de conformidad del acuerdo.

 All signatories hereto acknowledge that they have read the foregoing Agreement and by their initials and signature that they
have full and complete authority to execute the document for and in the name of the party for which they have given their
signature.
B. Todos los firmantes del presente contrato reconocen que lo han leído y estampan sus iniciales y firma, teniendo personalidad
para hacerlo en nombre de la parte para la cual han dado su firma.

TED (Transmisión Electrónica de Documentos)
EDT (Electronic document transmissions) shall be deemed valid and enforceable in respect of any provisions of this Contract. As
applicable, this agreement shall be:-
TED (Transmisión Electrónica de Documentos) será juzgado válido y ejecutorio por lo que se refiere a cualquier provisión de este
Contrato. Como aplicable, este acuerdo será: -

1- Incorporate U.S. Public Law 106-229, ‘‘Electronic Signatures in Global and National Commerce Act’’ or such other
applicable law conforming to the UNCITRAL Model Law on Electronic Signatures (2001) and
1 Incorporando Ley Pública de los E.U.A. 106-229, “Firmas Electrónicas en Comercio Global y Nacional Act” o algúna
otra ley aplicable conforme al Modelo de Ley UNCITRAL sobre Firmas Electrónicas (2001) y
2- ELECTRONIC COMMERCE AGREEMENT (ECE/TRADE/257, Geneva, May 2000) adopted by the United Nations Centre
for Trade Facilitation and Electronic Business (UN/CEFACT).
2 ACUERDO del COMERCIO ELECTRÓNICO (ECE/TRADE/257, Ginebra, Mayo del 2000) adoptado por el centro de
Naciones Unidas para la facilitación comercial y el negocio electrónico (UN/CEFACT).
3- EDT documents shall be subject to European Community Directive No. 95/46/EEC, as applicable. Either Party may
request hard copy of any document that has been previously transmitted by electronic means provided however, that any
such request shall in no manner delay the parties from performing their respective obligations and duties under EDT
instruments.
3 Los documentos de EDT estarán sujetos a la Comunidad Europea Directiva No. 95/46/EEC, como aplicable. Cualquier
parte puede pedir la copia dura de cualquier documento que haya sido transmitido previamente por los medios
electrónicos proporcionados de cualquier manera, esa petición no deberá causar ninguÌ•n retardo en ninguna manera a
las partes de realizar sus obligaciones y deberes respectivos bajo los instrumentos de EDT.
