CJ Startup Challenge (CJSC) Application

CJ is a global lifestyle company that aims to help people enjoy convenient, healthy and happy lives.

So, if you’re an entrepreneur who is also aiming to make life more convenient, more enjoyable, or to
help people live healthier, we want to hear from you!

[Reminder] Each participant must satisfy all of the following requirements to be eligible to participate in the Program:
1. Each participant must be a company legally incorporated in, or registered as a business in, a jurisdiction that is not, nor in, an Excluded Country (as defined below)
2. Each participant company must have a valuation that is less than $50,000,000 USD, as of its most recent capital funding.
3. The founder/operator of each participant must be a legal resident of a country that is not an Excluded Country and be of at least 18 years of age at the time of
submission of its application.
4. “Excluded Country” means any of Cuba, Iran, North Korea, Sudan, Syria, and any other country where this Program is prohibited.
5. Officers, directors and employees (and their immediate family members and members of their same households) and agents and representatives of CJ or its parent,
affiliates and subsidiary companies (collectively, “Program Entities”) are NOT eligible to participate in the Program.

View-Factor is developing a system that allows cities to reduce pollution, commute times and driver stress by
providing real-time and detailed traffic information for immediate reaction. We focus on learning and understanding
instead of handcrafting rules. Our versatility makes us the best approach to a wide variety of traffic lights that are
currently used.

This is how it works. We place a camera on top of a traffic light pointing directly to incoming traffic. Our processing
unit, analyzes the images from the camera in real time, second by second, counting the quantity of vehicles and
differentiating them. Our software controls the traffic light and provides true real time response to constantly changing
traffic flows, keeping vehicles, cyclists and pedestrians moving.

Our decentralized architecture eliminates the computational bottleneck that other systems have while at the same time
it interconnects intersections to optimize traffic networks and aggregates data on the cloud for easy access.

2018 CJ Startup Challenge
Terms and Conditions (“Terms”)
THIS PROGRAM IS NOT SPONSORED, ENDORSED BY, ADMINISTERED BY, OR
ASSOCIATED WITH KCON (DEFINED BELOW).
DEFINITIONS:
“CJ”, “We”, “Us”, “Our” means CJ America, Inc.
“Submission Deadline” means 11:59:59 p.m. PT on June 30, 2018
“Email Address” means cj.startup@cj.net
“You”, “Your”, “Yourself” refers to an Eligible Participant (as defined below).

PROGRAM DESCRIPTION: These Terms govern entry and participation in the 2018 CJ Startup
Challenge (the “Program”), presented and administered by CJ. CJ invites any Eligible
Participant (as defined below) to submit an application by the Submission Deadline to be considered for
selection as a Program Finalist (as defined below). Program Finalists will be invited to attend 2018 KCON
LA, at which time each Program Finalist will have the opportunity to meet with CJ to pitch its business. CJ
will select up to three (3) of the Program Finalists and invite such selected Program Finalists to discuss a
potential investment by CJ. This Program is void where prohibited. All federal, state and local rules and
regulations apply.

ELIGIBILITY: Each participant must satisfy all of the following requirements to be eligible to participate
in the Program (an “Eligible Participant”):

1. Each participant must be a company legally incorporated in, or registered as a business in, a
jurisdiction that is not, nor in, an Excluded Country (as defined below).
2. Each participant company must have a valuation that is less than $50,000,000 USD, as of its most
recent capital funding.
3. The founder/operator of each participant must be a legal resident of a country that is not an
Excluded Country and be of at least 18 years of age at the time of submission of its application.
4. “Excluded Country” means any of Cuba, Iran, North Korea, Sudan, Syria, and any other country
where this Program is prohibited.
5. Officers, directors and employees (and their immediate family members and members of their
same households) and agents and representatives of CJ or its parent, affiliates and subsidiary
companies (collectively, “Program Entities”) are NOT eligible to participate in the Program.
CJ will not accept and/or consider any Submission from any participants ineligible per the eligibility
requirements stated above.

HOW TO APPLY: To participate in the Program, each Eligible Participant must download the application
form available at www.cjchallenge.com (the “Application Form”) and submit the completed Application
Form (the “Submission”) by sending the Submission to the Email Address by the Submission Deadline.
There is a limit of one (1) Submission per Eligible Participant.
By submitting a Submission, each participant unconditionally accepts and agrees to comply with and abide
by these Terms and all decisions of CJ, which shall be final and binding in all respects. Incomplete
Submission will not be considered. No substitution, addition, or revision of any Submission will be
accepted under any circumstances once the original Submission is submitted for consideration.

SUBMISSION RESTRICTIONS: Any Submission that, in CJ's good faith judgment, violates the
following restrictions will be disqualified. Submissions may not contain, as determined by CJ in its sole
discretion, any content that:

(1) Contains any obscene, pornographic, libelous, hate speech or otherwise objectionable or
inappropriate content;

(2) Promotes alcohol, illegal drugs, tobacco, firearms, weapons, or the use of any of the foregoing;

(3) Promotes any activities that may appear unsafe or dangerous;

(4) Defames, misrepresents or contains disparaging remarks about CJ or its products, or other
people, products or companies;

(5) Promotes any particular political party, agenda or message;

(6) Communicates messages or images inconsistent with the positive image and/or goodwill with
which CJ wishes to associate;

(7) Violates or encourages the violation of any law, rule or regulation;

(8) Contains copyrighted materials owned by any individual or entity other than CJ.

PROGRAM FINALISTS: “First Round” – From the Submissions of Eligible Participants, CJ will select
up to ten (10) Submissions (each, a “Program Finalist”) based on the following factors with respect to
each Submission: innovativeness, defensibility against actual and potential competitors, size of addressable
market, value of proposed product or service, experience and qualifications of the management team, and
relevance to CJ’s businesses (“Judging Criteria”). The Judging Criteria are to be applied in the sole
discretion of CJ, including any and all determinations in regard to the spelling, grammar or completeness
of a Submission; each Eligible Participant agrees to be bound by and not challenge the final decisions of
CJ. In the event a Submission is discovered to be invalid for any reason whatsoever or a selected participant
is found ineligible or the selected participant fails to comply with these Terms prior to the Second Round
(as defined below), such selected Program Finalist may be disqualified, and CJ may select an alternate
Program Finalist. Each Program Finalist shall be provided a five (5) night hotel stay of one (1) double
occupancy room at a hotel and a location within Los Angeles at CJ’s choice. All other travel costs,
including but not limited to, airfare, transportation, meals, and other incidental costs are the sole
responsibility of the Program Finalists.

INVESTMENT FINALISTS: “Second Round” – CJ will invite each of Program Finalists to attend and
exhibit at 2018 KCON LA (“KCON”). Each Program Finalist must be prepared and willing to attend
KCON, to be held at the Los Angeles Convention Center during August 10, 11, and 12, 2018, and to exhibit
its product and/or service to the public at KCON. In addition, each Program Finalist must be available and
willing to pitch to a panel of judges in Los Angeles between August 8, 2018 and August 9, 2018, at a
specific time and location to be determined by CJ. CJ may select one or more of the Program Finalists
(each, an “Investment Finalist”) with which to discuss a potential investment by CJ and/or its parent,
affiliates, or subsidiaries. Any such investment will be subject to due diligence and agreement between the
parties as to the terms of investment. Subject to all of the foregoing, CJ may offer an investment of up to
One Million United States Dollars ($1,000,000 USD) (“Investment Opportunity”).

ODDS: Odds of being selected as a Program Finalist and/or Investment Finalist are based on the number
of eligible Submissions.

NOTICE TO PROGRAM FINALISTS: During the period between July 1, 2018 and July 31, 2018, CJ
will attempt to contact each selected Program Finalist using the email address provided in the participant’s
Submission. Each Program Finalist must confirm its participation in the Second Round in writing, and
within five (5) days of CJ’s first attempt to contact the Program Finalist. Any extension of this deadline
will be at CJ’s sole and absolute discretion. CJ is not responsible for communication problems of any kind.

PARTICIPANT'S GRANT OF RIGHTS: CJ does not claim any ownership rights to your Submission.
However, for good and valuable consideration, the receipt and legal sufficiency of which is hereby
acknowledged, each participant into the Program hereby irrevocably grants CJ, its successors and assigns,
a non-exclusive license to use, review, assess, test and otherwise analyze the Submission in connection with
this Program and feature, stream, publicly perform, or reproduce in any and all media now known or
hereafter devised, throughout the universe in perpetuity, without further notice to, consent by, or payment
to participant in connection with the marketing, sale, or promotion of this Program (including but not
limited to internal and external sales meetings, conference presentations, tradeshows, commercials and
press releases). CJ shall retain the rights granted in each Submission even if the Submission is disqualified
or incomplete. You will not receive any compensation or credit for use of your Submission, other than what
is described in these Terms.

PUBLICITY RELEASE: By participating in the Program, in addition to any other grants which may be
granted in any other agreement entered into between CJ and any participant in the Program, each participant
irrevocably grants the Program Entities and their respective successors, assigns, and licensees, the right to
use such participant's name, likeness, image, and biographical information in any and all media for any
purpose, including, without limitation, advertising and publicity purposes, as well as in connection with the
Program and hereby releases the Program Entities from any liability with respect thereto.

DISCLAIMER: By participating in the Program, you acknowledge that CJ may have developed or
commissioned materials similar or identical to your Submission and you waive any claims resulting from
any similarities to your Submission. Further, you understand that we will not restrict work assignments of
representatives who have had access to your Submission and you agree that use of information in our
representatives’ unaided memories in the development or deployment of our products or services does not
create liability for us under these Terms or copyright or trade secret law.

CONDITIONS OF ENTRY:

(1) General: Proof of submission is not considered proof of delivery to or receipt of such entry, and CJ
shall have no liability for any Submission that is lost, intercepted or not received by the CJ. Tampering
with the entry process or the operation of the Program, including but not limited to the use of any device to
automate the entry process other than as contemplated by these Terms, is prohibited and any Submissions
deemed by CJ, in its sole discretion, to have been submitted in this manner will be declared invalid and
disqualified. In the event a dispute regarding the identity of the individual who actually submitted a
Submission cannot be resolved to CJ’s satisfaction, the affected Submission will be declared invalid and
disqualified. The Program Entities shall not be responsible for incorrect or inaccurate entry information
whether caused by Internet or other network users or by any of the equipment or programming associated
with or utilized in the Program or by any technical or human error which may occur in the processing of
the entries in the Program. The Program Entities assume no responsibility or liability for any error,
omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.

(2) Entry Information Release: All Submissions and the idea and rights thereof shall be subject to these
Terms. The Submissions, once submitted, will not be acknowledged or returned. Except as otherwise

disclosed in these Terms, and to the extent participants may otherwise elect at the time of entry, personal
information collected in connection with the Program will be used in accordance with the privacy policy in
Section 13 below. Any communication or information transmitted to CJ by electronic mail or otherwise is
and will be treated as non-confidential and non-proprietary.

(3) Submission Content Release: Each participant must provide upon request all appropriate clearances,
permissions and releases for the Submission. In the event a participant cannot provide all required releases,
CJ reserves the right, in CJ's sole discretion, to disqualify the applicable Submission, or seek to secure the
releases and clearances for CJ's benefit, or allow the applicable Submission to remain in Program. Any
participant who incorporates any intellectual property owned by a third party into his or her Submission
does so at his or her own risk. If CJ is duly notified that any element of an participant’s Submission
infringes upon the rights of another person and/or receives a legally valid request to remove the affected
Submission because of such infringement, such Submission may be disqualified from the Program, as CJ
may determine in its sole discretion. Further, no participant will be eligible to receive a prize unless CJ
determines, in its sole and absolute discretion that such participant’s Submission has been or can be
sufficiently cleared for legal purposes.

(4) Representations and Warranties; Indemnification: Each person who enters this Program represents
and warrants as follows: (i) the Submission is the participant’s own original, previously unpublished, and
previously unproduced work; (ii) the Submission does not contain any computer virus (as applicable), is
otherwise uncorrupted, is wholly original with participant, and as of the date of submission, is not the
subject of any actual or threatened litigation or claim; (iii) the Submission does not and will not violate or
infringe upon the intellectual property rights or other rights of any third party; (iv) the Submission does not
and will not violate any applicable laws, and is not and will not be defamatory or libelous; and (v) the
individual submitting the Submission is the founder/operator of Eligible Participant entity, is a legal resident
of a country that is not an Excluded Country, and is at least 18 years of age at the time of submission of its
application. Each participant hereby agrees to indemnify and hold the Program Entities harmless from and
against any and all third party claims, actions or proceedings of any kind and from any and all damages,
liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the
warranties, representations or agreements of participant hereunder.

(5) General Conditions of Accommodations or Investment Opportunity: No cash alternative or


substitution of the accommodations and/or the Investment Opportunity will be allowed, except CJ reserves
the right in its sole discretion to substitute such, in whole or in part, for any reason. Any photos or marketing
materials showing any accommodations in point-of-sale, online, television and print advertising,
promotional packaging, and other Program materials are for illustrative purposes only. EACH
PROMGRAM FINALIST OR INVESTMENT FINALIST IS RESPONSIBLE FOR REPORTING
AND PAYING ANY FEDERAL, STATE OR LOCAL TAXES THAT MAY APPLY TO ANY
ACCOMMODATIONS OR INVESTMENT CONTEMPLATED HEREIN; SPONSOR IS NOT
RESPONSIBLE FOR AND WILL NOT PAY ANY SUCH TAXES.

(6) Further Documentation: Program Finalists and/or Investment Finalists may be required to execute a
further Submission license or assignment, Affidavit of Eligibility, a Liability Release, and (where imposing
such condition is legal) a Publicity Release (collectively, "Eligibility and Release Documents"). If the
Eligibility and Release Documents are not executed and returned when requested), the Program Finalist
and/or Investment Finalist may be disqualified.

(7) No Obligation to Use: CJ shall have no obligation (express or implied) to use any Submission or any
materials or content created by the participant (the “Materials”), or to otherwise exploit any Submission
or Materials or, if commenced, to continue the distribution or exploitation thereof, and CJ may at any time
abandon the use of the Submission or Materials for any reason, without notification, with or without legal
justification or excuse, and contestants shall not be entitled to any damages or other relief by reason thereof.

(8) Dates and Deadlines: Because of the unique nature and scope of the Program, CJ reserves the right,
in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Terms
or otherwise governing the Program.

(9) Terms/Program Finalist List: To obtain any legally-required list of Program Finalist and/or
Investment Finalist (after the conclusion of the Program), if any, or a copy of these Terms, send a self-
addressed envelope with the proper postage affixed to: 5700 Wilshire Blvd. Suite 550, Los Angeles, CA
90036, with attention to New Business Development Department. Please specify "CJSC Finalist List"
or "Terms and Conditions" and the name of the Program in your request.

(10) Nature of Relationship/Waiver of Equitable Relief: Each participant hereby acknowledges


and agrees that the relationship between the participant and the Program Entities is not a confidential,
fiduciary, or other special relationship, and that the participant’s decision to provide the participant’s
Submission to CJ for purposes of the Program does not place the Program Entities in a position that is any
different from the position held by members of the general public with regard to elements of
the participant’s Submission. Each participant understands and acknowledges that the Program Entities
have wide access to ideas, stories, photographs, designs, and other literary materials, and that new ideas
are constantly being submitted to it or being developed by their own employees. Each participant also
acknowledges that many ideas or photographs may be competitive with, similar or identical to the
Submission and/or each other in theme, idea, format or other respects. Each participant acknowledges
and agrees that such participant will not be entitled to any compensation as a result of any Program
Entity’s use of any such similar or identical material. Each participant acknowledges and agrees that the
Program Entities do not now and shall not have in the future any duty or liability, direct or indirect,
vicarious, contributory, or otherwise, with respect to the infringement or protection of the copyright in and
to the Submission.

(11) General Liability Release/Force Majeure: Participants agree that the Program Entities (A) shall
not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or
damages of any kind, including, without limitation, death and bodily injury, due in whole or in part,
directly or indirectly, to participation in the Program or any Program-related activity, or from participants’
acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty,
representation or guarantee express or implied, in fact or in law, with respect to any prize, including,
without limitation, to such prize’s quality or fitness for a particular purpose. CJ assumes no responsibility
for any damage to an participant’s, or any other person’s, computer system which is occasioned by
participating in the Program, or for any computer system, phone line, hardware, software or program
malfunctions, or other errors, failures, delayed computer transmissions or network connections that are
human or technical in nature. CJ reserves the right in its sole discretion to disqualify any individual who
is found to be tampering with the entry process or the operation of the Program, to be acting in violation
of these Terms, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or
undermine the legitimate operation of the Program, or to annoy, abuse, threaten or harass any other person,
and CJ reserves the right to seek damages and other remedies from any such person to the fullest
extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-
generated or other automated multiple entries will be accepted. CJ reserves the right to modify, extend,
suspend, or terminate the Program if it determines, in its sole discretion, that the Program is technically
impaired or corrupted or that fraud or technical problems, failures, or malfunctions or other causes
beyond CJ’s control have destroyed or severely undermined or to any degree impaired the integrity,
administration, security, proper play and/or feasibility of the Program as contemplated herein. In the
event an insufficient number of eligible entries are received and/or CJ is prevented from awarding prizes or
continuing with the Program as contemplated herein by any event beyond its control, including but not
limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion,
labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil
disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local
government law, order, or regulation, public health crisis, order of any court or

jurisdiction, or other cause not reasonably within CJ’s control (each a “Force Majeure” event or
occurrence), then subject to any governmental approval which may be required, CJ shall have the right to
modify, suspend, extend, or terminate the Program. Unless otherwise stated in these Terms, in the event
that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms shall
otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal
provision were not contained herein.

(12) Governing Law/Jurisdiction: All issues and questions concerning the construction, validity,
interpretation and enforceability of these Terms or the rights and obligations of participants or CJ in
connection with the Program shall be governed by and construed in accordance with the laws of the State
of California. For the purposes of any disputes hereunder, by entering this Program, each participant agrees
that any and all disputes, claims, and causes of action arising out of or in any way related to this Program
shall be resolved individually, without resort to any form of class action, and consents to the exclusive
jurisdiction and venue of the appropriate state or federal court situated in the State of California.
(13) Privacy Policy: CJ is committed to protecting your privacy. The information you provide is primarily
used to enhance your experience with CJ products and services and provide you with certain types of
information that may be of interest to you, including without limitation, information regarding sales,
specials, programs, events, promotions, services, products or other opportunities provided by CJ, its
merchants and/or business partners. The information may also be used internally for research and business
development purposes, statistical analysis and to improve our websites, CJ’s marketing and promotional
efforts and business operations. This statement outlines our privacy policy (our “Policy”). When you use
our website, any mobile sites, social media resources, any CJ pages on social media sites and/or other
websites (collectively, the “Site”), or otherwise provide information to us (including by completing an
entry, registration or other form), you agree to the terms of this Policy. If there are changes to the Policy
from time to time, such changes will become effective immediately upon posting. CJ will not knowingly
release, sell, rent or trade your personal information to any third party without your permission, except (i)
to our merchants and/or business partners, (ii) if we believe in good faith that the law requires it, (iii) to
protect the safety of employees users and/or the public at large, or (iv) to protect our own rights and
properties. There may be a transfer of your personal information to a third party in the event of a corporate
transaction or restructuring (e.g., a sale, merger or other transfer of assets) without your permission. CJ
considers personal information to include, without limitation, name, e-mail address, home or mailing
address, phone number, birth date, anniversary date, gender, or other similar information you may provide
to CJ via your Submission or via Site (“Personal Information”).

CJ collects only Personal Information that is submitted on a voluntary basis from individuals 13 years of
age or older unless parental or guardian consent is provided. In order to take advantage of some of our
features, programs or events you may need to register and/or provide Personal Information before you can
participate. We will use this Personal Information to send you e-mails, newsletters or other communications
and to inform you about sales, specials, programs, events, promotions, services, products or other
opportunities that might interest you. We may also sometimes provide Personal Information to our
merchants and/or business partners so that they are able to contact you and make you aware of similar
events and opportunities. You should note that we do not control these operators or their privacy policies,
and that if you do not wish to receive communications from them, you should contact them directly.

We also collect certain other non-personal information, such as your IP address, browser type, operating
system, mobile carrier, Internet Service Provider, browsing patterns on our website, and receive the URLs
of sites from which you arrive and leave our Site, which we may use or disclose in any manner. This data
may be used to analyze trends, administer the Site, track the user’s movement in the aggregate and gather
broad demographic information for aggregate use by us and third parties. In addition, your Personal
Information or non-personal information may also be used to display targeted advertisements on our Site
based on such information. You always have the option to change your mind about receiving

communications from us, or to review, change or update any of your Personal Information, and to review
our disclosures of your Personal Information by e-mailing us and submitting the appropriate changes.

If you are a California resident, you may have the right to request and receive certain information about our
disclosure of your Personal Information to third parties for their direct marketing purposes, and your choices
with respect to such disclosures, under Section 1798.83 of the California Civil Code. Because it is our
policy not to share your Personal Information with third parties unless you are first given the opportunity
