VACANCY RE-ADVERTISEMENT

The National Authority for the Campaign Against Alcohol and Drug Abuse (NACADA) was established vide an
Act of Parliament in July 2012, and mandated to coordinate a multi-sectoral effort aimed at preventing,
controlling and mitigating the impact of alcohol and drug abuse in Kenya.

NACADA wishes to recruit dynamic, result-oriented and self-driven Kenyan citizens to fill the following vacant
position:

Responsible to the Chief Executive Officer, the Corporation Secretary/Manager will oversee the following key
responsibilities:
i) Oversee the management and supervision of employees for the Legal Department;
ii) Providing the Bard Chairman, directors and the entire Board with guidance and advice in the discharge
of their duties and responsibilities, in particular compliance with applicable laws, regulations and codes
of governance.
iii) Ensuring that the directors and management operate within the legal authority framework as governed
by the Act.
iv) Monitoring organization’s compliance with various laws, regulations and policy guidelines;
v) Filing periodic statutory returns with the regulators;
vi) Maintaining updated statutory books and records for NACADA on:
a) Present and past directors and secretaries.
b) Any charges on the company’s assets.
c) Minutes of Board meetings.
vii) Registering NACADA’s documents as Intellectual Property;
viii) Providing safe custody for all NACADA contracts and agreements with executive summary for each for
ease of reference;
ix) Coordinating the publication and distribution of NACADA’s annual report and accounts in consultation
with the internal and external advisors;
x) Responsible for drafting the governance section of NACADA in the annual report and ensuring that the
reports are made available to relevant stakeholders according to the relevant regulatory requirements;
xi) In consultation with the CEO, ensuring proper constitution of Board Committees with clear terms of
reference for effective functioning and in line with the best industry practice.
xii) Formulating meeting agenda for the Board and Board Committees in consultation with the Board
Chairman and/or the Chief Executive Officer;
xiii) Advise management on content and formulation of Board papers;
xiv) Ensure timely preparation and circulation of Board and Committee papers and minute;
xv) Accurately record minutes of all Board meetings;
xvi) Manage and make follow up on Board actions from Board minutes;
xvii) Ensure regular update of all the Board Governance Documents
xviii) Ensuring that an annual Governance audit is carried out by an accredited, competent and qualified
professional
xix) Ensuring that effective Board and committee annual evaluations are conducted by an external facilitator
on Board, committee and individual director basis.
xx) In consultation with the Chief Executive Officer, initiate induction of new directors of the Board;
xxi) In consultation with the Human Resource and Administration Manager, identify relevant and suitable
training for Directors of the Board.

Job Specifications
a) Eight (8) years relevant working experience, with at least 3 years at senior management level
b) Bachelor’s degree and Postgraduate Diploma in Law
c) Master’s degree in Law/Business Administration/Economics or related field
d) Be a Certified Public Secretary of Kenya
e) An advocate of the High Court.
f) Current and valid registration as a member of LSK and ICPSK
g) Certificate in a Leadership course will be an added advantage.
