LEGAL ENVIRONMENT OF
PHLIPPINE BUSINESS AND MANAGEMENT
COURSE RATIONALE:
Inevitably, those in the private sector cannot escape the competitive world
resulting in the more cases than one about the intricacies of laws as applied in varied
situations. The time-honored principles of dura lex sed lex and ignorantia legis non
excusat are certainly of much relevance to businessmen, investors, traders and
managers as well as to their subordinates not only in the promotion of their respective
vested interests but also for the overriding goal of national development and social
justice.
COURSE DESCRIPTION:
The thrust is on the dynamism of laws affecting and regulating the plans and
pursuits of patrimonial and business endeavors. Hence, the course covers both the
understanding and application of man-made laws as interpreted by the judiciary,
on the economy particularly in business endeavors.
The roles of the State as a sovereign power cannot of course be divorced from
the secular and personal pursuits of its constituents and third parties which is why
government policies and activities will also have to be discussed and analyzed from both
the socio-economic and legal perspectives. This course additionally considers the
fiduciary and legalistic relationships between those in the higher structural level vis-à-vis
their clientele or subordinates in a business or economic institution which impinge upon
their existence and the accomplishment of their goals.
COURSE OBJECTIVES:
1. To acquaint the students with the Constitutional provisions that dwell on the
relevant social justice principle and its application and on the economic as
well as business sectors and their concerns in the country;
4. To assist the students appreciate the essentials and modalities of the law
especially on the requirements of justice and fair play; and,
5. To help the students to avail themselves whenever practicable, now or in the
future, of every economic opportunity within their reach or ambition.

COURSE REQUIEREMENTS:
1. Each student is expected to submit two REACTION PAPERS at least one week
before the final examinations.
2. Each student should choose any two from the list of laws cited in the course
content to react on.
3. The reaction paper should be placed on short-legal sized coupon bonds, 11
points font size, Tohoma, font, encoded single-spaced.
4. The reaction paper should not be shorter that three pages.
5. The reaction paper must specifically cite the provisions of the law that will be
discussed in the paper.
6. The student is expected to include in the reaction papers the management
implications of the laws of his choice.
7. The reaction papers as requirements would be over and above the short
reaction papers and case analysis reports that will be required occasionally
depending on the subject matter.
