1 GENERAL

This EPC technical proposal is based on the scope of work and requirements specified in
the following documents received from OWNER during the proposal period:
a. Invitation for Bid
b. Draft EPC Contract
c. Project Specification
d. Draft Consortium Agreement
e. Minutes of Pre-Bid Meeting and site visit
f. OWNER's responses to Bidders’ clarifications;
g. Other documents/drawings formally received from OWNER

The contractor acknowledges that this contract is a LUMP SUM FIXED PRICE
CONTRACT and contractor’s obligation hereunder, not withstanding anything to the
contrary contained herein is to provide owner with fully operational plant starting from
Licensing, design, engineering, procurement, supply of equipment, construction and
commissioning until Initial Acceptance.

PT. ADHI KARYA (Persero) Tbk. that is as local engineering, procurement and
Construction Company (hereinafter referred to "ADHI") and PT. GEMILANG KARYA
MANDIRI that is as local engineering, procurement and construction company (hereinafter
referred to as “GKM") have established a consortium (hereinafter referred to as “IMC
(Indonesian Main Contractor)") and LIPICO Technologies, Pte, Ltd., that is as foreign
engineering, procurement, and construction company (hereinafter referred to as “LIPICO”
or “LICENSOR”) have established a consortium (hereinafter referred to as
“CONTRACTOR”) for CRUDE PALM OIL PLANT PROJECT. The split of work will be
included in “CONSORTIUM AGREEMENT BETWEEN LIPICO & ADHI”.

2 PROFILE OF THE PROJECT

The CRUDE PALM OIL PLANT PROJECT consists of the following :

4 LUMP SUMP FIXED PRICE SCOPE

4.1 General
Contractor shall furnish within the Lump Sum Fixed Price, with respect to the
complete project including engineering, procurement, construction, start up and
training, expected Owner controlled cost as part 5. below and Owner Supply as Para
6. below.

4.2 General Agreement for Provision of the Work

Contractor consisting of a consortium of the IMC (Indonesian Main Contractor) and
the Licensor, jointly and severally liable, will provide the overall scope of supply as
defined herein.

Within such consortium agreement, Licensor will generally provide :

a. Service
- The Process Licenses and procure for Owner Direct Process Licenses with
Process Licensor, for such things as rights to operate, maintain and sell the
products, improvements, etc.
- Basic Design.
- Procurement services for its assigned equipment supply.
- In collaboration with IMC, assistance for and supervision of the following,
particularly for assuming Process Guarantees for the overall project :
 Detail Design
 Procurement of the balance of supply
 Construction of the project
- Training for starts up personnel.
- Process guarantees
All as further detailed in 5.2 Attachment 1.

b. Equipment Supply
A package of major and critical foreign equipment, proprietary equipment, and
materials as further detailed, including training of Owner’s personnel, Operating
Spare Part, Vendor Serviceman, Mechanical Warranties, etc., attached thereto
and IMC will undertaking the balance of the supply.

c. Project and Construction Management

IMC and Licensor shall between them agree that the arrangements has been made
in respect to the overall Project Scope of Works, for provision of Project
Management and Construction Management, including but not limited to project
management services – general, coordination procedures, developing project
planning, work measurement systems, budget estimates – cost control – and
finance control, estimates of owner supplied materials, individual budget estimates,
cost reports, progress reports, other reports, report requirements, meetings and the
like.

4.3 Lump Sum Fixed Price Scope – Services

General Requirements
- Services to be provided by Home Office in Indonesia
- Services to be provided by Contractor’s Field Staff Personnel at the site, Field
Office at Project and elsewhere including local and expatriate vendor
serviceman for erection, and to the extent retained for commissioning and start-
up up to Provisional Acceptance.
- Services to be provided by Contractor for Start-Up personnel for commissioning
and start-up up to Provisional Acceptance.
- Training services to be provided by Contractor’s Home Offices and Field Staff
and Start-up personnel.
- Accounting services.
- Miscellaneous.

Notes
a. Services provided under sub-contract, by contractor or by affiliates and the like
will deemed to be included in the service outlined above.
b. Provision of services in respect of materials and equipment supplied within the
Lump Sum Fixed Price as well as materials and equipment supplied on an
Owner Controlled Cost basis except as otherwise state.

c. For definition of Home Office Services is different from Field Services. This
definition is solely for the purpose of indicating Owner’s requirements, and
Contractor may/will provide Services from Home Office or Field in accordance
with its normal procedure.

Detailed Requirements
- All Home Office and Field costs including overhead, profit and the like.
- All costs of personnel including salaries, burdens, overhead, profit, location
allowances, work week allowances, completion bonuses, and the like.
- All costs of mobilization and demobilization including passports, settlement and
resettlement, storage of house hold effects, transport of personal baggage,
visas, exit permits and work permits.
- All costs including travel and living for visits and short term and long term
assignment to and from Home Offices, Site and field offices, including home and
R and R leaves, medical and compassionate trips, including from Medan to
Project and return.
- All costs associated with dependents.
- All travel and living costs associated with expediting and inspection.
- All travel and living associated with co-ordination of the Project, including that
with vendors, subcontractors, licensors, etc.
- All education costs including those incurred in Indonesia and elsewhere for
provision of schooling for dependents of Contractor's personnel assigned to Site
and dependents of Jakarta and other Home Office based personnel, and any
educational materials.
- All medical costs and insurances.
- All living and messing costs for personnel at Site.
- All costs including those for housing, transportation of all personnel including
costs of their drivers, servants, etc.
- Office supplies, including provision and operating costs of office and
communication equipment except where provided by Owner, plus any
computer(s) required by Contractor.
- All costs of computer services, telex, telephone, fax, document printing,
postage, air freight pouch deliveries, and the like, except for local telephone
calls made at Site as defined elsewhere.

- All license and royalty payments, including those for payment of Process
Licenses direct with Owner.
- Preparation of a training plan and its administration in offices for the
approximate number of Owner's trainees as specified in section Project
Specification including procurement services in respect of third parties and
continuation of training at Site. In connection with above, vendor costs, plant
visit costs and costs of Contractor’s training staff accompanying trainees on
plant visits are reimbursable to the extent that they are not included in the
purchase order scope. Trainee travel and living costs are excluded from the
Lump Sum Fixed Price, but training supplies and course materials for trainees
are to be included in the Lump Sum Fixed Price.
- Indonesian architects' services.
- All costs of independent specialist companies in undertaking soil investigations,
establishing civil and piling design criteria and witnessing test piles and the like.
- Indonesian supervisory office and support staff at Site, Medan and other Site
offices including their recruitment and termination.
- Drawing and document reproduction whether in Indonesia or elsewhere, as
further specified herein.
- Services related to modifications, as required, to existing facilities to complete
the Project.
- All statutory or third party inspection not required at the specific direction of
Owner or required by the Government of Indonesia.

4.4 Lump Sum Fixed Price Scope – Equipment and Material

General Requirements
- All equipment and materials and other items, not identified as an exclusion from
the Lump Sum Fixed Price
- Delivery to Site under the terms of DDP (Delivery Duty Paid) in accordance with
Incoterms Terms 2010, of all equipment and materials, and other items identified
as being within the Lump Sum Fixed Price, including inspection, shop testing,
freight forwarding, inland transport, packing and shipping (including air freight).

4.5 Lump Sum Fixed Price Scope – Construction

General Requirements
- Construction equipment, special equipment, tools, construction consumables,
construction test equipment and construction equipment spares parts, unloading
etc., assembly, disassembly, packing for return shipment, freight forwarding and
return shipping.
- Erection subcontracts.
- Direct hire construction labor including recruitment and termination.
- Temporary facilities.

4.6 Lump Sum Fixed Price Scope – Miscellaneous

- Office accommodation, equipment and services for Owner and their advisors'
office personnel. Other specific commitments made on behalf of Owner at
request of resident teams in Contractor's offices are reimbursable where not
required to be within the Lump Sum Fixed Price.
- Bank charges including negotiation charges, imposed outside Indonesia. Owner
will pay bank charges imposed within Indonesia.
- Other items indicated elsewhere in the Contract as being within the Lump sum
Fixed Price.
- Anything required to complete the Project not indicated in this section as being
purchased as an Owner Controlled Cost item, or as free issue by Owner.
- Any taxation imposed by the type of the Contract to the Contractor including but
not limited to Value Added Taxes, With holding income tax, and other related
taxes due to any transaction with of within the Contractor with all vendors and
Owner.
- Complete Supply

The Contractor shall be required to furnish all services, materials, plant and
equipment and anything else required, except for those specified in this section
below as being an Owner Controlled Cost items or within Owner's supply or
exclusions specified elsewhere in the Contract, necessary to furnish a complete,
operable, reliable Plant capable of producing the quantity and quality of products
guaranteed, and of being maintained. Any changes, additions or deletions in design
or equipment or materials which may be necessary to achieve such a Plant
performance shall not constitute under a change order and shall not in any way
increase the Lump Sum Fixed Price.

5 OWNER CONTROLLED COST ITEM

Owner Controlled Cost items with the understanding that Contractor's Services required in
connection with are included in Contractor's Lump Sum Fixed Price. The list of items to be
included as Owner Control Cost are :

- Chemical (including for chemical cleaning) and lubricant (excluding for construction)
required up to Provisional Acceptance and for a period of six (6) months after the
Provisional Acceptance, may require to be provided by contractor under owner
controlled cost items basis at the request of owner.
- Spare charges of bleaching earth
- Specific items of equipment and materials purchased at the request of Owner,
including the Services related thereto, except where Services are within the Lump
Sum Fixed Price as specified elsewhere
- Laboratory chemicals agreed to be supplied
- Independent inspection but excluding third party inspection to the extent required by
Statutory Authorities or by Contractor in the country of origin
- Transport to Site of equipment, materials and other items supplied on an Owner
Controlled Cost basis.
- Unloading, receiving at Site for equipment and materials supplied on an Owner
Controlled Cost basis
- Vendor costs and plant visit costs in respect of training to the extent that they are
not included in purchase order scope
- Contractor's personnel retained at Site at Owner's request after Provisional
Acceptance and Vendor Servicemen retained at Owner's request after Provisional
Acceptance
- Items specifically indicated elsewhere as being reimbursable.

General notes with respect to paragraphs 4 and 5

- Where equipment and materials are indicated as being within the Lump Sum Fixed
Price the cost of shipping, insurance, freight receiving and unloading, and lighterage
are also within the Lump Sum Fixed Price.
- Whenever the equipment and materials are indicated as an Owner Controlled Cost
item, the cost of procurement Services is within the Lump Sum Fixed Price but cost of
equipment or material, shipping, insurance, freight receiving and unloading is
reimbursable will paid by Owner.
- Where equipment and materials form part of the permanent facilities it will remain as
Owner's property. Where tools, construction equipment and materials, etc., are used
for construction or for temporary facilities it is remain as Contractor's property.

- Items made available to Contractor by Owner remain Owner's property and are to be
returned to Owner at end of the Project in operable condition, except for normal wear
and tear.
- Inspection to conform with Indonesian regulation, however the Contractor's and
Foreign costs in liaising with the surveyors is within the Lump Sum Fixed Price if
required.

6 OWNER SUPPLY

a. Owner will provide the following to Contractor by free of charge, as detailed in this
Project Specification during Construction :
- Raw water
- 20 KV Electrical Power

b. Owner will provide the following to Contractor by free of charge, as detailed in this
Project Specification during Pre-commissioning & Commissioning :
- Natural Gas
- Crude Palm Oil
- Electrical power
- Chemicals which are classified into precursor are required up to Provisional
Acceptance (Contractor shall inform Owner early enough quantity required to
enable Owner provide such items without jeopardizing the operations)

In addition Owner will undertake the following :

- Review of Operating Spare Part recommendations and give instruction on spares
parts to be purchased by Contractor
- Give approvals as specified in the Contract
- Undertake other responsibilities as specified in the Contract
- Feed stock for commissioning with limited volume fit for commissioning purposes
- Government permits in Owner’s scope and assisting contractor for his
government permit application

7 BATTERY LIMITS AND TIE-IN POINT

All tie-in points is 1 (one) meter from B.L (Battery Limit) of project area and completed with
block valve as shown in picture of tie-in philosophy below.
