PROPERTY:
OPTION FOR PURCHASE OF PROPERTY
Seller shall convey said premises to Purchaser in fee simple, free and
clear of all liens, rights of dower or other encumbrances (unless herein
otherwise specified), by a good and sufficient deed of conveyance, in
the usual form of a warranty deed, except that if Seller conveys as
executor, trustee, administrator or guardian, the usual deed given in
such cases shall be accepted. Said conveyance shall also be made

Si el Comprador constituye una hipoteca sobre el inmueble objeto de la
presente Opción a favor del Vendedor y en garantía del pago del precio,
tal circunstancia debe constar en la escritura de hipoteca, que debe ir
acompañada del título de crédito habitual; si el Vendedor así lo exige,
los dos documentos deben incluir las cláusulas de rigor sobre interés,
seguro, impuestos, tasas y administración judicial previstas en la ley.
Como parte del precio, el Comprador debe abonar el impuesto
hipotecario, el arancel de inscripción de la hipoteca y el impuesto de
sellos del título de crédito44 que la acompaña.
Los alquileres, las primas de seguro, los intereses y otros gravámenes

in the proper amount affixed thereto, all at Seller's expense, so as
to convey to Purchaser the fee simple of said premises free and
clear of all liens and encumbrances, except as herein stated.
3. Seller shall convey said premises subject to all covenants,
conditions, restrictions and easements of record and zoning laws.
Subject also to any statement of facts which an inspection and/or
an accurate survey of the premises may show provided the same
does not render title unmarketable. Subject also to existing
tenancies, if any, and to unpaid installments of street and
improvement assessments payable after the date of transfer of title.
4. Seller may pay and discharge any liens and encumbrances,
specifically including Seller's mortgage on the premises, not
provided for herein, out of the moneys to be paid by Purchaser on
the transfer of title.
6. All rentals, taxes and interest shall be adjusted pro- rata to the
day of transfer. If Seller has already made or shall have made
before the time of closing· any payments in advance on account of
insurance and/or taxes and water rents payable after closing to a
mortgagee whose mortgage is to remain on the premises,
Purchaser is to reimburse Seller for the total of these payments, in
cash at the time of closing.
WARRANTY DEED WITH FULL COVENANTS
And the party of the first part covenants as follows: that said party of
the first part is seized of the said premises in fee simple, and has good
right to convey the same; that the party of the second part shall quietly
enjoy the said premises; that the said premises are free from

surgir de una inspección o minuciosa mensura, siempre que no

sujeta a locaciones previas, si las hubiere, y a la obligación de pagar
las cuotas de las cargas municipales por mantenimiento de aceras y
contribución de mejoras, de vencimiento posterior a la fecha de la

CUATRO. El importe que debe abonar el Comprador a la fecha de
perfeccionamiento de la transferencia de dominio podrá ser destinado
por el Vendedor al pago y la cancelación de todas las cargas y los
gravámenes cuyo pago no esté previsto en el contrato, incluida
específicamente la hipoteca constituida a su favor sobre el inmueble.
SEIS. Los alquileres, impuestos e intereses deben ser abonados por las
partes proporcionalmente a la fecha de la transferencia de dominio. Si

CONTRATO DE LOCACIÓN
3°. El alquiler mensual para el primer mes de esta locación queda fijado

mes, se practican los ajustes a los cuales se alude en la cláusula cuarta
del contrato. Son a cargo del Locatario, durante todo el período de la
locación, las expensas comunes y los servicios de luz, gas y teléfono del

alquileres por adelantado del 1 al 5 de cada mes en el domicilio del
Locador o donde éste indique más adelante. El Locatario se
compromete también a pagar los servicios indicados (luz, gas y
teléfono) y las expensas comunes ante las empresas prestadoras, a sus
respectivos vencimientos. La mora se produce de pleno derecho y por el
simple transcurso del tiempo, sin necesidad de interpelación judicial o
extrajudicial alguna. En el pago de los alquileres, la mora se produce a
partir del día 6 de cada mes y, en el pago de los servicios y las
expensas comunes, a partir del día de su vencimiento. La penalidad por
mora en el pago de los alquileres, las expensas comunes y los servicios
de luz, gas y teléfono es del __% diario sobre los importes adeudados.
Sin perjuicio de lo indicado precedentemente, los alquileres en mora se
indexan mensualmente con el mismo procedimiento indicado en la

BILL OF SALE OF CHATTELS
Two. The purchase price hereof is hereby fixed in the sum of Pesos __
($ __), payable as follows: __, which payment terms the parties hereto
expressly accept, hereby acknowledging mutual fulfilment of the
executed covenants, that is, the obligations already performed at the
time of execution of this agreement.
CONTRACT OF BARGAIN AND SALE55 OF BUSINESS AND PLANT
2. Vendor represents that he has good and marketable title to his
property, which shall be sold under the following conditions [4]: ___;
furthermore, the amounts hereunder shall be paid at Vendor's domicile
or at such other address as the latter may indicate by telegram
conforming to the rules of evidence [telegrama colacionado].
3. Purchaser hereby tenders the sum of Pesos __ ($ __),to be taken as
part payment of the purchase price; PROVIDED ALWAYS, there shall be
no objections to the sale herein within the term fixed in Argentine Law
No. 11.867 §4. Said amount shall be paid once notices have been
published during the statutory term and claims have been deducted and
discharged.
11. Purchaser and Vendor shall pay a commission of __% and __%,
respectively, the latter being deducted from the deposit paid by
Purchaser, receipt of which is hereby acknowledged.
18. Expenses incurred in by reason of stamp tax, (promissory notes)
and other items concerning the bargain and sale hereunder shall be at
__'s sole cost.
LEASE
Third. The rent of the first month hereof is hereby mutually fixed in the
sum of Pesos __ ($ __). From the second month onwards rent shall be
adjusted as set forth in Clause 4 below. Condominium fees as well as
electricity, gas and telephone service rates on the property shall be at
Lessee's sole expense during the whole term of duration of this
Agreement. Lessee shall pay rent in advance within the first five (5)
days every month at Lessor's domicile or at the place the latter may
indicate herebelow. Lessee further covenants to pay utilities (electricity,
gas and telephone) and condominium fees at the public utilities' facilities
on due date. Lessee shall fall into arrears by mere lapse of time as a
matter of law, no judicial or extrajudicial demand being necessary.
Lessee shall be in arrears concerning payment of rent as from the 6th
day every month, and as from due date concerning utilities and
condominium fees. Rent, condominium fees or electricity, gas and
telephone service rates late charge shall be __% per day on overdue
and owing sums of money. Notwithstanding the provision above, rents
in arrears shall be adjusted monthly as specified in Clause 4 below.
Accordingly, rent payment being behind for more than __ days, apart
from the late charge referred to above, Lessee shall pay the rents in
arrears updated to the month of effective payment. Said charge shall be
cumulative month by month until full discharge of debt by Lessee.
Regarding any default in payment by Lessee, it is hereby stated that
monthly rents as well as condominium fees and utilities, as
abovementioned, shall be included in the rental herein fixed.

Los porcentajes de incremento que registre dicho índice en los
respectivos períodos son los que se utilizan en esta locación para
incrementar el alquiler. El procedimiento de indexación se practica
durante todo el lapso de la locación y hasta la fecha en la cual el
Locador reciba del Locatario la restitución del inmueble.

se restablezca la publicación de los índices inicialmente convenidos para
este contrato, los reajustes volverán a practicarse sobre esa base, como
antes se especificó. Se aclara que, en ningún caso, el alquiler mensual
puede ser inferior al establecido en la cláusula tercera del presente.
8°. Los impuestos municipales y de __ [nombre de la compañía de
servicios] son a cargo del Locador.
12°. Sin perjuicio de la fianza a que se refiere la cláusula anterior, el
Locatario entrega en este acto al Locador en calidad de depósito la
suma de pesos __ ($ __)" y el Locador le otorga por medio del presente
el más eficaz recibo. El importe aludido no devengará interés alguno y
debe ser devuelto con igual indexación que la establecida para los
alquileres. El Locador debe reintegrar al Locatario el depósito

durante todo el lapso de la locación, y además haya reparado los
eventuales deterioros que se hubieren producido. El Locatario en ningún
caso podrá retener ningún mes de alquiler para reintegrarse el

expresados.
210. El monto del sellado de ley de este contrato, que las partes pagan
por mitades, se ha calculado de la siguiente manera: a) __ meses de
alquiler a un alquiler básico inicial de $ __ hacen un total del contrato
de $ __; b) __ meses de expensas comunes ordinarias a un valor
mensual inicial de $ __ por el plazo del contrato hacen un total

Fourth. Rent shall be adjusted __ as per the Consumer Price Index
percentage of increase issued by the Instituto Nacional de Estadística y
Censos (INDEC) [Federal Vital Statistics and Census Bureau] of the
Argentine Republic. Said percentages for the relevant periods will be
taken as the basis of rent increase. Rent adjustment shall be made
during the whole term of this Lease and as of the date on which
premises are surrendered to Lessor by Lessee, the same being
calculated as follows: the index for the month of __ shall be the basic
one; the percentage estimated for __ and __, 20__, shall be the basis of
the first adjustment, to be made in __; the percentage estimated for __,
20_, shall be the basis of the second adjustment, to be made in __. This
Las being the escalation method to be followed until termination of this
Lease, the parties mutually agree on it in order to know in advance the
increase for each period. In the event that the indexes mentioned are
not issued for any reason whatever, and as long as said default persists,

It is hereby stated that in no case shall the monthly rent hereof be
lower than the rent set forth in Clause 3 above.
Eighth. Municipal and __ [name of Utility] taxes shall be at Lessor's
expense.
Twelfth. Notwithstanding the agreement of suretyship referred to in
Clause 11 above, upon the execution hereof Lessee deposits with Lessor
the sum of Pesos __ ($ __), receipt of which is hereby acknowledged by
the latter. Said amount shall accrue no interest and shall be returned
subject to the same escalation method as used for rent adjustment,
Lessor shall reimburse Lessee said security deposit once the latter has
paid the service rates(electricity, gas, telephone) and condominium fees
corresponding to the whole term of this Lease, and repaired any
damage that may have occurred. In no case may Lessee retain a single
monthly rent as reimbursement of the security deposit herein referred
to, since it shall be applied to curing any defaults hereunder, as the case
may be.
Twenty-first. The stamp tax of this Lease, to be paid in equal parts by
both parties, has been calculated as follows: (a) the rent of __ months
at an initial basic monthly rent of $ __ amounts to $ __; (b) ordinary
condominium fees during _ months at an initial monthly price of __
amount to an estimated total of $ __ for the whole term of duration
hereof, the total amount taxable (a + b) then being $ __

no reconocen embargos, locaciones ni hipotecas, y no se adeudan

que está paga la Contribución Territorial hasta el corriente año inclusive,
de todo lo que doy fe.
OCTAVA: Todos los gastos que demande esta hipoteca hasta su
cancelación inclusive son por cuenta exclusiva del Deudor, quien por
cancelación anticipada del préstamo deberá abonar al Acreedor un
servicio de intereses en concepto de indemnización; asimismo, los
títulos de propiedad de los inmuebles hipotecados quedan en poder del
Acreedor hasta la completa extinción del préstamo.
CONTRATO DE LOCACION
Tercera: PRECIO. El alquiler mensual es de pesos __($ __), que el
Locatario debe pagar por adelantado del 1 al 5 de cada mes, sin demora
ni excusa, en el domicilio del Locador, calle __ N° __, o donde este lo
determine y notifique al Locatario por medio fehaciente.
Décima: IMPUESTOS Y SERVICIOS. Todos los impuestos y las tasas que
graven el inmueble son a cargo del Locador, y los servicios de luz y gas,

Decimotercera: El Locatario debe restituir el inmueble vencido al
término del contrato, sin necesidad de interpelación alguna; en caso
contrario, debe pagar una multa de $ __ diarios por ocupación

mortgage loan.
LEASE AGREEMENT

other address as he may establish and notify by any reliable means.
TEN. AII taxes and rates shall be paid by Lessor, and electricity and gas

MORTGAGE
CONTRATO DE PRENDA CON REGISTRO

CELEBRADO CON FECHA __ de __ del 20 entre __ Compañía Financiera
S.A. como acreedor, en adelante, el Acreedor, y __ como Deudor.
Entre Acreedor y Deudor se convienen las siguientes cláusulas anexas al

5°) EXCEPCIONES: En caso de ejecución, el ejecutado sólo podrá
oponer la excepción de pago total comprobado por escrito mediante
documento emanado del titular del crédito o sus endosatarios o
cesionarios, que haga referencia directa al contrato prendario en
ejecución, y por el presente renuncia expresamente a cualquier otra
defensa, esté o no contemplada en el decreto ley 15348/46 (ley 12962)
o en el Código Procesal pertinente.
7°) ENDOSO: a) Si existiera endoso, las partes convienen que la
ejecución podrá ser promovida indistintamente por el endosante o el
endosatario que resulte portador del certificado pren9ario; b) el
endosante renuncia expresamente a la excusión y al término de 30 días
de caducidad del artículo 24 del decreto ley antes citado, que queda
prorrogado a 360 días.
11°) TRANSFERENCIA DE LA COSA PRENDADA: Cuando el deudor
transfiere el bien gravado dentro del procedimiento del artículo 9° del
decreto ley 15348/46 (ley 12962), vendedor y comprador quedan
solidariamente obligados al pago del crédito prendario.
CONTRACT FOR THE SALE OF REAL PROPERTY
5. This agreement is contingent upon Purchaser securing a
mortgage loan. Purchaser agrees to make immediate application,
through the office of the Broker, for a mortgage loan in the amount
of Dollars on what is commonly known as a ___ year plan with
interest per annum at the then prevailing rate. Either party hereto
reserves the right to void this agreement by five days' written notice
to the other party if the mortgage loan has not been arranged by
__. Pending the disposition of said application, all moneys paid

CHATTEL MORTGAGE
ADDENDUM - Attached to Chattel Mortgage as per Law No. 12962,
ENTERED INTO ON __ 20_, between __ Compañía Financiera S.A. as
Mortgagee, and __ as Mortgagor.
Mortgagee and Mortgagor agree as follows:
5) PLEAS: In the event of a foreclosure proceeding, the person against
whom a foreclosure decree is ordered may only enter a "plea of
payment" alleging total payment evidenced in writing by a document
issued. by the execution creditor or its endorsees or assignees, in direct
reference to the chattel mortgage agreement subject to foreclosure
action, and expressly waives any other pleas, whether they be contained
in Executive Order [Decreto-ley] 15348/46 (Law No. 12962) or the
relevant Code of Procedure.
7) ENDORSEMENT: (a) In the even this Chattel Mortgage were
endorsed, the parties agree that a foreclosure action may be brought
either by the endorser or by the endorsee holding the Chattel Mortgage
certificate; (b) the endorser expressly waives benefit of discussion 1 and
the term of 30 days for expiration of liabilities provided in Section 24 of
the Executive Order above, which term is extended lo 360 days.
11) CONVEYANCE OF COLLATERAL: In the event mortgagor conveys
title to collateral pursuant to Section 9 of the Executive Order above,
seller and buyer will be jointly and severally liable for the secured debt

PERFORMANCE AND OBLIGATIONS
Performance: makes reference to the fulfillment of the obligations of the contract, according to its terms, thus, relieving a person of all further
obligation or liability thereunder.
Obligations: are the duties which the parties are bound to do or forebear. They determine the binding power of the contract.

6. El Vendedor se compromete a liquidar hasta el día de la posesión,
conforme a la Ley 21.297, al personal del negocio, así como todos los
aportes jubilatorios de empleados y patrones, debiendo presentar todos

7. El Vendedor no podrá establecerse ni ocupar cargo alguno en
negocio/s análogo/s al que vende, que esté/n ubicado/s en __ cuadras

inmediatamente después de desocupar el inmueble los desperfectos y
daños que hubiere ocasionado.

6. As per Argentine Law No. 21.297, Vendor agrees to liquidate all
moneys due and owing to personnel, as well as all employees and
employers' retirement pension contributions up to the delivery date, and
to file the certificates of payment thereof at the pertinent agencies.
7. Vendor shall not set up [6] other business or businesses, analogous
to the one the subject matter hereof, __ blocks about in the
neighborhood, nor shall he hold any office whatever in like business;
otherwise, he shall [7] compensate Purchaser for damages in an

8. The telephone line in the premises, the code and number of which is

LEASE
Sixth. Lessee shall use and occupy the leased premises exclusively as

any damage he may have caused.

BREACH AND DEFAULT
They make reference to the failure to perform any promise which forms the whole or part of a contract.

Novena. El incumplimiento de una de las partes faculta a la otra, no
morosa, a optar, indistintamente y a su solo juicio, por: a) exigir el
cumplimiento de este Boleto con más los daños y perjuicios a que
hubiere lugar, en cuyo caso la parte incumplidora será pasible como
penalidad de una multa diaria de $ __, o b) dar por resuelto el Boleto
con la pérdida de la suma entregada en este acto si el incumplimiento
fuere del Comprador, o con la obligación de restituir dicha suma
doblada si el incumplimiento fuere imputable al Vendedor. La resolución
se producirá de pleno derecho y en forma automática, y sin necesidad
de interpelación judicial alguna.

24. Las partes se obligan al cumplimiento de cada una de las cláusulas
del contrato; ante el incumplimiento de una de ellas, la otra podrá optar
por: a) exigir el cumplimiento del presente y reclamar daños y perjuicios
por el incumplimiento de la contraparte; b) rescindir esta operación de
compraventa. En tal caso, si el Comprador no diera cumplimiento a lo
convenido, perderá a favor del Vendedor lo entregado a cuenta del
precio, que dio principio de ejecución al contrato. Si, al contrario, la
parte Vendedora incurriera en el incumplimiento de las obligaciones,
deberá devolver al Comprador el importe que recibió con más otro tanto
en carácter de cláusula penal, todo lo cual no impedirá a la parte no
culpable reclamar el pago de los daños y perjuicios ocasionados si
acreditara que éstos no quedaron satisfechos con el pago del importe
establecido como cláusula penal.
Si el no cumplimiento proviniera de la parte Compradora, la Vendedora
podrá disponer libremente del fondo de comercio y la propiedad, y
enajenarlos a terceros.
CONTRATO DE LOCACIÓN
90. La falta de pago de dos (2) meses de alquiler como el
incumplimiento de una cláusula de este contrato faculta al Locador a
dar por resuelto el contrato por culpa del Locatario sin necesidad de
notificación alguna y exigir el inmediato desalojo. En tal supuesto, se
aplican las penalidades estipuladas por la cláusula siguiente con más
daños y perjuicios.

Nine. In the event that one of the parties fails to perform any of the
obligations contained in this Contract, the complying party, at its option,
may either: (a) demand enforcement hereof plus recovery of damages,
in which case the defaulting party shall be liable to a daily fine of $ __;
or (b) terminate this Contract and retain the amount paid as deposit
upon the execution hereof if Vendee were the defaulting party, or
covenant to reimburse twice as much said amount if Vendor were the
defaulting party. In either case, the contract shall thereupon cease as a
matter of law, no legal demand whatever being necessary.
CONTRACT OF BARGAIN AND SALE59 OF BUSINESS AND PLANT
24. The parties hereby agree to fulfil all the terms hereof; upon non-
fulfilment by any of them, the other party may elect to [17]: (a)
demand strict performance and bring an action for damages [18] on the
grounds of breach of contract; (b) terminate this Contract. In such
event, upon failure by Purchaser¡ breaching party shall loose for the
benefit of Vendor all the moneys paid as part payment of the purchase
price and part performance of the contract. Otherwise, upon failure by
Vendor, breaching party shall pay back to Purchaser the amount

FOURTEEN. Default in the performance of any covenant or condition
hereunder will constitute sufficient grounds to institute dispossess

Tenth. In the event of holding over by Lessee for any reason whatever,
he shall pay Lessor a progressive monthly increase of 50% as

WAIVER

or communication; or other causes beyond Seller’s reasonable
