PROJECT CONTRACT

This contract is made effective as of _________________ by and between


______________________ (hereinafter referred to as the "Designer") and
___________________ (hereinafter referred to as the "Client").

In consideration of mutual covenants set forth in this agreement, Client and


Designer hereby agree as follows:

1. Description of the Project

Designer agree to develop the project named as _________ according to the terms and
design on Exhibit A attached hereto. Project deadline shall be on ________________.

2. Payment

A payment of _______________________ in consideration of the service fee and


materials needed for the project. A non-refundable down payment of thirty percent
(30%) is due at the time the agreement is signed. Final payment shall only be due once
the Designer has completed the project, and obtaining the Client's approval and that the
services have been fulfilled as per the agreement.

3. Changes

The Client must assume that all additions, alterations, changes in content, layout or
process changes requested by the customer, will alter the time and cost. The Client
shall offer the Designer the first opportunity to make any changes.

4. Preliminary Fitting

The preliminary fitting shall be one week prior to the said project deadline.

5. Cancellation

In the event of cancellation of this project, ownership of all copyrights and the original
artwork shall be retained by the Designer, and expenses already incurred on materials,
shall be paid by the Client. The non-refundable down payment shall be applied to the
payment of service fee in consideration for the services rendered by the designer. Any
partial completion of the project at the date of cancellation shall be given to the client.

6. Modifications
Modifications of the terms of this contract must be written and authorized by both
parties, involving the implementation of a new version of the contract as a whole
following standard procedures of documentation and approval.

7. Acceptance of terms

The action of the sending and receipt of this project will hold both parties in acceptance
of these terms. The Designer as sender and the client as recipient will acknowledge
acceptance of these terms either through an e-mail noting acceptance or acceptance is
acknowledged at the beginning of any work on said project. Electronic signatures shall
be considered legal and binding.
