ENVIRONMENTAL SIMULATIONS SOFTWARE LICENSE AGREEMENT

return the software and all included materials to your dealer for a full
refund.

1. GRANT OF LICENSE. Environmental Simulations, Inc. (hereinafter

"Licensor") grants to Purchaser (hereinafter "Licensee"), the
nonexclusive right to install and use the Software Program (hereinafter
"Software") using Licensor's software key or hardware key systems in
accordance with the terms of this License Agreement (hereinafter "License
"). When using software keys, the Licensee may use the software on no
more than one (1) computer unless Licensor grants permission for
additional installations. When using the hardware key, Licensee may
install and operate the software on any computer. The software will only
function on the computer containing the hardware key. Only one hardware
key is provided with each installation. Licensee may only use the
Software via remote access (e.g. VPN or Remote Desktop) with a network
hardware key. Workstation keys and security codes may not be used
remotely without permission from Licensor.

Licensor retains ownership of all written materials and of the Software

recorded on the original diskettes or CD's and all subsequent copies of
the Software, regardless of the form or media in or on which the original
and/or copies may later exist. Licensee agrees to comply with the terms
and conditions of this License and agrees to take all necessary steps to
protect Licensor's Software from theft or use contrary to the terms
herein. In the event Licensee violates any of the terms of this
agreement, Licensee agrees to destroy the original and all existing
copies of the Software.

2. POSSESSION AND COPYING: Licensee may make copies of the Software for
backup purposes only and will keep the original and backup copies in the
possession or direct control of the Licensee. Copying of the written
materials for sale is prohibited. Copying of written materials for
Licensor's own use is acceptable.
3. TRANSFER AND REPRODUCTION: Licensee shall not rent, lease, transfer,
sublicense, reproduce, display, or otherwise distribute the Software,
either temporarily or permanently, without the written permission of
Licensor. Licensee may not incorporate all or part of the Software into
another product.

4. LIMITED WARRANTY: Licensor warrants that the Software will operate

substantially in accordance with the accompanying written materials
herein for a period of ninety (90) days from the date of purchase. If
during this warranty period a defect appears, Licensee may return the
Software (as delivered to Licensee), accompanied by the receipt, to
Licensor for replacement at no additional charge, or Licensor may elect
to refund the purchase price.

5. DISCLAIMER OF LIABILITY: ENVIRONMENTAL SIMULATIONS, INC. DISCLAIMS ALL

OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO
ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE, WITH RESPECT TO THE SOFTWARE OR ACCOMPANYING MATERIALS.
Licensor shall in no event be liable for any indirect, incidental,
consequential, special, or exemplary damages, lost profits, or claims by
third parties, even if Licensor has been advised of possible damages.
Licensor shall not be liable for any loss or damage exceeding the price
paid for the Software. Licensee shall indemnify and hold Licensor
harmless against any claims, causes of action, damages, liabilities, or
demands that result from, or are related to, Licensee's use of the
Software.

6. UPDATE POLICY: Software updates will be available to Licensee as they

are released by Licensor. If there is a fee associated with any updates,
Licensee will be notified by way of an update notice, which will be
received by mail.

7. GENERAL CONDITIONS: This License shall be governed by, and construed

in accordance with, the laws of the State of Pennsylvania. Any delay or
failure of either party to enforce any of the provisions of this License
shall not be construed to be a waiver of any right of that party.
