We think you and your kids (collectively, “You” or “Your”) are going to have a blast at the Event listed above, but it’s
not all fun and games out there. Please read through this Event Waiver and Release (“​Release​​”) carefully.

1. Unlikely as it may seem, accidents happen and participation in this Event presents a risk of injury. For
example, You can stumble on an uneven surface, get struck by a projectile, have safety gear or equipment malfunction,
or just plain old slip and fall. In short, nothing is perfectly safe, especially when You’re engaged in physical activity. As
a result, You may get seriously injured at this Event, from twisted ankles and broken bones to whiplash, death and
everything in between. Please take a moment to consider the range of risks and their possible consequences.

2. By participating in the Event, You acknowledge that You understand and accept the risks involved,
regardless of how they may be caused and regardless of whether they occur on the way to, during, or after the Event.
You are responsible for any injuries, damages, liabilities, losses or expenses that You incur or cause as a result of Your
participation. You agree to take reasonable precautions to limit your risk, for example, by following instructions, asking
questions, and familiarizing Yourself with any safety protocol or emergency procedures, if applicable.

3. You are not obligated to participate. Indeed, You may not participate if You are unwilling to assume
all risk and responsibility for the injuries you may suffer.

4. Please note that Yelp is not the Event host and may not have full responsibility for or control of the
Event venue or facilities (“​Event Premises​​”). Safety questions or concerns may need to be raised with the Event host
and service providers, and Yelp is not responsible for any injuries occurring through Your use of the Event Premises, or
otherwise.

5. With respect to any injury, liability, claim, demand, cause of action, damage, loss or expense
(including court costs and reasonable attorneys fees) which may arise out of, result from, or relate in any way to Your
participation in this Event, You (for Yourself and your heirs, executors, administrators and anyone else who might make
a claim on Your behalf) release, waive and covenant not to sue Yelp Inc., the various Event sponsors, the other Event
participants, and their respective parent companies, subsidiaries, affiliates, officers, directors, partners, shareholders,
members, agents, employees and volunteers, and further agree to indemnify, defend and hold them harmless.

6. By signing below, You are acknowledging that (a) You are at least 18 years old, (b) You and any other
participants listed above are in good physical and mental health, (c) You have read this Release carefully and accept its
terms on behalf of Yourself and the other Participants listed above, (d) You have the authority to contract on behalf of
any other Participants listed above, and (e) You and any other Participants listed above are giving up substantial legal
rights by signing the Release.

As used throughout this Release, the terms “​we​​” and “​Yelp​​” refer to Yelp Inc., and the terms “​You​​” and “​Your​​” refer to
You, the signatory below, on behalf of Yourself and any other Participants listed above. The Release represents the
complete understanding between You and Yelp with respect to the Event, and no oral representations, statements or
inducements have been made apart from this Release relating to the Event. If any provision of the Release is held to be
unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the Release and
shall not affect the validity and enforceability of any remaining provisions.
