1.0 GENERAL

1.1. The CONTRACTOR shall employ only qualified, skilled and competent CONTRACTOR
PERSONNEL in all aspects of the execution of the WORK, and shall implement employment
policies whose objectives shall include the maintenance of good industrial relations for the
duration of the WORK.

1.2. The initial selection and subsequent replacement of key CONTRACTOR PERSONNEL shall
be subject to PCIHBV’s prior approval. Accordingly, the CONTRACTOR shall submit to
PCIHBV the curriculum vitae of any CONTRACTOR PERSONNEL. , including in respect
of any CONTRACTOR PERSONNEL supplied by Thi Qar Employment Committee or
CONTRACTOR's manpower supplier, prior to their employment.

1.3. The CONTRACTOR shall maintain all key CONTRACTOR PERSONNEL as proposed by
the CONTRACTOR in its bid proposal, who shall comply with PCIHBV’s requirement for
key CONTRACTOR PERSONNEL. Any changes of key CONTRACTOR PERSONNEL
shall be justified with proper evidence and reasoning, and shall require PCIHBV approval.

2.0 SUPERVISION

2.1. The CONTRACTOR shall provide all necessary supervision for its CONTRACTOR
PERSONNEL and SUBCONTRACTORS’ personnel, the costs thereof shall be deemed to be
part of the SERVICE AGREEMENT PRICE.

3.0 COMPLIANCE WITH LEGISLATION

3.1. As a key condition of the SERVICE AGREEMENT, the CONTRACTOR shall be generally
responsible for complying with the provisions of the laws and regulations of Iraq regarding
employment, labour, social security, health and safety.

3.2. Without prejudice to the generality of the above paragraph, the CONTRACTOR shall in
particular ensure that all CONTRACTOR PERSONNEL, irrespective of whether such
CONTRACTOR PERSONNEL are Iraqi nationals or non-Iraqis, are registered with the Iraqi
Social Security Department, Labour Office and tax authorities. The CONTRACTOR shall
further ensure that all expatriate CONTRACTOR PERSONNEL possess valid Iraqi visas and
work permits for the entire duration that such CONTRACTOR PERSONNEL are employed
on the WORK.

3.3. The CONTRACTOR's engineering CONTRACTOR PERSONNEL assigned to this


PROJECT shall comply with applicable requirements of a globally recognised engineering
association.

3.4. The CONTRACTOR and all of its SUBCONTRACTORS shall pay salaries and wages to its
and their employees on or before the pay day as stipulated in the Labour Law of the Republic
of Iraq.

4.0 TAXES

4.1. The CONTRACTOR shall pay all social security payments and employment taxes, and any
and all fees or charges of any kind required by the GOVERNMENT.

5.0 VACATION PAY

5.1. The CONTRACTOR shall provide CONTRACTOR PERSONNEL with vacation pay in
accordance with prevailing regulations.

6.0 LOCAL CUSTOMS

6.1. The CONTRACTOR shall respect local customs in the administration of its personnel policy.
Particular regard shall be given to religious festivals and local holidays. The CONTRACTOR
shall consider the Muslim religion and shall allow Muslim workers to perform required
religious obligations e.g. daily prayers, Friday prayers, Ramadhan etc.

7.0 EXPATRIATE PERSONNEL

7.1. The CONTRACTOR shall obtain and maintain valid work permits and visas for all of its
expatriate CONTRACTOR PERSONNEL and shall advise PCIHBV of their arrival and
departure.

7.2. The CONTRACTOR shall ensure that its expatriate CONTRACTOR PERSONNEL comply
with the Laws of Iraq and do not involve themselves in Iraqi politics or publicly express
opinions on sensitive political or religious matters.

7.3. All expatriate CONTRACTOR PERSONNEL brought into Iraq and for the project execution
shall be fluent in spoken and written English. Proficiency in the Arabic language is desirable.

8.0 HEALTH

8.1. The CONTRACTOR shall provide a continuous supply of clean potable water for the use of
all CONTRACTOR PERSONNEL engaged in the WORK.

8.2. In the event of any outbreak of illness of an epidemic nature, the CONTRACTOR shall
comply with and carry out such regulations, orders and requirements as may be issued by the
Government or the local medical or sanitary authorities, for the purpose of dealing with and
overcoming the same.

9.0 CONDUCT

9.1. The CONTRACTOR shall, at all times, take all reasonable precautions to prevent any
unlawful, riotous or disorderly conduct by or amongst CONTRACTOR PERSONNEL, to

preserve the peace and to protect persons and properties in the neighborhood of the WORK in
the event of riotous or disorderly conduct.

9.2. The CONTRACTOR shall take all appropriate measure to ensure that worker strikes, work
stoppage, or any kind of public procession are not staged at any time of during the execution
of the project. The CONTRACTOR shall also ensure that CONTRACTOR PERSONNEL
refrain from making any comments that would offend the sensitivities of any local
CONTRACTOR PERSONNEL, PCIHBV personnel, or third party.

9.3. Any CONTRACTOR PERSONNEL or SUBCONTRACTOR personnel who are involved in


physical violence or who make any comments offensive to sensitivities shall be immediately
withdrawn from the WORKSITE, and shall not be allowed to return to the WORK.

10.0 REMOVAL OF PERSONNEL

10.1. PCIHBV shall have the right to remove and replace any CONTRACTOR PERSONNEL or
any SUBCONTRACTOR personnel who, in PCIHBV's sole opinion, are unqualified,
unskilled, incompetent or are indulging in activities or behavior incompatible with their
position.

10.2. No personnel shall be removed by the CONTRACTOR or any SUBCONTRACTOR without


prior written approval by PCIHBV. Prior to removal of any employees, the CONTRACTOR
shall submit in writing along with sufficient supporting documents/evidences for the reason
of removal. The CONTRACTOR shall have a suitable and equivalent replacement ready to
perform the WORK immediately upon such removal.

11.0 SUBCONTRACTOR

11.1. The CONTRACTOR shall require and ensure that all of its SUBCONTRACTORS comply
with the requirements of this Section in their dealings with personnel.

12.0 UNSKILLED LABOUR

12.1. If there is any unskilled labour required for the performance of the WORK, such unskilled
labour must go through Thi Qar Employment Committee (TQEC) requirement.

13.0 PROHIBITED EMPLOYMENT

13.1. The CONTRACTOR shall not employ any illegal immigrants or drug addicts for the purpose
of the WORK.

14.1. Provided by the CONTRACTOR.

15.0 REQUIREMENTS FOR CONTRACTOR PERSONNEL

15.1. CONTRACTOR shall submit to PCIHBV a resume showing technical training and experience
for each of CONTRACTOR personnel proposed for assignment as per item III-4 of this
EXHIBIT. PCIHBV at its own option shall have the right to reject any personnel proposed by
CONTRACTOR.

15.2. The personnel for this SERVICE AGREEMENT should meet the following minimum
requirements (personnel qualification and experience);

15.2.1. PSD Team Leader (PSDTL);

 Expatriate (preferably Malaysian).


 Having attain the minimum rank of Senior NCO (Sargent and above) or
equivalent rank having at least ten (10) years’ service in military/police or at least
ten (10) years combination experience in military/police service and Private
Security Detail (PSD).
 TL must be qualified as a minimum to ‘Certified First Responder’ level or
equivalent in Combat Medic or Paramedic.
 TL with recognized certified training in Close Protection (CP) is preferable.
 TL must be conversant with the host country laws.
 TL must demonstrate a high standard of written and spoken English as well as an
ability to make decision under pressure.
 Age below fifty five (55) years old.

15.2.2. PSD Deputy Team Leader (PSDDTL);

 Expatriate (preferably Malaysian).


 Having attain the minimum rank of NCO (Corporal and above) or equivalent rank
having at least eight (8) years’ service in military/police or at least eight (8) years
combination experience in military/police service and Private Security Detail
(PSD).
 DTL must be qualified as a minimum to ‘Certified First Responder’ level or
equivalent in Combat Medic or Paramedic.
 DTL must be conversant with Host Country laws.
 DTL must be fluent in spoken and written English.
 DTL with recognized certified training in Close Protection (CP) is preferable.
 Age below fifty (50) years old.

15.2.3. PSD Driver/Shooter (HCN);

 All PSD driver/shooter shall be assessed suitable for the performance of their
duties.
 All drivers must hold a valid driving license according to the vehicle category and
be evaluated against objective criteria to measure their defensive driving skill and
hazard awareness.
 PSD drivers/shooters should have a good command of English language (English
speaking).
 Shall have at least two (2) years of experience with no record of accident.
 Selection of HCN PSD driver/shooter must go through Thi Qar Employment
Committee (TQEC) requirement.
 Age below fifty (50) years old.

15.3. CONTRACTOR shall ensure the personnel recruited above is physically and mentally suitable
for the work he is being employed for. The Medical Examination shall include;

15.3.1. General Pre- Employment Medical Examination for all employees;


15.3.2. Pre-employment medical assessment should be carried out as close as possible to the
actual date of commencement of employment.
15.3.3. Assessment done more than 6 months prior to the start of employment should be
repeated.
15.3.4. Additional requirements on the employees Medical Examination for driver as follow:
 Once a year for below 40 age group.
 Twice yearly for above 40 age group. Period may be shortened if clinically
indicated.
 Focus on cardiovascular, musculoskeletal, CNS and mental functions.
 Urine drug testing and audiometry required for every medical test.
 ECG required for above 40 age group.

15.3.5. All medical report must submit to PETRONAS Medical Advisor for approval.

15.4. The CONTRACTOR shall make its own judgment on the manpower required vis-à-vis the
WORK to be performed. Additional personnel shall be provided by the CONTRACTOR at
no extra cost to PCIHBV if the minimum number of personnel stated cannot satisfactorily
perform the WORK. Any replacement to the original proposed personnel under this SERVICE
AGREEMENT shall be subject to the evaluation of PCIHBV. CONTRACTOR is required to
submit personnel replacement proposal (with resume attached) to PCIHBV for approval. Any
non-compliance to the personnel minimum requirements shall be subject to the termination
provisions of the SERVICE AGREEMENT.
