TERM SHEET
[SVKM’S NMIMS] (THE "COMPANY")

This Term Sheet summarizes the principal terms of a Supply Agreement

between the Company and Smart Senses India Limited . It is for discussion
purposes only, and except as specifically set forth below there is no legally
binding obligation on the part of any negotiating party until definitive
agreements are signed and delivered by all parties. This Term Sheet does not
constitute an offer to sell nor an offer to purchase securities in the Company.

Company SVKM’S NMIMS

Product Smart Board

Supplier Smart Senses

No. of Products 186 Smart Boards. Subject to the condition, if the smart
to be supplied board functions well, the Company would place an
order for their 6 other campus with the Supplier.

Price per Price of each Board will be Rs. 1,20,000/-. Subject to a

product discount of 15% per piece. Further, an advance of 50%
for every order be paid by the Company to the Supplier.

Guarantee The Products supplied by the Supplier to the Company

shall have a guarantee of 24 months from the date of
delivery of the product.

Time Consignemnts of products be delivered within 10 weeks

of placing the order.

Event of Default If any Party defaults in the performance of its material

obligations under the Agreement and fails to remedy
the default within 30 days of being notified or is subject
to any form of insolvency event (including appointment
of an administrator, receiver, receiver and manager or
liquidator or failure to comply with a statutory
demand), any other Party may terminate the
Agreement.

Quality Control All the products shall be subject to inspection at

delivery. Any kind of wear or tear to the products shall
lead to non acceptance of them by the Company.
Further all the products shall bear CE Certification,

Signatories : For MSIL For HCIL

 FCC Certification and ROHS Certification.

Liability The Supplier shall be liable to the Company for any loss
or danage suffered by the Company as a result of failure
to deliver the products under the Agreement to be
executed. However, the Supplier shall not be liable for
failure to deliver the products as a result of Permitted
Interruptions (set out in the agreement) or Force
Majeure.

Term of Contract 1 years

Jurisdiction and
Governing Law ANY DISPIUTE OR CLAIM ARISING OUT OF OR IN
CONNECTION WITH THE CONTRACT OR AGREEMENT TO BE
ECEUTED SHALL BE GOVERNED BY AND CONSTRUED IN
ACCORDANCE LAWS OF INDIA AND BE SUBJECT TO AN
ARBRITRATION, CONSISTING ON 1 ARBRITATOR, LANGUAGE
OF THE ARBRITATION SHALL BE ENGLISH.

Confidentiality THE PARTIES SHALL KEEP STRICTLY CONFIDENTIAL AND NOT

WITHOUT THE OTHER PARTY'S PRIOR CONSENT IN
WRITING DISCLOSE TO ANY THIRD PARTY ANY
DOCUMENT OR INFORMATION MARKED AS
CONFIDENTIAL, WHETHER OF COMMERCIAL OR
TECHNICAL NATURE, FURNISHED BY THE OTHER
PARTY PURSUANT TO THIS CONTRACT.
