Assignment Description
Background 
 
The Advisory Services in Public Private Partnerships of the International Finance Corporation (IFC), is in discussions with the
Government of Peru (GoP), through the Private Investment Promotion Agency (Proinversion or Client), a public entity responsible
for the execution of Public Private Partnerships (PPP) projects in core and social infrastructure in the country, in engaging IFC as
the lead advisor to structure and implement a private sector participation project (PSP) to improve the sanitation system of the city
of Puerto Maldonado (Project or Transaction). 
 
Assignment Objective:  
The Legal Consultant is expected to assist the IFC transaction team, providing guidance to draft the bidding documents and
participate during the international bidding process as needed to support the IFC team that would lead the advisory mandate. 
 
IFCs Scope of Work:  
 
After the signing of the mandate with Proinversion, the IFCs advisory mandate will be implemented into two phases: 
 
Phase 1 ­ Transaction Structuring: IFC and its consultants will analyze all aspects of the Project, including capital investment
program, financial viability, technical and legal due diligence, regulatory framework, environmental and social issues. IFC will then
recommend to Proinversion the optimal scope and structure for the Transaction that would require government approval before
proceeding to Phase 2. 
 
Phase 2 ­ Transaction Implementation: IFC, with the support of its consultants, will implement the approved transaction structure,
including the promotion of the Transaction to potential investors, the prequalification of investors, the design of bid criteria, the
preparation of legal documents for a competitive international tender, the oversight of the tender process, and assistance to
Proinversion during the evaluation of the bids and the closing of the Transaction. 
 
It is important to note that as part of the team mobilization effort, IFC will hire, through separate processes, a technical and
communication consultant firm that will assist IFC, together with the Legal Consultant through Phase 1 and 2. The Legal firm would
be an international firm, with a partnership with a local firm in Peru. 
 
Scope of Work of the Legal Consultant:  
 
The IFC is now seeking expressions of interest from legal firms. Key tasks of the legal firm to be performed are outlined below: 
 
Phase 1: 
1. Analyze general legal issues that would affect the feasibility of a waste water PPP transaction in Peru (including tax, accounting,
labor, environmental, social);  
2. Conduct a legal due diligence on EMAPAT, the local public utility company, on the existing contracts signed with private entities,
and current legislation governing the organization to orient us on the process to tender the project, for a private operator to build,
finance, operate and maintain a new wastewater treatment plant and the sewage network for Puerto Maldonado. 
3. Review the risk matrix allocation and make recommendations on the project structure, procurement process and proposed
 solution to deal with flagged issues.  
4. Review the regulated tariff structure from a legal standpoint and identify any issues and propose legal mitigation measures. 
5. Review the legal status of the existing assets that will be part of the project. In case there are any liabilities linked to these assets,
the consultant shall propose a solution to address the issues. 
6. Assist IFC in drafting the Transaction Structuring Report (TSR) to be presented to GoP at the end of the Due Diligence Phase
and attend the presentation to the GoP. 
 
Phase 2: 
Assist in all legal aspects of the implementation of a competitive tender, including:  
1. Draft the bidding documents and concession contract (including its appendices) to reflect the approved project structure;  
2. Prepare the relevant legal sections of the Information Memorandum;  
3. Review the bidders' comments on the draft contractual arrangements and assist in the negotiation process;  
4. Advise the IFC on legal aspects of the bidding process (including participation in meeting together with IFC, the GoP, potential
bidders, and evaluation of the legal aspects of the bids) up through the award of the bid and financial close.  
 
Firm requirements 
 
IFC now invites eligible consultants to indicate their interest in providing their services by submitting a response to this Request for
Expression of Interest (REOI). Please note that Consulting Firms may associate with other interested firms or individuals to enhance
their qualifications. Firms that have been determined to be qualified through the evaluated results of this first stage may be invited to
submit proposals for the Request for Proposals (RFP) that will be issued at a later date. 
 
The responses presented by the firms will be reviewed and those consultants deemed best qualified in IFCs judgment will be short­
listed according to the following criteria: 
 
­Experience in structuring concessions, drafting concession contracts and bidding documents, and advising on legal issues in
competitive bids for water/wastewater concessions. The firm must have experience structuring projects under PPP schemes in Peru
and Latin America and a good knowledge of the Peruvian legal framework for projects structured as PPPs. 
­The interested firm is an international firm, and must have a partnership with a local Peruvian firm 
­Spanish ability of key staff member 
 
Responses shall not exceed 25 pages. If the submitted response exceeds 25 pages, IFC reserves the right to read only the first 25. 
 
Responses must be delivered to the below mentioned personnel by e­mail no later than 11:59 PM Eastern Standard Time, 2nd of
March 2019. 
 
By responding to this REOI, you are confirming compliance with the World Bank Group Procurement Policy. 
 
Firms shall not receive, offer or solicit anything of value to influence the outcome of the procurement process. Firms shall not
misrepresent facts in order to influence the procurement process. Collusive practices among firms or individuals to establish artificial
non­competitive levels shall not be tolerated and may result in rejection of rejection of responses.

Qualification Criteria

1. Provide information showing that they are qualified in the field of the assignment.
2. Provide information on the legal and managerial capabilities of the firm.
3. Provide information on their core business and years in business.
4. Provide information on the qualifications of key staff.
