I. REQUEST/ISSUE & BACKGROUND INFORMATION:

Triple Crown Sports has requested limited use of the Emerald Park Sports
Complex for a total of five youth baseball tournaments (19 days) annually. The
tournaments would take place June - August in 2019 and 2020, as fields
previously utilized in Hayden will no longer exist and currently have no plans
for replacement due to construction of a new school. Triple Crown Sports is
requesting this limited use of the Sports Complex to replace the Hayden fields
and prevent decreasing tournament participation and tourism to the City of
Steamboat Springs.

Background:
The City of Steamboat Springs and Triple Crown Sports have been collaborating
to promote summer tourism in Steamboat Springs for the past 36 years. A
contract (attached) was signed in 2010 that identifies facilities approved for
use, City and Triple Crown Sports obligations, and financial requirements for
both parties. This contract automatically renewed for an additional five year
term in 2016 and terminates on August 31, 2020.
Public discussions have occurred over time regarding Triple Crown Sports
proposed use of Emerald Park Sports Complex. Concerns have been expressed
about possible impacts including: use of Pamela Lane to access the Park,
increased traffic, parking, and noise.

Since Triple Crown Sports last proposed use of Emerald Park Sports Complex,
the City of Steamboat Springs completed a $3 million dollar new access road
(Ski Town Way) and parking lot improvements which have eliminated the need
for Emerald and Botanic Park users to enter Pamela Lane.

Staff has reviewed the proposed dates and times and believes this requested
use can be accommodated. Based on the amount of limited parking available
at the Sports Complex, use would be limited to no more than 3 fields at one
time. The proposed schedule of events does not impact the Botanic Parks
popular Concert on the Green series, nor tournaments or practices put on by
the Steamboat Soccer Club or the Yampa Valley Youth Baseball Association.
Additionally, Parks and Recreation staff is looking into parking solutions that
can be implemented to accommodate for the high attendance levels the Sports
Complex and Botanic Park generate through the spring-fall.

Triple Crown Sports has agreed to pay the City of Steamboat’s youth field user
fees as specified in the adopted fee schedule (2019 $12 per hour, $72 for 6
hours or more). They have agreed to pay for one Community Service Officer
for each day of play at Emerald Park (2019 $34 per hour) and will assist with
parking to verify teams are not parking on Pamela Lane. Additionally, they have
agreed to pay $4,285 annually in Capital Improvement Funds, in addition to the
annual $15,000 obligation per the existing contract. Triple Crown Sports will
also provide an experienced site supervisor at the Sports Complex for each
game and will provide one dedicated maintenance person to support Parks and
Recreation maintenance staff during the World Series Games at Emerald Park.

Reasons to allow use of the Emerald Park Sports Complex may include:
 Triple Crown Sports will continue to bring approximately the same
number of teams to Steamboat Springs.
 The Parks and Recreation Department will receive payment for field use
and additional Capital Improvement Funds.
 The baseball fields are currently underutilized, and this programming will
increase the field’s usefulness.
 The City recently invested approximately $3 million to construct a new
access (Ski Town Way) to the Sports Complex. Thus, residents of Pamela
Lane should not be impacted with traffic driving through the
neighborhood.
 There are no known scheduling conflicts at this time.
 Allowing Triple Crown Sports to use Emerald Park is consistent with the
current practice of the City programming other non-local youth
tournaments at the sports complex.
 The Hampton Inn and Suites is a preferred lodging sponsor for Triple
Crown Sports and is located adjacent to the Sports Complex. Triple
Crown Sports will encourage teams to stay at this hotel and walk to the
park to minimize vehicular impacts.
 Parks and Recreation staff will work with Triple Crown Sports on a
parking plan to reduce vehicular traffic and impacts to Pamela Lane and
the Botanic Park during scheduled events.

Reasons to not allow use of the Emerald Park Sports Complex may include:
 Neighboring residents may be concerned about more events and
possible noise at the Sports Complex.
 Event size is limited due to the number of parking spaces available.
 Parking for the Botanic Park will be affected during any scheduled use of
the Sports Complex.

II. SUMMARY AND ALTERNATIVES:

Triple Crown Sports has requested limited use of Emerald Park Sports Complex
diamond fields for youth tournaments in 2019 and 2020. The existing contract
would need to be amended if approved. Triple Crown Sports has agreed to pay
field user fees and contribute an additional $4,285 annually in Capital
Improvement Funds. Additionally, they have agreed to have staff on site to
supervise all events and assist with maintenance during the World Series. The
following opportunities exist:

1. Amend the existing contract to allow for limited use of Emerald Park, as
requested and proposed, for youth tournaments by Triple Crown Sports
in 2019 and 2020.
2. Amend the existing contract to allow for limited use of Emerald Park for
youth tournaments by Triple Crown Sports with changes to the proposed
terms.
3. Do not allow the requested use of Emerald Park by Triple Crown Sports
and provide direction to Parks and Recreation on what types of activities
are permitted at the Sports Complex.

III. STAFF RECOMMENDATION:

Staff recommends option 1: Amend the existing contract to allow for limited use
of Emerald Park, as requested and proposed, for youth tournaments by Triple
Crown Sports in 2019 and 2020.
IV. FISCAL IMPACT:

If this request is not approved, the loss of two diamond fields in Hayden,
Colorado will decrease the number of teams that can participate in five Triple
Crown Sports tournaments which may decrease sales tax revenues for the City
of Steamboat Springs.

If approved, Triple Crown Sports will be paying the City field user fees
(estimated at $1,370) and Capital Improvement Funding ($4,285) for use of
the Emerald Park Sports Complex.

V. LEGAL ISSUES:

An amendment to the existing contract will need to be executed (a draft


amendment is attached).

VI. CONFLICTS OR ENVIRONMENTAL ISSUES:

During previous discussions about Triple Crown Sports proposed use of Emerald
Park Sports Complex, there have been concerns expressed about access, traffic,
parking and noise.

Ordinance #1511 notes that the baseball, softball and soccer fields at the park
are to be used for scheduling youth sports exclusively. During previous public
discussions, some people have stated that park use was restricted to local
sports only, yet this language is not in the ordinance. This type of restriction,
or one that restricts a certain user group, may be in violation of the terms of
the Great Outdoors Colorado funding used to construct the park. Currently,
non-local youth lacrosse and soccer tournaments are held annually at the
Emerald Park Sports Complex

Due to the limited amount of parking at the facility, Parks and Recreation will
be limiting use of the Sports Complex during tournaments to no more than 3
fields at one time to all groups unless an offsite parking plan can be
accommodated.

The diamond fields at Emerald Park receive a low level of use each season
compared to other diamond fields:
 Emerald -120 hours/field
 Howelsen -725 hours/field
 Ski Town Fields -190 hours/field
 Strawberry Park -200 hours/field

VII. CONSISTENCY WITH COUNCIL GOALS AND POLICIES:


The proposed use aligns with City Councils mission: We plan, partner, and
provide superior services and a safe environment in our thriving authentic
community.

Public outreach regarding Triple Crown Sports request to utilize Emerald Park
Sports Complex includes:

 Informed the Steamboat Soccer Club, the Yampa Valley Youth Baseball
Association and the Botanic Park on the request from Triple Crown
Sports.
 Requested the Steamboat Springs Chamber send an update on Triple
Crowns Sports request to their membership via email with an invitation
to attend, learn more about the proposal, participate in the
conversation, and provide valuable community input
 Placed an advertisement in the Steamboat Pilot and Today to inform the
community about Triple Crown Sports request and an invitation to
attend, learn more about the proposal, participate in the conversation,
and provide valuable community input.
 Created social media positing regarding Triple Crown Sports request and
an invitation to attend, learn more about the proposal, participate in the
conversation, and provide valuable community input.
 Initiated Steamboat Pilot and Today article to provide information for
an article about Triple Crown Sports request.
 Distributed door hangers to the Pamela Lane neighborhood to inform
the residence of Triple Crown Sports request and an invitation to attend,
learn more about the proposal, participate in the conversation, and
provide valuable community input.

1st AMENDMENT TO SPORTS FIELD & FACILITIES LICENSE AGREEMENT

This 1st Amendment to the Sports Field & Facilities License Agreement (“Amendment”) is
entered into this _______ day of ____________, 2019 by and between the City of
Steamboat Springs, a Colorado home rule municipality (“City”) and Triple Crown Sports,
Inc. (“Contractor”) collectively as “the parties.”

RECITALS

WHEREAS, that certain Sports Field & Facilities License Agreement (“Agreement”)
dated June 28, 2010 and by this reference made a part hereof, was entered into between
the parties for the purpose of making available certain of the City’s sports fields and
facilities to Contractor for sports competitions and camps; and

WHEREAS, the parties desire to amend the Agreement for the purpose of adding
licensed premises and providing for additional payment and services by the Contractor
for those premises.
NOW, THEREFORE IN CONSIDERATION of the promises and covenants herein
contained, the parties hereto mutually agree as follows:
1. LIMITED MODIFICATION. It is expressly agreed by the parties that this
Amendment is supplemental to the Agreement dated June 28, 2010, and shall in no way
act as a waiver of any of the conditions and obligations imposed on the parties by the
Agreement executed by them, and any rights that either of the parties may have by virtue
of such Agreement shall remain binding without modification or amendment except as
those conditions, obligations, and rights are explicitly altered by this Amendment.

2. ADDITIONAL PREMISES. Section A.2 of the Agreement is hereby amended to add


Emerald Park to the list of “Licensed Premises.” A total of no more than three (3) Emerald
Park fields maximum shall be available for Contractor’s use. For the 2019 season,
Emerald Park shall be available for use by the Contractor on the following dates:

a. June 7-9 Mountain Magic Fastpitch


b. June 14-16 Mountain Magic Baseball
c. June 21-23 Mountain Magic Baseball
d. July 24-28 World Series Baseball
e. July 31-Aug. 4 World Series Baseball

The hours available at Emerald Park (according to the day of the week) are limited to the
following:

f. World series Boy’s Baseball – Fields and times to be determined

g. Mountain Magic June events – Fields and times to be determined

3. ADDITIONAL CONTRACTOR OBLIGATIONS. Section C.1 of the Agreement is


hereby amended to include Contractor’s payment of $4,285 in CIP funds in addition to its
$15,000 obligation for 2019 and 2020, for a total payment of $19,285 for each of the
remaining two (2) years.

4. ADDITIONAL OBLIGATIONS AT EMERALD PARK. The Contractor agrees to


assign an experienced site supervisor at its own expense to Emerald Park for the duration
of each game day. The Contractor further agrees to provide one dedicated maintenance
person to support the City maintenance staff at the World Series Games at Emerald Park
for duration of each game day.

5. PAYMENTS FOR EMERALD PARK. Section C.4 is hereby amended to provide for
Contractor’s payment to the City for Emerald Park use in the following amounts:

a. Contractor will pay youth field user fees at Emerald Park as specified in the
City’s adopted fee schedule. The 2019 season the rates are $12 per hour or a $72
daily rate if fields are booked 6 hours or more.

b. Contractor agrees to use and pay for one Community Service Officer provided
by the Steamboat Springs Police Department at a rate of $34 per hour for each
day of play at Emerald Park.

IN WITNESS WHEREOF, the parties have set their hands the day and year first written

SPORTS FIELD & FACILITIES


LICENSE AGREEMENT

THIS AGREEMENT is made as of the^_ day of _J^_€_2010, by and
between TRIPLE CROWN SPORTS, INC. (hereinafter the "Contractor") and the CITY OF
STEAMBOAT SPRINGS, a Colorado home ruie municipality (hereinafter the "City").

RECITALS

WHEREAS, the Contractor produces and operates professional sports competitions and
camps; and

WHEREAS, the City desires to make available such competitions and camps to its
citizens and visitors; and

WHEREAS, the Contractor requires sports fields and faciiities in order to produce and
operate its competitions and camps; and

WHEREAS, the City owns, operates or contracts for fields known as the Howelsen Hill
Park, Ski Town Park the Steamboat Springs Middle School Baseball/Softbal! Field and Dry
Creek Park Fields in Hayden

WHEREAS, the term of the Sports Field and Facilities License Agreement is defined by
a schedule of sporting events attached to the Agreement and titled "Triple Crown Events
Schedule", which provides for events from June 2011 through August 2015, renewing
automatically after 2015 for an additional five year term.

NOW THEREFORE, in consideration of the mutual covenants and agreements


contained herein, the parties agree as follows:

A. LICENSE AND LICENSED PREMISES

1. The City hereby grants to the Contractor a license and right to use the Licensed
Premises (as defined befow) for the purpose of producing and staging competitions and camps
on the dates described in the attached Triple Crown Events Schedule.

(a) The Romick Arena and Howelsen Hi!! Lodge facilities are avaiiabie
through a separate Use Agreement. These facilities may be reserved
based on a schedule from the Contractor. If weather conditions require
the use of Howeisen Hili Lodge by the Contractor it will be made
available to the Contractor on Tuesdays during the Triple Crown Youth
Championships and on Television production days if reserved in
advance and available at that time.

(b) The topic of additional fields (including a new ball field complex) and
times wil! be revisited in September in each year of the term of this
Agreement for the upcoming year.

2. The "Licensed Premises" shall include all fields and faciiities at Howelsen Hill
Park, Ski Town Park, Steamboat Springs Middle School BasebaII/Softball Field, Dry Creek Park
in Hayden and new fields as developed and designated by the City for use by the Contractor
within the exterior perimeter fence surrounding the fields as well as parking areas and rest
room facilities in the vicinity of the park located outside of such perimeter. Without limitation,
the Licensed Premises shall include the field, warm-up area, bleachers, dugouts, rest rooms,
lighting and scoreboard facilities.

3. Except as otherwise provided below, the City shall make the Licensed Premises
available to the Contractor at the following times:

The Contractor will schedule al! games to start no earlier than 7:00 a.m. on ail
assigned fidds at Howelsen Park and no earlier than 7:30 a.m. on ail assigned
fields at Ski Town Park. The Contractor will schedule games to conclude by
4:00 p.m. on every Monday, Tuesday, Wednesday and Thursday at Howelsen
Park and 11:00 p.m. at Ski Town Park. Games scheduled by the Contractor on
Friday, Saturday and Sunday will be scheduled to conclude by 11:00 p.m. Start
and end times for alt other fields wili be determined by the parties on an annual
basis.

Notwithstanding the foregoing:

(a) During the period from June 4 through August in each year of the term of
this Agreement, the Contractor shall be entitled to use the turf area located beside the
Ninth Inning Concession Stand to keep competition board, tents and trailers used in the
competitions and camps, 24 hours a day, 7 days a week;

(b) Signs, as approved by the City, for the Contractor's sponsors may be
kept in place only while camps and competitions are under way.

(c) The City may assign exclusive rights to sponsorship signage on the
infield fences at How^lsen Hill Community Park. Signage can remain in place from
June 4 until September 21 and will be maintained by the City.

4. The term of this agreement shal! commence on June 1, 2011 and continue until
August 31, 2015. The term shai! automaticaily renew for an additional five year term
commencing on June 1, 2016 and continuing until August 31, 2020. The parties shall
negotiate a schedule for the second five year term that conforms to the general
guidelines set forth in the attached Triple Crown Events Schedule.

B. CITY OBLIGATIONS

1. The City will keep and maintain the Licensed Premises in a condition suitable for
the competitions and camps produced by the Contractor. The facilities and utilities to be
provided by the City shall include electric service, lighting, scoreboards, public rest rooms, port-
o-Iets, water, fences, gates, dugouts, bleachers, warm-up areas and parking areas.

2. The City shall collect and remove trash and refuse from trash receptacles within
the Licensed Premises after each competition and camp, or as needed. A trash receptade will
be placed in close proximity to the dugouts, but it is the responsibility of the Contractor to
remove trash from the dugouts to the trash receptade after each use except at end of each
day.

3. Prior to and during each competition, the City shall prepare the surface of the
infield in accordance with the agreed-upon requirements and specifications which include:
watering, dragging, chalking lines, placing bases and pitching mounds, as time allows.
4. The City shall, not enter into any concession or sponsorship arrangement
covering the Licensed Premises that confiJct with the Contractor's sponsorship obligations.

5. The City shaii pay a base, annual sponsorship fee to Tripie Crown in the amount
of $65,000. This fee shall be paid after the completion of the schedule as set forth in the "Triple
Crown Events Schedule", and only if Triple Crown has completed all of its obligations under the
Agreement. The following Performance Thresholds will apply:

(a) If the Triple Crown Youth Championships team numbers reach 180 teams in
Steamboat/Yampa Valley, the annual sponsorship fee increases to $70,000

(b) If the Triple Crown Youth Championships team numbers reach 200 teams in
Steamboat/Yampa Valley, the annual sponsorship fee increases to $75,000

(c) If the Triple Crown Youth Championships team numbers reach 220 or more
teams in SteamboaVYampa Valley, the annual sponsorship fee increases to
$80,000

(d) Team numbers will be reported by Triple Crown's tournament director and
verified by the Parks. Open Space and Recreational Services Director or
designee

(e) The parties acknowledge that this sponsorship fee shall be in addition to the
obligation of the City to fund at least $75,000 per year towards field
improvements or field development as set forth in section B.6 of the
Agreement

6. The City will fund $75,000 per year towards field improvements or field
development over the course of the contract with input from the Contractor.

C. CONTRACTOR OBLIGATIONS

1. The Contractor will fund a minimum of $15,000 per year toward improvements or
field development and may fund more per year based on a review of the projects being planned
by the City over the course of the contract.

2. The Contractor will designate Steamboat Springs as the host City. The
Contractor reserves the right to use recreational facilities outside Steamboat Springs should
City facilities be booked to capacity. The Contractor agrees to contact the City Parks, Open
Space and Recreational Services Director prior to arranging any portion of the event outside of
Steamboat Springs.

3. The Contractor is authorized to include in competitions and camps the following


events: Adult Softbail, Youth Baseball, Girls Fast Pitch Softbai! and Voileybalf. Other
competitions, camps and events shall not be included without the prior consent of the City. The
Contractor will provide as early as it is available the proposed annual schedule and a weekly
tournament schedule to the City.

4. The Contractor shall not be required to pay the City any fee or other
compensation for use of the Licensed Premises pursuant to this Agreement.
5. The Contractor shall prominently feature the City's support of these competitions
and camps in al! promotional materials disseminated by the Contractor in connection with the
competitions and camps which are the subject matter of this Agreement.

6. At the City's request, the Contractor wiii provide the City with the names and
addresses of all personnel associated with the operation and production of competitions and
camps, along with al! organizational charts. The Contractor shall be responsible for the
behavior, demeanor and appearance of its participants and other personnel associated with the
operation and production of said competitions and camps and, when appropriate, shall require
personnel to wear uniforms.

7. With respect to ail participants and other personnel associated with the operation
and production of Contractor competitions and camps, the Contractor shall not discriminate
against any employee or applicant for employment because of race, color, religion, sex or
national origin. The Contractor shali adhere to acceptable affirmative action guidelines in
selecting employees and shali ensure that employees are treated during employment without
regard to their race, color, religion, sex or national origin. Such action shail include, but not be
limited to, the following: employment, upgrading, demotion or transfer, recruitment or
recruitment advertising; layoff or termination, rates of pay or other forms of compensation; and
selection for training, including apprenticeship. The Contractor will keep records and reports
concerning the racial and ethnic origin of applicants for employment and empioyees as-county,
state and federal agencies may require. Finally, the Contractor shall, with respect to the overall
operation of the competitions and camps, adhere to all applicable city, county, state and federal
laws.

8. The Contractor shall hold harmless, indemnify and defend the City, its officers,
employees and agents against any lawsuits for damages, daims, losses and/or damages
arising from or allegedly arising from or related to the production and operation of the
competitions and camps as described above, including maintenance of same. To this end, the
Contractor shall procure and maintain the following insurance policies including the City as an
additional named insured:

(a) A comprehensive general liability insurance policy causing death,


personal injury, or damage to property of competition and/or camp participants and
spectators and contractor employees with limits of not less than $1,000,000 each
occurrence, combined single limit bodily injury and broad form property damage,
including contractual iiabiiity, persona! injury, products and completed operations
coverage.

(b) . A workers' compensation insurance policy with employer's liability limit


not less than that mandated by the Colorado statutes.

A!! policies shali be endorsed to provide thirty (30) days' advance written notice to the
City of cancellation, nonrenewable or reduction in coverage, delivered to the Director of Internal
Services of the City, and the Director of Internal Services shail be provided with certificates of
insurance evidencing all of the coverages and endorsements and same shall be delivered to
the Director of internal Services prior to the commencement of performances under this
Agreement, in addition, a certificate of insurance evidencing policies applicable to ail
Contractor employees, participants, crew and officials shall be tendered to the City's Director of
internal Services prior to the commencement of competitions and camps under this Agreement.

9. The Contractor shall obtain properly executed release forms from all employees,
crew and officials.
10. The Contractor shall be responsible for acquiring any and ail parking, security
and emergency services, as necessary and appropriate for the production and management of
safe and effective competitions and camps. The Contractor shal! be responsibie for any
compensation of any kind whatsoever payable for such parking, security and/or emergency
services. Neither the Contractor nor any of its employees, crew, participants, officials and/or
acquired parking, security and emergency personnel or any other individuals or entities
providing parking, security, emergency or other sen/ices shaii be entitled to any of the rights,
privileges or benefits of City employees, nor shaii any such individuals or entities be
characterized as City employees pursuant to this Agreement.

11. The Contractor agrees to keep and maintain for a period of two years following
termination of this Agreement records of all revenues and expenditures related to its operations
at the Licensed Premises. The City may inspect, examine, and audit the Contractor's records,
books, accounts, and any other documents relating to the Contractor's operations at the
Licensed Premises. The City may request such audit at any times and for any reason during
the period from the effective date of this Agreement unti! two years after the termination of this
Agreement. The Contractor shall tender an accounting corroborated with copies of ail such
records to the City within twenty (20) days of the date of the last performance produced and
operated pursuant to this Agreement.

12. The Contractor shall not assign this Agreement unless the City has in writing
consented to such assignment.

13. Contractor's competitions and camps shall be conducted in accordance with


prevailing standards of practice normally exercised in the performance of professional services
of a similar nature by nationa! standards.

14. The Contractor agrees to continuously address on-going "social problems" with
its participants. The Contractor will have a staff person assigned for each event and a direct
24-hour phone contact to .respond to any such problems.

15. The Contractor will have all rights to soft goods, photography sales, or
merchandise sales on the fields and facilities during the duration of these events. Triple Crown
Sports, Inc. wii! pay City sales tax on these sales.

16. The Contractor shall be responsible for any and ail property damage done by
participants to City property normal wear and tear excepted. Triple Crown Sports, Inc. shall be
allowed to recoup any expenses that if may incur through its participants.

17. The Contractor may disqualify teams abusing lodging or causing disturbances
(night or day) at their discretion. Any team having a member who becomes the subject of a
written complaint of harassment or public nuisance to the Public Safety Department will be
automatically disqualified and will forfeit all fees prepaid and leave Steamboat Springs.

18. The Contractor shal! provide necessary staff to assist with crowd and traffic
control during Triple Crown Youth Championships Opening Ceremonies at the Rodeo Grounds.

D. INDEPENDENT CONTRACTOR

The Contractor is an indet^endent contractor, is not entitled to workers' compensation benefits


and is obligated to_pav federal and statejncome tax on any monies earned pursuant to this
contractuai reiationship.
E. TERMINATION

Either party may terminate this contract upon a breach by the other party of any of the party's
obligations hereunder. The party in breach shall be entitled to notice of the breach and an
opportunity to cure. The terminating party shati notify the party in breach in writing of the
terminating party's intention to terminate and shali identify the provisions, which have been
breached. The party in breach shall, within three (3) business days of the notice, cure the
breach or, in the case of the breach of a provision which cannot be cured within three (3)
business days, shall commence curing the breach within three (3) business days and complete
the cure within a reasonable time thereafter. Failure of the party in breach to cure as provided
herein shall entitle the terminating party to terminate the contract without further notice or
opportunity to cure. Neither party shall be (iabie for any damage suffered by the other party by
reason of exercise of the party's termination rights under this Section.

F. NON - APPROPRIATION

The parties do not intend to create a multiple-fiscal year, direct or indirect, debt or other
financial obiigation of the City as defined in Article X, Section 20 of the Colorado Constitution.
Therefore, the parties acknowledge that all financial obligations of the City under this
agreement including, without limitation, the $75,000 per year towards improvements or field
development, are subject to the annual appropriation by the City Council, pursuant to the
annual budget process, of funds sufficient to meet such obligations. If the annual budgetary
appropriation is not made, Contractor shall have the option of terminating this agreement, as of
the last date for which funds have been appropriated, without further payment or penalty on the
part of the City.

G. ENTIRE AGREEMENT

It is understood and agreed that the entire agreement of the parties is contained herein and that
this Agreement supersedes ali oral agreements and negotiations between the parties relating to
the subject matter hereof as well as any previous agreements presently in effect between the
parties relating to the subject matter hereof. Any afterations, amendments, deletions or waiver
of the provisions of this Agreement shall be valid only when expressed in writing and duly
signed by the parties.

H. NOTICE

Notice to the parties herein shall be sufficient if mailed to the foilowing addresses:

Re: Triple Crown Field Request
January 17, 2019

Triple Crown Sports is requesting limited use of the fields at Emerald Park for youth baseball during
the World Series events. The request is not meant to overlap events already in place but to use the
fields when they are available. Triple Crown will create a parking plan to minimize parking spaces
used.

Triple Crown has provided consistent visitation benefitting Steamboat Springs businesses and
increasing City of Steamboat Springs sales tax collections for decades.

Other youth sports tournaments use Emerald Park. Triple Crown should also have that opportunity
now that the access point to the park has been relocated.
