CONTRACT OF DUMP TRUCKS

Terms and Conditions Agreement between the First Party and Second Party is made on the
day of 04.10.2018

Between

The First Party: Contractor : ATJ International Co. W.L.L.

And

The Second Party : Supplier :

Whereas, now, therefore, in consideration of mutual promises herein contained. Te first party
and second party hereby agree as follows:

1.The first party has been awarded a contract and the Second Party has expressed its desire
to supply the 25 Dump Trucks capable of transporting 32 Cubic meters each, single sponsor,
with drivers and major maintenance. The truck will be used in Abdally or Mutla ia area
inside KOC site. The dump trucks are used on a monthly rental basis, and second party shall
supply any additional trucks as needed to fulfill the monthly requirement of the First Party.
2. The Second Party shall supply 25 dump trucks of 32 cubic meter each for the First
Party’s project for 8 hours/shift, plus 1 hrs break. Friday considered as an off day. It means
26 days of work monthly.

3. The contract period is for 12 months and subject to extension by mutual consent by both
parties.

5. The first party providing diesel for trucks, maintenance, drivers food, accommodation and
transportation

6. The payment will be done by the first party in first week of every month.

7. In case cancellation of contract as above clause, both parties shall negotiate to alternate
projects under mutual consent.

8. In case of major damage to any Vehicle on site or in case of any faults the Second Party
shall replace the Vehicle without any delay.

9. Maintenance:

The fuel will be provided by the first party, puncture will be by the first party. The major
maintenance of the dump trucks will be from the second party. Second Party is fully
responsible for the Service maintenance (major) Replacement of damaged tyres, gear engine
break down, Accident or any other Traffic Violations. Including in case of any break down.
Etc.

Second Party provide a maintenance team to insure all trucks are maintained with schedule
maintenance and inform the main contractor

10.The second party must deliver the trucks within three days after signing date of contract.
If the second party fails to deliver the dump trucks as per the agreed terms and conditions
above mentioned, first Party has the right to cancel the contract without the consent from the
second Party.

11.The Second Party has no right to deal with any other party by selling or leasing after
signing the contract for the particular project.

12.The Second Party is not responsible for obtaining gate passes if any.

13. On public holidays it is committed to the firs party to pay double the amount in the case
of normal work, and pay the normal value in the case of non work.

Insurance:
The Second Party shall provide the Full Insurance for drivers and trucks under mutual
consent after receiving the trucks.

15.This Agreement is certified in two Original Copies, each of the Two Parties is provided
with one Original Copy.

16.The law of governance for this contract is Kuwait Law. Any dispute is subject to
jurisdiction of Kuwait and the Kuwait Court will act as arbitration.
