WARRANTY AGREEMENT

This agreement is made and entered into force by and between the two following Parties:

WHEREAS, DECORAL SYSTEM SRL (hereafter “the Supplier”) has developed, manufactures and sells
equipments for decoration type heat-transfer (sublimation) and raw materials thereof;

The Supplier is QUALITRANSFER Certified supplier of powder and transfer film, used for the decoration of
aluminium products.

The Supplier promotes QUALIDECO Licensed products.

WHEREAS ARCHITECTURAL & METAL SYSTEMS LTD. (hereafter “the Client”) owns Decoral equipment
and purchases on an exclusive base raw materials manufactured by the Supplier.

The Client is a QUALICOAT licensed powder coater.

In consideration of premises and mutual covenant herein set forth, the parties hereto agree as follows the
terms and condition of Warranty granted by the Supplier on aluminium finished products which are coated
and decorated by the Client by means of technology, know-how and raw materials manufactured exclusively
by the Supplier.

1. Definitions.

“Product” / “Products” means any aluminium extrusion or laminate for architectural use (e.g. windows, doors,
conservatories, etc.).

“Finishing” means the combined process of powder coating and decorating (by heat-transfer technology)
aluminium products with Raw materials.

“Finished” means having been subject to Finishing.

“Finish” / “Finishes” is the effect/effects obtained by finishing a product with a particular combination of raw
materials.

WARRANTY AGREEMENT 1
“Raw Materials” means transfer film for heat-transfer process and Polyurethan Powders series 700
manufactured exclusively by the Supplier.

2. Conditions. The Warranty is valid exclusively for Products Finished with the following Raw materials:

a) polyurethan powder series 700, QUALICOAT license nr. P-0617 for the Finishes specified in
ANNEX A;

b) transfer film for heat-transfer process for the Finishes specified in ANNEX A.

Any combination of Raw Materials which is not included in ANNEX A will not be covered by this Warranty.

The Supplier has the exclusive faculty to modify the content of ANNEX A, giving immediate notice to the
Client.

3. Raw Materials Specifications. The Client will observe the recomendations included in Technical Data
Sheet of all the Raw Materials used for the Finishing process of aluminium products (see ANNEX B).
Transport of Raw materials has to be performed by means of fully covered truck, which prevents the Raw
materials to be damaged by weathering agents (rain, snow, heat, ecc.).

4. Requirements for Coating Plants. As a compulsory part of the Finishing process, the coating plant must
comply with standard and regulations set by QUALICOAT certification as per Technical Specifications April
2006 11th edition. Coating plant used by the Client must be QUALICOAT licensed.

5. Requirements for Decoration Plants. Plant or equipments for Decoration have to be strictly and
exclusively purchased from the Supplier. The Client shall also observe procedures detailed in Annex A2 of
QUALICOAT Technical Specifications, April 2006 11th edition.

6. Territory. Finished product will be deemed under Warranty if placed or installed in any European territory
set north of 41° parallel and far at least 100 metres from the last sea waves (including high tide) and at least
500 metres from chemical installations, or similar, which could emit corrosive gases. Products Finished by
the Client and used in the area above are covered by this Warranty, unless other conditions specified in the
following points do not prevent the validity itself.
The Supplier has the exclusive faculty to modify the extent of territory, giving immediate written notice to the
Client.

7. Stocking Requirements for Finished Products. It’s strictly mandatory that any Finished Product, after
being processed by the Client, is not exposed in any way to conditions which could create water stagnancy.
For the validity of this Warranty, any possible cause of water stagnancy inside the Finished Product has to
be removed in any phase of the process, from coating to final installation. The Supplier will not be held
responsible for damages arising from water stagnancy inside the Finished Products in any stocking phase,
during transport, during installation and in the place of installation.

8. Cleaning Procedures for Finished Products. Finished products must be kept clean according to
Cleaning Instructions included in ANNEX C (scheda Tecnica AITAL n°34/04).

9. Warranty. The Supplier warrants that Products Finished by the Client will be free from the following
defects for the period indicated per point 10:

 brigthness of the Finished Product parts has decreased to less then 50% of its standard intial value.
“Standard initial value” shall be considered the brightness value of the inner or covered part of the
installed Finished Product.

 color variation has reached the value 3 (three) of the grey scale (UNI EN ISO 105-A05).

10. Duration of the Warranty. The duration of the Warranty as per point 9 will be 10 (ten) years, since the
delivery of Raw Materials which Products are finished with, on the condition that polyurethan powders as per
point 2a shall be used not later than 6 months starting from the date of the delivery to Client’s premises and
stocked as recommended in the Technical Data Sheet.

The Supplier has the exclusive faculty to authorize an additional 6 months delay for the use of coating
powders, after proper inspection by a representative of the Supplier.

Document of transport shall show clearly Supplier production batch number of raw materials. For the validity
of any claim of Warranty coverage, the Client will clearly indicate the batch number of raw materials used
and the document of transport thereof.

11. Supplier Liability. In case of proven defective Finished Product as per point 9 the Supplier’s
Responsibility under this Warranty shall be limited and not exceed the total cost of raw materials necessary
for reworking the defectful products.

12. Exceptions. The Supplier will not be held liable:

1) For refinishing costs not exceeding € 200,00;


2) For any additonal claimed cost not clearly referrable to point 11, including loss of profit, income,
extra expenses, loss of opportunity, legal expenses, start-up costs, damage requests of third
parties;
3) For damages or defects arising for extraordinary natural causes (fire, pollution, disaster, ecc.);
4) If the claimed defectful product have been re-coated, re-finished, modified in anyway after their
first finishing;
5) If the defect arised from continous exposure of finished products to a temperature of more than
70°C;
6) If the defect arised from exposure to acid substances or other substances which could damage
any coating in polyurethan powder;
7) If the defect arised from prolonged exposure of the finished products to salt water, unless the
Supplier autorizhed it in written form;
8) If the defect arised from prolonged exposure of the finished products to very aggressive
environmental conditions (coastal, industrial, ecc.);
9) If cleaning procedures to maintain the products have not been respected as per point 8.
10) If defect arises from prolonged stocking of finished products in construction sites, where finished
products could be exposed to humidity, dust, oils, lubes, concrete dust, abrasive materials, etc.
11) If clearly demonstrated that defect arised from an uncorrect coating process or decorating
process.

13. Claim Procedure. If during the period of validity of the Warranty finished products show defects as per
point 9 the Client shall claim Supplier Liability in written form by 30 days since the day of discovery of the
defect/defects. The Client shall indicate number and type of defects found.

In case of installed products (e.g. doors frame, windows frame) the Client will acclude also detailed report of
cleaning operations and type of cleansing agent used, the procedures performed by GRM (or similar)
company or similar (see ANNEX C tech. Sheet AITAL 34/04).

Failure to comply with Claim Procedure will make the Supplier free from any possible Liability. The Supplier,
after Claim’s Receipt, will possibly send a representative for onsite inspection. The Client will ensure the
maximum cooperation in order to let the representative check any claimed defective product. Board, lodging
and travel expenses of Supplier’s Personnel are on behalf of the Client.

The Supplier of the Claim will give written notice, not later than 60 days since the date of receipt, to the
Client about the Validity of the Claim and will specify any possible procedure of refunding on the condition
specified per point 11.

60 days term above could be delayed in case of extra technical inspection / analysis (e.g. lab tests) to be
possibly performed.

14. Duration of the Agreement. The Duration of this Agreement is 2 (two) years. On explicit and written
request of the Client by 3 months before the expiry date of the present agreement, the Supplier will consider
to renew the present Warrant or issue a new Warranty by the expiry date of the present agreement.

15. Modification and Waivers. The Supplier has the exclusive faculty to modify point 2, 6 and ANNEX A.
Any other modification of the present Agreement must be written and signed by both parties.

16. Exclusivity. The Clients commits to purchase on an exclusive basis all the following Raw Materials from
the Supplier:

 Powders for Sublimation Process;


 Transfer Films for heat-transfer process;

The Clients furthermore commits to use and possibly purchase for the duration of this Agreeement on an
exclusive base:
 Future Plants and Equipments for the decoration by means of heat-transfer process ;
 Recommended Accessories for Plants and Equipments;

This clause is compliant with License Agreement signed by both parties date 09/02/04.

17. Third-Parties Transmission. This agreement can not be in any way transmitted to third parties.

18. Communication. Any communication regarding this Agreement shall be in wirtten form.

19. Right to cancel. The Supplier has the right to cancel the Agreement in case of failed compliance with
point 3, 4, 5, 7, 8, 16, 17. The Client has the right to cancel the Agreement in case of failed compliance with
point 13.

20. Language. This agreement is written in English language.

21. Settlement of disputes. The Parties agree that any disputes related to or stemming from this agreement
shall be entirely and exclusively regulated by the substantive and process laws of Italy. The Parties agree
that disputes pertinent to the interpretation, execution and validity of the present agreement, which cannot be
settled friendly, shall be submitted to the exclusive jurisdiction of the Court of Verona.

22. Acceptance. To accept this Agreement, the Client must sign and return it without any modifications to
the Supplier.
