CST END USER LICENSE AGREEMENT for the CST STUDIO SUITE ® STUDENT EDITION (“EULA”)

This EULA is made by and between CST – Computer Simulation Technology AG ("CST") and the student
("Student") who completes the installation process to install and use the “CST STUDIO SUITE ® Student Edition”
(“Software”) provided that the term “Software” also comprises any documentation and manuals delivered
together with or included in the Software. Student confirms that she / he (i) is a student who is enrolled at a
university or other academic institution for undergraduate or postgraduate studies or (ii) is a teaching
member of an academic institution to whom CST has allowed to use the Software under this EULA.
BY TICKING THE CHECK BOX “I accept the terms in the license agreement” AND CLICKING THE “NEXT BUTTON”,
STUDENT EXPRESSLY AGREES TO AND CONSENTS TO BE BOUND BY ALL OF THE TERMS OF THIS EULA. IF
STUDENT DOES NOT AGREE TO ALL OF THE TERMS OF THIS EULA OR IS NOT A STUDENT AS DEFINED ABOVE,
THE BUTTON INDICATING THE NON-ACCEPTANCE MUST BE SELECTED AND STUDENT MUST NOT INSTALL AND
USE ANY PART OF THE SOFTWARE.

1 Limited License Grant

1.1 CST is the owner of the usage and exploitation rights to the Software. In comparison to the full version
of the CST STUDIO SUITE®, the Software comprises a reduced set of functions (e.g. mesh limit affecting
accuracy).
1.2 All intellectual and industrial property rights to the Software, and in particular the comprehensive
copyright, together with all rights in the Software, documents and information provided as part of the
Software, shall remain with CST and its licensors. This legal status enjoyed by CST and its licensors shall
remain unchanged by the limited licenses granted to Student herein.
1.3 CST grants Student on loan the non-exclusive, non-transferable temporary right to make use of the
Software within the context of her / his university education (i.e. own academic learning and
educational research operations) in accordance with the provisions set forth herein. The right to install
and use the Software is limited to one single computer (PC or server) that is privately owned by Student
("Node Locked License"). The time limit, and therefore the permissible term of use, results from the
license file which must be generated on CST’s website and downloaded by Student. The term begins on
installation of the Software. On expiry of the license term, Student shall cease all use of the Software
and any accessories delivered with it, if any, and shall, without request by CST, delete all copies and
partial copies thereof. CST may require from Student a written confirmation that the deletion has been
carried out.
1.4 The Software is being provided to Student for her / his own academic educational and non-commercial
use only. ANY COMMERCIAL AND NON-EDUCATIONAL USE OF THE SOFTWARE AS WELL AS ANY USE BY A
PERSON NOT BEING A STUDENT OR A MEMBER OF AN ACADEMIC INSTITUITION WITH REGARDS TO HER
/ HIS TEACHING ACTIVITIES IS STRICTLY PROHIBITED. Student is not permitted to hire out, borrow or
assign the Software in whole or in part, in whatsoever form or for whatsoever purpose. The license
under this EULA is granted subject to the condition that the Software is operated by Student herself /
himself and not by any third party. Any installation or use of the software on any third party’s hardware
is not allowed.
1.5 Knowledge gained as a result of the use of the Software must not be used to develop software of its
own in the same field of application (i.e. electromagnetic simulation), nor be made available to third
parties for this purpose. In particular, the Software must not be modified, imitated, reverse engineered,
disassembled or decompiled; Section 69e of the German Copyright remains unaffected. Student must
not alter or modify the installer program or create a new installer for the Software. Additionally,
Student is not allowed to manipulate the Software in order to exploit it beyond the permitted scope of
use. Without CST’s prior written permission, Student must not use the Software to perform benchmark

 tests or issue benchmark results which compare the Software with other electromagnetic simulation
software products.
1.6 ANY MISUSE OF THE SOFTWARE OR INFRINGEMENT OF CST’S INTELLECTUAL PROPERTY RIGHTS MIGHT
BE SUBJECT TO PROSECUTION AND CLAIMS FOR INDEMNIFICATION ACCORDING TO STATUTORY LAW.

2 Research Results and Publications

2.1 Any research results achieved by Student using the Software must be made available to the public
immediately following their development.
2.2 In all publications of Student which refer, even just in part, to the Software or to results achieved using
the latter, the Software and CST must be suitably referenced.

3 No License Fee
As being a student edition, the right to use the Software as provided in section 1, is being granted to
Student on gratuitous loan and free of charge. CST is entitled to request evidence (e.g. copy of the
student’s identity card or certificate of enrollment) from Student that she / he is an enrolled
undergraduate or postgraduate student.
4 Limited Warranty
4.1 With regard to the Software, CST shall be liable to compensate Student for any damage arising from
any infringement of intellectual property rights and any defects provided that CST concealed
fraudulently the respective infringement or defect of the lent Software.
4.2 ALL OTHER WARRANTIES ARE EXPRESSLY EXCLUDED.

5 Limitation of Liability
5.1 CST is only responsible for intent and gross negligence.
5.2 UNDER NO CIRCUMSTANCES SHALL CST BE LIABLE TO STUDENT FOR ANY DAMAGES BEYOND CST´S
LIABILITY SET FORTH IN SECTION 5.1.

6 Term and Termination

6.1 This EULA commences when duly accepted by Student. It may be terminated by either party according
to the statutory provisions of a gratuitous loan agreement. Nevertheless, the EULA and the limited term
license granted herein cease automatically as soon as the license file for the copy of the Software
expires.
6.2 The foregoing shall not affect either party’s right to extraordinary termination for cause.

7 Confidentiality
Student agrees that the Software is confidential information of CST. Taking this into consideration,
Student shall protect CST’s confidential information including, but not limited to, the Software from
unauthorized dissemination and shall use with the same degree of care that she / he uses to protect
her / his own like information but, in no event, less than a reasonable degree of care. However, Student
must not use CST’s confidential information for purposes other than those necessary to directly further
the purposes of this EULA. In no case, Student may disclose to third parties CST’s confidential
information without CST’s prior written consent. The aforesaid confidentiality obligations survive the
termination or expiration of this EULA for an unlimited period.

8 Data Privacy
In the course of the installation process of the Software, CST collects and processes personally
identifiable information about Student (including Student’s name, email address, country and IP
address). Those personal data will solely be stored and used by CST in order to prevent or track misuse
of the Software. In each case, CST shall comply with the rules of the applicable statutory data protection
law.

9 Miscellaneous
9.1 This EULA may only be modified by a written amendment signed by both parties. The same shall apply
to any waiver of the written form requirement.

9.2 If any provisions of this EULA should be or become illegal, invalid or unenforceable under present or
future laws, the remaining provisions shall not be affected thereby. The illegal, invalid or unenforceable
provision shall be replaced by a valid provision that most closely reflects the economic intent of the
illegal, invalid or unenforceable provision. The aforesaid shall apply respectively in any cases of
omissions or regulatory gaps.
9.3 This EULA shall be governed and construed by the laws of the Federal Republic of Germany. The
application of the UN Convention on the International Sale of Goods and the conflict of laws provisions
under German law are hereby excluded.
