Instructions to Applicants (ITA)

1 Introduction

These Instructions to Applicants are detailing the requirements and format with which the Applicant has to
comply in order to submit a valid Pre-Qualification application for the future tender of “demolition works” in
Downstream Oil to be organized by OMV Petrom.

1.1. The tender process is split in two stages:

 Prequalification phase (PREQUAL) - Based on PREQUAL evaluation results, ITT will be further
applied
 Invitation to tender (ITT) for works and further awarding of frame contracts - Based on ITT
results, new frame contracts will be implemented

1.2. OMV Petrom, hereinafter referred to as “the Company”, may exclude any Pre-Qualification application
that is non-compliant with the Pre-Qualification package requirements.

1.3. The Company reserves the right to cancel entirely or partially the Pre-Qualification process.

1.4. The Applicant shall bear all costs associated with the preparation and submission of its Pre-Qualification
application, regardless of the conduct or outcome of the Pre-Qualification process. No costs incurred by
the Applicant in preparing and submitting the Pre-Qualification application are reimbursable, neither will
the Company be liable for damages in case of cancellation or recall of the Pre-Qualification process.

2 Pre-Qualification application documents

2.1. The requested documents/ information are described in the Pre-Qualification Package
 Invitation to Pre-Qualification – Cover Letter
 Instructions to Applicants
 Prequalification Questionnaire
 HSSE Questionnaire

2.2. The Applicant is expected to examine all instructions, forms, terms and specifications in the Pre-
Qualification Package.
2.3. Submission of a Pre-Qualification application not substantially compliant with the Pre-Qualification
Package requirements will be at the Applicant's risk and may result in the rejection of its Pre-Qualification
application.

2.4. Within five (5) days from receipt of the Invitation to Pre-Qualification, Applicants shall confirm
intention to submit a Pre-Qualification application, by e-mail, to the following address:

3 Amendment of Bidding Documents

3.1. At any time prior to the deadline for submission of the Pre-Qualification applications, the Company,
for any reason, whether as its own initiative or in response to a clarification requested by a prospective
Applicant, may modify the Pre-Qualification Package by way of issuing a Notification to all Applicants.

3.2. Any Notification issued shall be part of the Pre-Qualification Package and shall be communicated in
writing via e-mail to all Applicants

3.3. In order to afford prospective Applicants reasonable time in which to take any Notification into
account in preparing their Pre-Qualification application, the Company, at its sole discretion, may extend the
deadline for the submission of Pre-Qualification applications.

4 Preparation of Pre-Qualification application

4.1. The Pre-Qualification application as well as all related correspondence and documents shall be
written in Romanian and/or English language. Supporting documents that are part of the Pre-Qualification
application may be in another language, provided they are accompanied by an accurate translation in
Romanian language in which case, for purposes of interpretation of the Pre-Qualification application, such
translation shall govern.

4.2. All documents shall be prepared using the relevant forms furnished by the Company. The forms
must be completed without any alterations to the text and no substitutes shall be accepted.

4.3. The original of the Pre-Qualification application shall be typed and will be signed by the Applicant or
a person duly authorized to bind the Applicant. All pages of the Pre-Qualification application shall be
initialized by the person or persons signing the Pre-Qualification application on the lower right hand corner of
each page.

4.4. The Pre-Qualification application shall be signed by a person duly authorized to sign on behalf of the
Applicant. Authorization to represent the Applicant shall be proven by submitting a relevant excerpt from the
articles of incorporation of the Applicant company and, if the case, a copy of the power of attorney issued in
favour of the signatory. Company reserves the right to request any additional documents/ information
regarding the signatory’s power to represent the Applicant, as it deems appropriate in its sole discretion. The
name and position held by each person signing the authorization must be typed or printed below the
signature.

4.5. The Pre-Qualification application shall contain no insertion, erasure or overwriting.

4.6. Applicant shall sign the Pre-Qualification application in the exact name of the trading entity or entities
with whom a contract would be made after the tender procedure will be finalized. If the trading entity is a
corporation, Applicant shall specify the country in which incorporated. If the trading entity is a partnership or
consortium, the name and address of each partner or consortium member shall be provided. If the trading
entity is an individual, the registered business address shall be specified.

4.7. Minimum requirements for submitting Pre-Qualification application:

Applicant shall provide Pre-Qualification Questionnaire – fill-in demanded key-information including all

 Applicant shall provide financial information as per Prequalification Questionnaire Demolition

 Applicat must clearly indicate which specific works/activities (demolition and/or mechanical
activities) they are willing, capable, and judge themselves experienced and competent to
provide to OMV Group as per Prequalification Questionnaire Demolition Works
 Applicant shall present relevant experience for similar projects, as per Prequalification
Questionnaire Demolition Works;
 Applicant shall present information regarding the number and qualification and relevant
experience of employed personnel, as per Prequalification Questionnaire Demolition Works;
The winning bidder will receive at the same time up to 4 demolition works.
 Applicant shall present a list of available equipment as per Prequalification Questionnaire
Demolition Works; The winning bidder will receive at the same time up to 4 demolition
works.
 Applicant shall provide HSSE questionnaire – fill-in demanded key-information including all
attachments
 Applicant shall provide information about subcontractors, as requested through Pre-
Qualification Questionaire
 Applicant shall provide declaration for acceptance of OMV Petrom Code of Conduct or shall
provide its own Code of Conduct

5 Submission of Pre-Qualification application

5.1. All documents related to Pre-Qualification application shall be sent by curier until the
deadline for submission indicated in the Pre-Qualification process time-schedule (art.1.6) to the
following address:

5.2. The envelope with the original hard copy of the Pre-Qualification application shall contain also a CD
with Pre-Qualification application and the shall be marked with:
 Confidential/ Deliver Unopened
 Applicant’s full name and address
 Reference PREQUAL - RFX0001798
 Not to be opened before 12.04.2019, at 11:00

5.3. OMV Petrom assumes no responsibility for the misplacement or premature opening of the bid, in case
envelopes are not sealed and marked as required.

5.5. In the event of any discrepancy between the original hard-copy of the Pre-Qualification application
and the copy submitted by CD, the original hard-copy shall prevail.

6 Pre-Qualification applications examination

8.1. The Company will examine the Pre-Qualification applications whether they are complete.

8.2. Prior to the detailed evaluation, the Company will determine the substantial responsiveness of each
Pre-Qualification application to the requirements. A Pre-Qualification application determined as being not
substantially responsive will be rejected by the Company and the Company may not subsequently be made
responsive by the Applicant.

8.3. The Company may waive any minor informality or non-conformity or irregularity in a Pre-Qualification
application which does not constitute a material deviation, provided such waiver does not prejudice or affect
the process.

7 Evaluation

9.1. Applicants that will pass the Pre-Qualification evaluation will be invited to submit offer (ITT) in the
future tender procedure for the Acquisition of “demolition works” in Downstream.

9.2. Applicants who have submitted a Pre-Qualification application, but have not passed the Pre-
Qualification evaluation will not be considered for being invited for the future tender procedure.

9.3. The Company reserves the right to accept or reject any Pre-Qualification application, and to cancel
the Pre-Qualification process and reject all Pre-Qualification applications at any time prior to the date for
communication of the Pre-Qualification process results, without thereby incurring any liability to the affected
Applicants or any obligation to inform the affected Applicants of the grounds for the Company’s action.

8 Comunication of results of the Pre-Qualification process

10.1. The Company will notify, in writing, all the Applicants regarding the result of their application.
