This Deed of Assignment of Shares is entered into this ____ day of ________ at

“Corporation”), a corporation duly organized and existing under the laws of the Republic of the
Philippines;

WHEREAS, the ASSIGNOR is the exclusive registered owner of the ______________________ shares of
common stock of the Corporation (hereinafter referred to as the “Shares”);

WHEREAS , the ASSIGNOR desire to assign, transfer and convey all its right, titles, and interest in and to
the Shares, including all its dividend and subscription rights, whether accrued, accruing, or which may
accrue to the Shares, in favor of the ASSIGNEE, and the ASSIGNEE accepts the assignment;

NOW, THEREFORE, for and in consideration of the foregoing premises and the payment of the sum of

including all its dividend and subscription rights, whether accrued, accruing, or which may accrue to the
