 Datasite1, our new platform, has been built from scratch, after consulting many of our users and asking

Login page

 As you can see on the right-hand side of the page, we have a dedicated project management team, in your
case based in London. Whereas other providers use a so called ‘follow the sun’ method, your team in
London will be online 24/7/365, so when you call in they know exactly what project you are working on, to
help you with any question you might have. They will further assist you with setting up your project for
you, and can do so within an hour. Also, we do not charge extra for weekend support, like some of our
competitors do.

 In addition to this, all our employees are ISO 27001 certified, our servers are based in Frankfurt, so within
the EU (for your legal protection) and we do never outsource any of our key security components.

 The site is browser agnostics and everyone will have his/her unique login details

Dashboard/Entering the datasite

 Here you can see all the projects you are working on. (if asked, projects on V6 can be accessed via Access
Datasite projects here).

 When you click into one of the projects, we can start building the datasite. Admins will see all the tabs
above, users will only see Documents and the Q&A forum.

 Documents tab: One centralized location to upload and view content

 Q&A Forum: Tool to assist with the Q&A process that occurs on many M&A deals. This is a very labour
intensive process for our clients and this helps to speed this up and make it easier for everyone involved.

 Permissions Tab: Here you can manage security settings for all your end users.

 Users Tab: here you can invite users.

 Analytics: pulls business intelligence around the activity on your datasite, even on a per page level.

 Settings: here you can set email alerts, watermarks and change the disclaimer.

1. Upload content: Explain the drag and drop option, that it will retain the folder index, minimize, point out how
fast it is. Documents can be viewed in native format, secure PDF with watermark, and all documents will be fully
searchable by using OCR. Search is unique within the VDR industry. Search results will highlight the exact page
where your keyword or key phrase shows up, saving you time looking for it manually.

2. Permissions: Explain how you can set up roles, set permissions for these roles and how to duplicate them.
Explain the 5 types of access settings and how to set security up to the document level (unique to DS1, other
platforms require you to create separate folders). Point out that our project management team can help set up
roles and permissions, saving you time.

3. Invite users: You can choose role and language for several email addresses at once.

4. Show search, how it will highlight key words, even in scanned documents (OCR). Also, show an Excel file and how
secure it is (no copy option, watermark and no formula bar).

5. Show reporting: Top 10 searches, login activity per role, you can see stats per role, show granularity of per page.
Point out that we are working on this constantly to make it even better.

Closing the project:

When you close a project with us, we will provide a complimentary, 128 bit encrypted USB stick with the following
data:

- A bulk download of all the information on your site

- A list of all the analytics and reports you ran, showing exactly who looked at what document, when and for
how long, even on a per page level (cheapest insurance policy)

- A complete breakdown of all the activity in Q&A
