Call to Order: Salt Lake County Republican Party Chair, Scott Miller, called the meeting to order at 7:10 pm.

Officers present: Scott Miller, Chair; Jennifer Jensen, Vice Chair; Carolyn Sharp, Secretary; Roy Harris, CPA,
Treasurer

Pledge: Annie Janke, Senate District 4 Chair

Adopt the Agenda: Scott Miller adjusted agenda to move Bylaws Committee report to take place before the Bylaw
Amendments. Approved as corrected.
Adopt the Minutes: Approved as presented.

Final Credentials Report: 227 credentialed members.

Our votes count in so many ways. Working together allows us to help in big ways. Thanked members for showing
up and staying involved.

Working on getting logistics back in order. New website is up and running. Has reached out to other county GOP
Chairs’s to coordinate messaging. Raising close to $500 per month through the E-Club. Has been meeting with
Legislatures and sharing the Party’s vision with them. [Jim Kerr gave presentation regarding the new website] Scott
presented Jim Kerr with the Elephant Club award for all of his work. Official county Party emails have been marked
as spam; working to remedy this issue. Asked members to join us at the Lincoln Day Dinner. Working on social
media development, media relations, survey development, candidate recruitment, volunteer recruitment/training,
voter analytics, fundraising, op-ed services, and community outreach. Will be planning on running for office again.

Committee Reports:

Bylaws Committee: Helen Redd, Chair -


Gave an overview of proposed bylaws to be voted on.

Proposed Amendment #1: deleting the former Standing Rule 1, and creating rules for the election and
replacement of County Representatives to the State Central Committee. Lyle Decker moved to adopt proposed
bylaw amendment. Charles Hastings WVC071 made a motion to remove the final sentence in section 10, B,
paragraph 2. Motion failed. Bylaw amendment passed as presented.

Proposed Amendment #2: Bylaw Custodians. Helen Redd moved to adopt proposed bylaw amendment. Bylaw
amendment passed.

Proposed Amendment #3: Central Committee Powers. Fred Cox moved to adopt proposed bylaw amendment.
Charles Hastings WVC071 made a motion to reinsert the wording in B,4, “presented by the Treasurer ” later
amended by Charles Hastings to read “presented by the Treasurer or his or her representative.” Motion to amend
fails. Bylaw amendment passed.

Jared Cahoon, Senate District 12 Chair, made a motion to use electronic voting as the primary method of voting at
the 2019 Organizing Convention, with paper voting to be a backup method. Motion passed.

Auxiliary Reports:

Young Republicans: Reed Taylor, Chair -


Strong supporter of the E-Club (sustaining donor). Young Republicans will be serving breakfast and lunch at the
upcoming Organizing Convention. Looking to become further involved in community events. Shoveled several
driveways for community members during last snowstorm. Encouraged more respectful dialogue with people across
the aisle.

Art. V, 2 Bylaws Committee, F

F. The committee shall be the custodian of the official Bylaws of the party. As
custodian it shall:
1. Maintain a current, true and accurate copy of the Bylaws, and ensure
the accuracy of the Bylaws on the party web site;
2. Ensure that the official Central Committee minutes accurately report
any actions taken on the Bylaws;
3. Provide the party secretary with a current, true and accurate copy of
any changes to the Bylaws approved by the Central Committee, to be
made to the official party web site.

C. Maintain the copy of the Bylaws on the party website and update
changes taken by the Central Committee according to the current, true
and accurate copy provided by the Bylaws Committee;

ARTICLE V
COMMITTEES AND STATE CENTRAL COMMITTEE REPRESENTATIVES

Section 10. State Central Committee Representatives

A. County Representatives to the State Central Committee (hereafter, SCC) are


not a committee of the County Party, but are representatives of the County to
the State Party. Their election, removal and replacement is according to
County Party Bylaws, but their powers and duties are governed by State Party
rules.
B. Election
1. The number of representatives to be elected shall be set by the State
Party.
2. The party chair and vice chair upon election are automatically members
of the SCC by state rules. If they are also running for election to the SCC
their names shall be dropped from the ballot since they are already
members of the SCC. If convention processes prevent delegates from
knowing the results of the chair and vice chair races before the SCC
balloting, any votes cast for the elected chair and vice chair shall be
treated as spoiled votes and not be counted;
3. All other representatives to the SCC shall be elected according to the
Bylaws at the County Organizing Convention, or as provided hereafter;
4. Ties shall be decided by coin toss according to party rules, with the
winner receiving the position in question and the loser receiving the next
place in line;
5. A list of all candidates and their respective order of election based on
results, highest to lowest, shall be made and maintained by the Party
Secretary;
C. Vacancies shall be filled as follows:
1. The vacated seat shall be offered to the next eligible candidate from the
list of SCC election results of the most recent organizing convention, and
so on until the seat is filled;
2. If no candidates remain on the list from the most recent organizing
convention, the County Central Committee shall, upon proper notice of a
regular or special meeting, fill the vacancy by majority election, and a
new list be created from those also running for the SCC seat according to
the above rules;
3. Any county representative to the SCC who receives an automatic seat on
the SCC as a result of election to a state office, after they have been
elected to the SCC, shall create a vacancy which the county shall fill;
however, should they cease to hold that office prior to the end of their
original term of office, they shall be placed on the list as the next
eligible candidate;

4. A representative who resigns from the SCC, is removed for cause by the
SCC, or removed by the county party according to Art. 4 of the Bylaws,
shall no longer be eligible to serve on the SCC during that term.
