collectively make up the "RedCarpet.app End User License Agreement" that
governs a user's access to and use of RedCarpet.app's services.

Terms of Service
Welcome to RedCarpet.app!
Intro
We have drafted these Terms of Service (which we call the “Terms”) so you’ll
know the rules that govern our relationship with you.
Our relationship with you includes:
(i) all your interactions with us,
(ii) your access to and use of our services, including our various
websites, SMS, APIs, email notifications, applications, buttons, widgets,
ads, commerce services, and our other covered services that link to
these Terms (collectively, the “Services”), and

RedCarpet.app® End User License Agreement (EULA)

(iii) any information, text, links, images, graphics, photos, audio, videos,
or other materials or arrangements of materials uploaded,
downloaded or appearing on the Services (collectively referred to as
“Content”).
Although we have tried our best to use clear and plain language and strip the
legalese from the Terms, there are places where these Terms may still read like a
traditional contract. There’s a good reason for that: These Terms do indeed form a
legally binding contract between you and RedCarpet.app.
“RedCarpet.app” means (i) RCAPPS Limited, a company incorporated under

the laws of Cyprus, with offices at Markou Botsari 3, 2nd & 3rd floors, 3040 Limassol,
Cyprus if Customer has a billing address in the EU or Turkey and has chosen
"non-business" as the tax status/setting for its RedCarpet.app account, and (ii)
RedCarpet.app LLC, a company incorporated under the laws of Delaware, United
States, with the address 88 S 3rd St. Ste 330, San Jose, CA 95113 an authorized
reseller in the United States of the services for the Customers with a billing address
in the rest of the world.
By using RedCarpet.app or any of our other products or services that link to
these Terms (we refer to these simply as the “Services”), you agree to be bound by
these Terms. Of course, if you don’t agree with them, then don’t use the Services.
So please read them carefully!

Who may use our services

We want our Service to be as open and inclusive as possible, but we also want
it to be safe, secure, and in accordance with the law. So, we need you to commit to a
few restrictions in order to be part of the community.
● By using the Services, you state that you can form a binding contract with
RedCarpet.app;
● You must be at least 13 years old. Consequently, no one under 13 is allowed to

create an account or use the Services. We may offer additional Services with
additional terms that may require you to be even older to use them. For
example, You must be at least 18 years old to purchase RCC. So please read
all terms carefully;
● You must not be prohibited from receiving any aspect of our Service under
applicable laws or engaging in payments related Services if you are on an
applicable denied party listing;
● You must not be a person who is barred from receiving the Services under the

laws of the United States, European Union, or any other applicable
jurisdiction—meaning that you do not appear on the U.S. Treasury
Department’s list of Specially Designated Nationals or face any other similar
prohibition.
● We must not have previously disabled your account for violation of law or
any of our policies.
● You must not be a convicted sex offender.
● You will comply with these Terms and all applicable local, state, national, and
international laws, rules, and regulations.
● RedCarpet.app uses Google Places Autocomplete, to provide some of its
features. Therefore, you must agree and accept to be bound by Google’s
Terms of Service.
The Service may be modified, updated, interrupted, suspended or discontinued

at any time without notice or liability.

If you are accepting these Terms and using the Services on behalf of a
company, organization, or other legal entity, you represent and warrant that you are
authorized to do so and have the authority to bind such entity to these Terms, in
which case the words “you” and “your” as used in these Terms shall refer to such
entity.
The country of incorporation of the Company shall have exclusive jurisdiction in
all matters relating to this Agreement.
Rights We Grants You

RedCarpet.app grants you a personal, worldwide, royalty-free, non-assignable,
nonexclusive, revocable, and non-sublicensable license to access and use the
Services. This license is for the sole purpose of letting you use and enjoy the
Services’ benefits in a way that these Terms and our usage policies, such as our
Community Guidelines, allow.
Rights You Grant Us

Many of our Services let you create, upload, post, send, receive, and store
content. When you do that, you retain whatever ownership rights in that content you
had to begin with. But you grant us a license to use that content. How broad that
license depends on which Services you use and the Settings you have selected.
For all Services you irrevocably grant RedCarpet.app a worldwide, perpetual,

royalty-free, assignable, sublicensable, and transferable license to host, store, use,
publicly display, reproduce, modify, reformatate, adapt, incorporate into
advertisements and other works, create derivative works, edit, publish, promote,
distribute Your Content. This license is for the limited purpose of operating,
developing, providing, promoting, improving the Services, and researching and
developing new ones.
Because Public Posts are inherently public and matters of public interest, the
license you grant us for content submitted to those Services is broader. In addition
to the rights you grant us in connection with other Services, you also grant us a
perpetual license to create derivative works from, promote, exhibit, broadcast,
syndicate, publicly perform, and publicly display content submitted in any form and
in any and all media or distribution methods (now known or later developed). To the
extent it's necessary, you also grant RedCarpet.app and our business partners the

unrestricted, worldwide, perpetual right and license to use your name, likeness, and
voice solely in the content that you appear in, create, upload, post, or send. This
means, among other things, that you will not be entitled to any compensation from
RedCarpet.app or our business partners if your name, likeness, or voice is conveyed
through the Public Content.
For more information about how to tailor who can watch your content, please
take a look at our privacy policy and Support Site.
While we're not required to do so, we may access, review, screen, and delete
your content at any time and for any reason, including if we think your content
violates these Terms. You alone though remain responsible for the content you
create, upload, post, send, or store through the Service.
The Services may contain advertisements. In consideration for RedCarpet.app

letting you access and use the Services, you agree that RedCarpet.app, its affiliates,
and third-party partners may place advertising on the Services.
We always love to hear from our users. But if you volunteer feedback or
suggestions, just know that we can use your ideas without compensating you.
Safety
We try hard to keep our Services a safe place for all users. But we can’t
guarantee it. That’s where you come in. By using the Services, you agree that:
● You will not use the Services for any purpose that is illegal or prohibited by
these Terms.
● You will not use any robot, spider, crawler, scraper, or other automated means
or interface to access the Services or extract other user’s information.
● You will not use or develop any third-party applications that interact with the
Services or other users’ content or information without our written consent.
● You will not use the Services in a way that could interfere with, disrupt,
negatively affect, or inhibit other users from fully enjoying the Services, or that
could damage, disable, overburden, or impair the functioning of the Services.

● You will not use or attempt to use another user’s account, username, or
password without their permission.
● You will not solicit login credentials from another user.
● You will not post content that contains or links to pornography, graphic
violence, threats, hate speech, or incitements to violence.
● You will not upload viruses or other malicious code or otherwise compromise
the security of the Services.
● You will not attempt to circumvent any content-filtering techniques we
employ, or attempt to access areas or features of the Services that you are
not authorized to access.
● You will not probe, scan, or test the vulnerability of our Services or any system

or network.
● You will not encourage or promote any activity that violates these Terms.
Even though we are doing our best to offer you the best and safest experience,

we want you to be aware that you use the Service at your own risk, including the risk
that you might be exposed to Content that is offensive, indecent, inaccurate,
objectionable, incomplete, fails to provide adequate warning about potential risks or
hazards, or is otherwise inappropriate.
We also care about your safety while using our Services. So do not use our
Services in a way that would distract you from obeying traffic or safety laws. For
example, never use RedCarpet.app and drive. And never put yourself or others in
harm’s way just to capture a good picture..
Your Account
You are responsible for any activity that occurs in your RedCarpet.app account.
So it’s important that you keep your account secure. One way to do that is to select
a strong password that you don’t use for any other account.
By using the Services, you agree that, in addition to exercising common sense:
● You will not create more than one account for yourself.

● You will not create another account if we have already disabled your account,

unless you have our written permission to do so.
● You will not buy, sell, rent, or lease access to your RedCarpet.app account, a
RedCarpet.app username, or a friend link without our written permission.
● You will not share your password.
● You will not log in or attempt to access the Services through unauthorized
third-party applications or clients.
If you think that someone has gained access to your account, please
immediately reach out to RedCarpet.app Support.
Your Content
Your Content means Content that you submit or transmit to, through, or in
connection with the Service, such as ratings, reviews, photos, videos, compliments,
invitations, check-ins, votes, friending, and following activity, direct messages, and
information that you contribute to your user profile or any other content.
● You alone are responsible for Your Content, and once posted to
RedCarpet.app, it cannot always be withdrawn;
● You assume all risks associated with Your Content, including anyone’s reliance

on its quality, accuracy, or reliability, and any risks associated with personal
information you disclose.
● You represent that you own or have the necessary permissions to use and
authorize the use of Your Content as described herein.
● You may not imply that Your Content is in any way sponsored or endorsed
by RedCarpet.app
You may expose yourself to liability if, for example, Your Content contains
material that is false, intentionally misleading, or defamatory; violates any
third-party right, including any copyright, trademark, patent, trade secret, moral
right, privacy right, right of publicity, or any other intellectual property or proprietary
right; contains material that is unlawful, including illegal hate speech or

pornography; exploits or otherwise harms minors; violates or advocates the violation
of any law or regulation; or violates these Terms.
Please note that you also irrevocably grant the users of the Service the right to

access Your Content in connection with their use of the Service. Finally, you
irrevocably waive, and cause to be waived, against RedCarpet.app and its users any
claims and assertions of moral rights or attribution with respect to Your Content. By
“use” we mean use, copy, publicly perform and display, reproduce, distribute, modify,
translate, remove, analyze, commercialize, and prepare derivative works of Your
Content.
The Content of Others
Much of the content on our Services is produced by users, publishers, and other

third parties. Whether that content is posted publicly or sent privately, the content is
the sole responsibility of the person or organization that submitted it. Although
RedCarpet.app reserves the right to review all content that appears on the Services
and to remove any content that violates these Terms, we do not necessarily review
all of it. So we cannot—and do not—take responsibility for any content that others
provide through the Services.
Through these Terms and our Community Guidelines, we make clear that we
do not want the Services put to bad uses. But because we do not review all content,
we cannot guarantee that content on the Services will always conform to our Terms
or Guidelines.

by the people paid per word. They are long and full of legalese due to legal
compliance requirements.
We did our best to make our Data Protection Policy short, easy to access, easy
to understand, and in a clear and plain language, especially for our young users.

relying on the data that you share with us. For example, you share with us

to give us, but if you want to get RedCarpet.app’s full experience, it’s better to share
with us some data. For example:
● When you want to post publicly you have to attend an event and we have to
verify that you are at the event location, at the event time. Thus, sharing your
location with us is essential.
●When you search for a location and RedCarpet.app displays a suggestion,

RedCarpet.app is using Google Places Autocomplete. Therefore, you must
acknowledge, agree, and accept to be bound by Google Privacy Policy.
● When you provide some information about you (e.g. name, where you live,
occupation), your friends will be able to find you easier.
● Also, that will allow us to activate Live Chat for you.
Personal Data That You Share With Us When You Use RedCarpet.app
When you use RedCarpet.app, you automatically share with us certain data
about which services and features you use and how you’ve used them, and we

What Is Our Legal Basis for Processing Personal Data

We are processing your personal data because is necessary for:

(Anti-Money Laundry) regulations;
2. The performance of the contract with you;
In addition to the above cases, we are processing your personal data when you
consented, in an unequivocally way. For example, we need your freely and express
consent for promoting our services.
1. If you give your consent, you have the right to withdraw your consent at any
time.
2. If you do not give us your consent on a specific case, we will not use your
personal data for that specific case.
3. If you withdraw your consent or if you do not consent that will not affect your

access to our services.
However, we do not need your consent when processing your personal data is
necessary for compliance with legal obligations and for the performance of the
contract with you.
Disclosing and Transferring Personal Data

We may disclose your Personal Data to third parties and legal and regulatory
authorities, and transfer your Personal Data outside the EEA, as described below.

B. Disclosures to Legal Authorities

We may share your Personal Data with law enforcement, data protection
authorities, government officials, and other authorities when:

● We believe that the disclosure is necessary to prevent physical harm or
financial loss.
● Disclosure is necessary to report suspected illegal activity.

other websites ("External Websites"). We do not control these External Websites third

responsible or liable for External Websites referenced or linked from the
RedCarpet.app website, including, but not limited to, website content, policies,
failures, promotions, products, services or actions and/or any damages, losses,
failures or problems caused by, related to, or arising from those sites.
External Websites have separate and independent privacy policies. We

encourage you to review the policies, rules, terms, and regulations of each site that

about External Website information provided on the RedCarpet.app website.
Security of Personal Data

We use a variety of security measures to ensure the confidentiality of your
Personal Data, and to protect your Personal Data from loss, theft, unauthorised
access, misuse, alteration or destruction. These security measures include, but are
not limited to:
● Random created passwords protect accounts, directories, and databases.
● Encrypted and processed on secure infrastructure
● Secure Sockets Layer (SSL) technology to ensure that your information is
fully encrypted and sent across the Internet securely.

● A very limited number of trained personnel have access to sensitive data

personnel are permitted access to your Personal Data, and these personnel are
required to treat the information as highly confidential. The security measures will be

Retention of Personal Data

We retain Personal Data for as long as necessary to fulfil the purposes
described in this Data Protection Policy, subject to our own legal and regulatory
obligations. In accordance with our record keeping obligations, we will retain
Account and other Personal Data for 7 years after an Account is closed.
Updates to this Data Protection Policy

This Data Protection Policy may be revised, modified, updated and/or
supplemented at any time, without prior notice, at the sole discretion of
RedCarpet.app. When we make changes to this Data Protection Policy, we will notify

Violations and Sanctions
If you violate these Guidelines, we may:
1. remove the offending content,
2. terminate your account, or
3. notify law enforcement.
If your account is terminated for violating our Terms of Service or these
Guidelines, you may not use RedCarpet.app again.
Please take these Guidelines seriously and honor them in the spirit in which they
are intended. We will do our best to enforce them consistently and fairly, and

RCC Purchase Terms
By purchasing RCC through this site, you are agreeing to these terms and
entering into a contract with RedCarpet.app
Purchase. You agree to purchase RedCarpet Credit (RCC) as Advertising Units
(Ad Units) in the quantity and at the price specified on the invoice. The total value of
the purchase is including VAT if you are a resident of a country that it requires to
add VAT. The value of 1 RCC is shown on the website www.redcarpet.app and on the
invoice. The purchase of the RCC is Non-Refundable and cannot be canceled.
If you are a Customer that has a billing address in the EU or Turkey and has
chosen "non-business" as the tax status/setting for its RedCarpet.app account, then
the seller is RCAPPS Limited, a company incorporated under the laws of Cyprus, with
offices at Markou Botsari 3, 2nd & 3rd floors, 3040 Limassol, otherwise the seller is
RedCarpet.app LLC, a company incorporated under the laws of Delaware, United
States, with the address 88 S 3rd St. Ste 330, San Jose, CA 95113 an authorized
reseller of RCAPPS Limited.
Payments. You understand that your transfer of the payment for the RCC will
constitute your willingness to enter into the Agreement with Company under the
terms and conditions set out therein.
All payments made by you under this Agreement shall be made only in your
name, not located in a country or territory that has been designated as a
“non-cooperative country or territory” by the Financial Action Task Force, and is not
a “foreign shell bank” within the meaning of the U.S. Bank Secrecy Act (31 U.S.C. §
5311 et seq.), as amended, and the regulations promulgated thereunder by the
Financial Crimes Enforcement Network, as such regulations may be amended from
time to time.

Delivery. RCC bought through the redcarpet.app are delivered in your private

account on account.redcarpet.app and are shown in the Balance section in your
account.redcarpet.app. We are reminding the Buyer that RCC can be used only on
RedCarpet.app ecosystem.
Use of RCC. RCCs can be used on RedCarpet.app as Advertising Units (Ad
Units). RCCs do not give Buyer’s any rights and do not have uses, purpose, attributes,
functionalities or features, express or implied, outside of the RedCarpet.app
ecosystem. The Buyer shall not use the RCC to engage in, or otherwise, support any
unlawful activities.
Examples of Advertising Campaigns and Costs: Brand Profile Activity - 4 slots
having CPC (cost per click) - 1 RCC per 10000 clicks; Location Profile Activity - 4 slots
having CPC (cost per click) - 1 RCC per 10000 clicks; Closet Activity (similar items) -
20 slots having CPS (cost per month) - 1 RCC per 10 slots; Monthly Fee - CPT (cost
per tag per brand) - 1 RCC per 10000 tags. Campaigns and Costs are subject to
change from time to time.
No Claim, Loan or Ownership Interest. The purchase of RCC: (i) shall not
provide the Buyer with rights of any form with respect to the Company or its
revenues or assets, including, but not limited to, any voting, distribution, redemption,
liquidation, proprietary (including all forms of intellectual property), or other financial
or legal rights; (ii) shall not be deemed to be a loan to the Company; and (iii) shall not
provide Buyer with any ownership or other interest in the Company.
Ability to Resell. The Buyer has the right to resell purchased RCCs anytime at
any price, in a peer-to-peer transaction with other buyers or using any other legal
trading platform.
Additional Information. Upon Company’s request, Buyer shall immediately

provide to Company information and documents that Company, in its sole discretion,
deems necessary or appropriate to comply with any laws, regulations, rules or
agreements, including without limitation judicial process. Such documents include, but
are not limited to, passports, driver’s licenses, utility bills, photographs of associated
individuals, government identification cards or sworn statements. Buyer hereby
consents to Company disclosing such information and documents in order to comply
with applicable laws, regulations, rules or agreements. The company may, in its sole

discretion, refuse to distribute RCC to Buyer until such requested information is
provided.
Tax Consequences. The resell of RCCs may have tax consequences for the
Buyer which is solely responsible for compliance with Buyer’s tax obligations. The
Company shall bear no liability or responsibility with respect to any tax obligation of
the Buyer in respect of the purchase and receipt of any RCC.
No Return and No Refund Policy, and Payments

Please read this policy carefully. This is the Return and Refund Policy of our
product(s) and service(s).
The Customer (Brand, Venue, or User) has the right to buy RCC - Ad Units
using the payment systems available on the company’s website. RCC are digital
products and we have a N o Return, No Refund Policy.
The actual payment of products and services is deemed to be the moment
when all appropriate funds are credited to the Company’s account.
The Company holds no responsibility for the effects caused, in case there are

any delays in performing the payment. The Customer is solely responsible for any
financial loss risks arising from any possible delays.
The Company has the right to cancel the Customer’s payment if the
respective payment is done by a third party. In this case the payment will be
transferred back to the same bank details they came from. If this occurs, the
Customer is charged with all costs for funds transfer.
In case the payment system(s) stop(s) operating for some time, the Company

has the right to postpone the date of purchase until the payment system(s)
resume(s) working.

Prevention of Money Laundering and other criminal activities

The Company shall comply with the guidelines and directions issued by the Central
Bank of Cyprus for the implementation of the legislative requirements.
The Company shall follow the Central Bank of Cyprus' due diligence
procedures and other requirements with respect to the acceptance of large cash
deposits and in cases of doubt, they shall seek the advice of the Central Bank.
The Company shall determine the identity of the beneficial ownership of all
their users’ purchasing Services denominated in fiat funds.
The Company shall be vigilant in ensuring the prevention of their involvement

or misuse in money laundering activities, and shall not knowingly accept assets or
enter into business relationships where there is reasonable cause to believe that
such assets may have been acquired illegally or that they represent the proceeds of
criminal activity.
The Company undertakes to take any and all expedient actions to preclude
any illegal financial operations and money laundering with the employment of the
Company’s resources.
