CONTRACT OF SERVICE

KNOW ALL MEN BY THESE PRESENTS:

This contract is made and entered by and between:

____________________________________________, herein represented by
______________________________________, hereinafter referred to as the “First Party”

-and-

JAY CHUA, of legal age, Filipino and with residence at Valenzuela City, hereinafter referred to
as “Second Party”

PERIODIC MAINTENANCE SERVICE

-WITNESSETH-

WHEREAS, the First Party, is in need of the Services of the Second Party;

WHEREAS, the Second Party has agreed to provide such Services to the First Party and subject
to the terms and conditions set out in this Contract;

NOW, THEREFORE, for and in consideration of the foregoing premises and of the conditions,
covenants, and stipulations herein below set forth, the parties hereby agree as follows:

1. QUALIFICATION. The Second Party hereby possesses education, experience and skills
required to be performed as provided herein and shall perform the work needed
by First Party.

1. SERVICES. The Second Party shall perform the Services specified in Annex A, “Terms
of Reference and Scope of Services,” which is made an integral part of this
Contract.

The Second Party shall not be liable to any damage that may occur after the service is
rendered. Neither will the second party be liable to any damage that will be discovered
during the conduct of the Service.

1. TERM. The Second Party shall perform the Services from ____________ to
____________. This Contract shall automatically cease upon its expiration unless
otherwise renewed by the Second Party.

For the duration of this agreement, the First Party, shall have the right to conduct
evaluation of the Second Party’s performance and services delivered and to terminate this
 contract due to breach of contract, breach of trust, loss of confidence, unsatisfactory
performance, and/or other reasons detrimental to the interests of First Party.

Over the same period, the Second Party may initiate the termination of this Contract,
provided that: (1) a written notice for the termination of the agreement is submitted by
the Second Party, stating therein the reasons for the termination of the contract, ; and (2)
the written notice has been received, accepted, and approved in writing by the First Party.

1. COMPENSATION. In consideration of the services rendered by the Second Party, the

First Party shall pay the former the amount as stated in the schedule of Services
specified in Annex A.

1. PERFORMANCE STANDARDS AND ACCOMPLISHMENT REPORT. The Second

Party shall promptly and efficiently perform the Services with all due care and
skill as may be expected of a person with the experience of a professional
Mechanic and in accordance with this Contract as set out in Annex A.

1. INSURANCE GUARANTEE. The Second Party assures the First Party that he/she is
responsible for his/her personal life/accident insurance and frees the First Party of
any liability or obligation in case of untoward incidents that he/she may
experience in the course of travel, performance of duties and responsibilities and
all circumstances.

1. CONFIDENTIALITY. The Second Party shall not disclose any propriety or confidential
information relating to the Services, this Contract without the prior written
consent of the First Party.

1. NO EMPLOYEE-EMPLOYER RELATIONSHIP. It is understood that this contract does

not create an employer-employee relationship between the First Party and the
Second Party, that the services rendered hereunder are not considered and will not
be accredited as an employment contract, and that the latter is not entitled to
benefits enjoyed by the regular personnel of the First Party.
