Supply Contract

This food supply contract is by and between Juan Twothree, Philippine Food Republic, the Provider, and
R Jade Ubalobao, Kwik Meal, the Client. The contract is entered into as of 15th of March 2019 and shall
remain in effect until 14 of march 2025 unless cancelled pursuant to the terms listed below.

WHEREAS the Client wishes to engage the Provider as a food supplier of Kwik Meal and the Provider is
willing to provide such supplies, both parties agree to the terms described herein:

Scope of Services

The Provider shall provide food supplies for the Client’s street food business. This includes French
Fries, Dynamite, Powdered funnel cake mix, Cheese sticks, Kwek kwek, Fish/squid balls,
Tempura, Prayed showmy, Fried siomai, Patty, Burger buns, Cheese, Chicken nuggets,
pepperoni, hawaiian Sauce mix, Hotdog, Powdered pizza mix, crispy chicken sandwich, loaf
bread, mayonnaise, ketchup, nachos, and tacos

The Provider shall be fully responsible for ordering and maintaining quality food supplies, preparing &
transporting food to the client and performing basic sanitation and quality assurance.

The Client shall be responsible for providing the payments and honesty to the provider, as well as
regulating monthly orders and deliveries.

Payment

The Provider shall invoice the Client on a monthly basis. Each invoice shall include line items for supplies
and for any ingredients which were ordered during the preceding month. The Provider agrees to invoice
the Client for any ingredients or supplies ordered at cost, without markup or additional fees.

Right to Terminate

The Provider shall have the right to terminate this food supply contract by providing written notice to
the Client for the following reasons:

 Failure to pay by Client

 Inadequate Facilities

 Client or Provider Bankruptcy

The Client shall have the right to cancel this food service contract by providing written notice to the
Provider for the following reasons:

 Failure of Provider to Deliver Supplies

 Low Quality Products

 Late Delivery of supplies

Likewise, should the Client cancel this food service contract for any of the above reasons, the contract
shall be considered terminated with cause in accordance with applicable law.

Contract Renewal

This food supply contract must be renewed prior to its expiration date in order to ensure the Provider
continues to provide food supplies at the Facility. Failure to renew the contract prior to expiration may
lead to a lapse in services.

Inspections

The Client shall have the right to periodically inspect the Facility to ensure that the Client is adhering to
the terms of this food supply contract and particularly to applicable food supply regulations and public
safety regulations.

Independent Contractor

The Provider shall be classified as an independent contractor. Neither the Provider nor their employees
may be classified as employees of the Client.

No Solicitation

The Client shall not be permitted to solicit the Client’s employees as potential employees of the Client
for any reason whatsoever.

Licensing

The Provider shall be solely responsible for procuring and maintaining all licenses, permits, and
authorizations required of a food supply provider by law.

Liability

Both the Client and Provider agree to indemnify and hold one another harmless against any and all
claims of loss or damage, save in cases of gross negligence or willful misconduct.

This food service contract shall be governed by the laws of Roxas City, Capiz

Contract Acceptance

By affixing their electronic signatures below, both parties hereby enter into and swear to abide by and
uphold the terms of this food supply contract.
