INVESTMENT AGREEMENT

This AGREEMENT made this ___ day of _________ 2019, between _____________, of
legal age, Filipino and a resident of ____________________, hereinafter called the “INVESTOR”;

-AND-

_________________, single, of legal age, Filipino and a resident of

_____________________, hereinafter called the “INVESTEE”.

WITNESSETH:

1. That the INVESTOR shall invest and contribute PHILIPPINE PESO: SEVEN HUNDRED
FIFTY THOUSAND (PHP750,000.00) as additional capital for the purchase and
operation of a dental clinic business.

2. That the invested amount shall be used to pay the cost of the purchase of dental clinic
business __________________ owned and operated by _____________ located at
___________________ Philippines.

3. That the INVESTOR, in consideration of his investment, shall have a TWENTY-FIVE

PERCENT (25%) ownership interest on the dental clinic business. In return, the
INVESTOR shall have the right to TWENTY-FIVE PERCENT (25%) of the NET EARNINGS
of the business.

4. That the NET EARNINGS shall mean the gross receipts of the business less the
following expenses:

a. staff salaries;
b. rentals;
c. association dues for the clinic and parking; and
d. water and electric utilities.

5. That all other expenses not listed above shall not be deducted for the purpose of
computing the NET EARNINGS from which the TWENTY-FIVE PERCENT (25%) share of
the INVESTOR will be computed.

6. That the INVESTEE shall have the sole right to make executive decisions and the sole
right to manage the affairs of and operate the clinic.

7. The the INVESTOR shall have the right to demand and receive monthly financial
statements of the clinic. The INVESTEE shall provide copy of the financial statements
to the INVESTOR every fifteenth (15th) day following the end of month.

8. That the share of the INVESTOR in the NET EARNINGS of the dental clinic as provided
above shall be paid, if cash is available, on or before the 5 th of every month following
the end of the reference month

 9. The dental equipment listed in Annex “A-Investment Security” shall serve as a security
for the investment of the INVESTOR and the he shall have a lien on the said equipment
as protection for his investment.

10. That any dispute shall be settled amicably between the parties. Any legal action
between the parties shall be filed with the courts in jurisdiction of Makati City.

11. Finally, expenses for the execution of this contract shall be borne by the INVESTEE.

ACKNOWLEDGMENT

BEFORE ME, a Notary Public, affiants personally appeared exhibiting to me their

competent evidence of identity as indicated below their names, who are known to me and to me
known to be the same persons who executed the foregoing instrument and acknowledged to me
that the same is their own free act and voluntary act and deed.

This instrument, consisting of three (3) pages, including the page on which this
acknowledgment is written and ANNEX “A-INVESTMENT SECURITY”, has been signed on the
margin of each and every page hereof by the concerned parties and their witnesses, and sealed
with my notarial seal.
