ASSIGNMENT/WAIVER OF RIGHTS

KNOW ALL MEN BY THESE PRESENTS:

This Assignment/Waiver of Rights made and executed by and between:

JIMAR Z. TAPULAO, of legal age, Filipino, married and with residence at 52-B 7 th Avenue,
Brgy. Socorro, Quezon City, hereinafter referred to as the “ASSIGNOR”

-and-

D & L INDUSTRIES, INC., a corporation duly organized and existing under and by virtue of the
laws of the Philippines with office address at No. 65 Industria St. Bagumbayan, Quezon City, herein
represented by its Finance Officer, ALVIN D. LAO, hereinafter referred to as ASSIGNEE.

WITNESSETH:

WHEREAS, the ASSIGNOR has legal interest over a motor vehicle by virtue of an
AGREEMENT with Mercury Group of Companies, Inc. dated ______which Agreement is entered as Doc.
No. ____, Page No. ____, Book No.____, Series of 1999 in the Notarial Register of Atty. Joy Ann Marie
G. Nolasco for and in Quezon City.

WHEREAS, the ASSIGNOR desires to assign all his rights and interests in the said Agreement.

NOW THEREFORE, for and consideration of the foregoing, the ASSIGNOR does hereby assigns
and transfer and convey all his rights and interests in the said Agreement unto ASSIGNEE.

The ASSIGNEE does hereby accepts the assignment, conveyance and transfer of rights and
interests of the herein ASSIGNOR over the motor vehicle more particularly described as follows:

which is presently owned/registered in the name of Mercury Group of Companies, Inc.
