MEMORANDUM OF AGREEMENT

KNOW ALL MEN THESE PRESENTS:

This MEMORANDUM OF AGREEMENT made and entered into this 11th day of
August, 2010 by and between:

Local Government Unit of Carmen, Cebu with office address at the Carmen
Municipal Hall, Poblacion Carmen Cebu represented herein by Hon. Gerald P.
Villamor, and hereinafter referred to as the FIRST PARTY;

AND

The TECHNICAL EDUCATION AND SKILLS DEVELOPMENT AUTHORITY, a

national government agency with office address at Provincial Training Center,
Poblacion, Carmen Cebu, represented by its Center Administrator, ENGR.
WILKIE E. REROMA, and hereinafter referred to as the SECOND PARTY.

WITNESSETH THAT

WHEREAS, the FIRST PARTY has conceptualized and decided to assist the
Technical Education and Skills Development Authority Provincial Training Center
of Carmen Cebu by the provision of the whole second level of the Carmen Public
Market which serves as an extension training facility.

WHEREAS, to SECOND PARTY will ensure the safety and maintenance of the
Carmen Public Market’s second level area; this is to have a conducive venue for
training.

NOW, THEREFORE, for and in consideration of the foregoing premises and the
stipulations hereinafter set forth, the parties hereby agree and bind themselves to
the following covenant, to wit:

Duties and responsibilities of the First Party

EFFECTIVITY CLAUSE:

This agreement shall take effect upon signing by both Parties and shall be
binding unless sooner terminated by either Party in writing by reason of breach or
violation of any of the conditions set herein.

IN WITNESS WHEREOF, the parties have hereunto signed this instrument this
11th day of October, 2010 in Cebu City.
