In accordance with the provisions as provided in the RFP, the PV peak installed capacity, the installed
capacity in a.c. rating, the Export Capacity, the average annual Export Energy, the Commercial
Operation Date and the Offer Price for each of Plants are as quoted below:

(i) *Please provide name (if any) and site of the Plant, indicating the state, district, mukim,
town, road etc.
(ii) ** Total installed a.c. rated capacity measured at the output terminals of the inverter
transformer(s).
(iii) *** This quantity shall be the average annual Export Energy overall a period of 21
years based on the Plant parameters, system design, prudent industry practices and the
forecast irradiance at the Project Site.
(iv) Please use attachment where necessary, but each attachment must be certified, signed and
dated by the Authorised Representative.

2) We agree that our Bid shall be valid and irrevocable during the Bid Validity Period, and that it shall
remain binding upon us and may be accepted at any time before the expiration of that period and
agree that no other term, condition or stipulation shall be imposed by us after the Bid Closing Date.

3) We confirm that our Bid herein is accompanied by a Bid Bond for each Plant in the form and to the
amount as specified in this RFP, which may be drawn upon without any notice, demand or other
legal process in accordance with the conditions specified under this RFP.

4) We certify that in making this Bid, we have carefully examined and are satisfied as to all matters
which can in any way affect the LSS Plant(s) and/or the cost thereof and the capability of our
Plant(s) to operate in accordance with our Bid and have otherwise taken steps to inform ourselves
of such matter.

5) We confirm that our Bid is conforming to the terms, conditions, specifications and other
requirements of this RFP without material deviation or reservation.

6) We confirm that the Offer Price quoted shall be firmed throughout the SPPA period of 21 years
with no escalation and shall be the total selling price inclusive of all taxes, duties, contribution
to the Electricity Industry Fund as required under the Electricity Supply Act, other charges,
levies etc. which may be imposed under the Electricity Supply Act and any laws and other
incidentals, whether such items have been expressed or implied in our Bid.

7) We confirm that the capital and operation expenditures provided in the Submission of Offer Form
are true costs and/or fair estimates to the best of our knowledge and information available at the
time of submission of the Bid and we understand that such information may be used by ST in the
evaluation of our Bid.

8) We confirm, after a personal scrutiny, that the documents submitted in support of our Bid are
originals or true copies and represent that all such information provided is correct, accurate, true
and complete for all the purposes of this Bid as at the date of this letter.

9) We hereby authorize ST and its authorized representatives and consultants to make direct inquiries
and/or reference to any Person, company, entity, public official or organization including the names
in the documents submitted under our Bid in order to verify the information submitted herein
regarding the technical and financial aspects or any other aspects of our Bid.

10) We understand and agree that we shall bear all costs, including those of professional advisors,
incurred in participating in this RFP, preparing our Bid, submitting our Bid, executing the Project
Document, finalising the relevant financing and securing approvals of the relevant authorities and
parties regardless of the conduct or outcome of the evaluation process, or subsequent finance-ability
of our proposal and we shall have no claim whatsoever against the ST for any loss, costs, damages,
expenses (including loss of profit) howsoever arising thereto.

11) We confirm that neither ST, nor the Government, nor any personnel, consultants or representatives
of the ST or the Government shall have any liability whatsoever to us in respect of any decision
taken by us in relation to participating in this RFP exercise, the preparation of our Bid and
submitting our Bid whether or not in reliance on any matter supplied by ST, TNB, the Government,
or any of their personnel, consultants or representatives.

12) We understand and agree that ST at its discretion reserves the right to accept or refuse our Bid
whether it be lower or higher than any other Bid, or of the same amount, without providing any
explanation for such a decision and any such decision shall be accepted by us as final and not subject
to any appeal by us or any other party on our behalf.

13) We understand and agree that if we offer more than one Plants in our Bid, ST at its discretion
reserves the right to accept any one or more Plants offered in our Bid at the Offer Price quoted for
that particular Plant in the Bid without providing any explanation for such a decision and any such
decision shall be accepted by us as final and not subject to any appeal by us or any other party on
our behalf.

14) We understand and agree that ST at its discretion reserves the right to make appropriate adjustments
to the Offer Price of our Bid and to align the Offer Price to the prevailing market rates and

 conditions and to rectify any errors in our computation of Offer Price if we are shortlisted and
invited to finalise and conclude the Project Document.

15) We understand and agree that ST at its discretion reserves the right to accept any one or more than
one of the Plants offered in the Bid at the Offer Price in the Bid. without providing any explanation
for such a decision and any such decision shall be accepted by us as final and not subject to any
appeal by us or any other party on our behalf.

16) We undertake to hold all information relating to the RFP and our Bid in strict confidence until such
time as we receive instruction or consent from ST regarding its disclosure.

17) We confirm that we have not engaged in any improper conduct during the preparation of this Bid
including engaging in “corrupt practices”, “fraudulent practices”, “collusive practices” and
“coercive practices” within the meanings defined in the RFP or committed any act which could
constitute an offence under the Malaysian Anti-Corruption Commission Act 2009.
