Compositions Licensing Agreement

Non-Commercial

This Intellectual Property License Agreement (this “Agreement”) is entered into [date] (the
“Effective Date”), by and between [name] (“Licensor”) and 上海海臻萃教育科技有限公司
(translated Shanghai Zhen Cui Technology Co., Ltd) doing business as X-Path (“Licensee”)
whose principal place of business is at Suite 1355, Unit 6, 1700 Gangyan Road, Shanghai,
Chongming District,China.

WHEREAS, the Licensee is the owner and founder of the production called [X-Path] which
is an online school offering content in various areas available upon subscription
(hereinafter known as the “Platform”);

WHEREAS, Licensor’s work existing on [name of the channel] will be translated and
published on licensee’s Platform and platforms of those who licensee collaborates with,
providing their intellectual property in the form of compositions (hereinafter known as the
“Compositions”) in relation to a series of lectures or courses in a particular professional
subject. (hereinafter known as the “Content”);

WHEREAS, the Compositions will be translated and transferred onto various media
formats owned by the Licensee;

NOW THEREFORE, in consideration of the premises and covenants set forth herein, and
for other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the parties hereto agree as follows:

1. Obligations.


1.1 Licensor Obligations. The Licensor shall provide original Compositions for the
content. Licensor agrees to provide the Licensee the Compositions in a manner and form
that is suitable to the Licensee.

1.2 Licensee Obligations. The Licensee is responsible for pre and post-production of the
Content. The Licensee is responsible for the technical and operational implementation of
the Content. The Licensee will handle the translation,marketing, distribution, and
promotion of the Content. The Licensee is required to publicly indicate the ownership of
the Compositions that are being provided in this agreement when they are published.
2. Grant of Intellectual Property License.


2.1 Grant of Intellectual Property License. Subject to the terms and conditions of this
Agreement, Licensor grants and Licensee accepts, for the Term (as hereinafter defined),
the exclusive right to record, copy, reproduce, broadcast, display, translate, transcribe,
transliterate, transmit and perform all or part of the Compositions, for the production,
exploitation, promotion and/or advertising of the Content on the Platform mentioned
hereof and its collaborated platforms in the agreed territory in the section 6.1.

2.2 Term. The term of this Agreement shall begin on the Effective Date and shall remain in
full force and effect for 2 years (the “Term”) and shall automatically renew for another
Term and this will continue perpetually if not terminated by either party according to the
terms set out in section 4.

2.3 Marketing. Licensee may use and authorize its platform to use the names and
likenesses of, and biographical material concerning, the content creator, as well as content
titles, and artwork, in any marketing materials for the promotion and advertising of the
applicable Composition which is offered for use under the terms of this Agreement.

3. Revenue Share and Payments

3.1 Non-Commercial Use. Due to the fact that the Compositions were obtained without
payment to the Licensor, no revenue may be gained through the use of the licensed
material by the Licensee nor is any revenue required to be provided to the Licensor during
the term of this Agreement.

4. Termination and Survival

4.1 Termination. Licensee may terminate this Agreement at any time by providing the
Licensor with 60 days written notice, or pay in lieu thereof, without any further obligation or
compensation.

4.2 Effect of Expiration or Termination. Upon such termination, the parties agrees that:

i. The rights transferred and assigned to Licensee hereunder shall be retroceded and
returned to Licensor;

5. Warranties and Indemnification

5.1 Warranties. Licensor represents and warrants that: (i) the Compositions licensed
hereunder are the Licensor’s original work and Licensor has the power and authority to
license its Intellectual Property Rights (hereinafter known as IPRs) to the Compositions in
accordance with this Agreement; (ii) Licensor has no knowledge of any third-party
intellectual property infringement claims, lawsuits, or demands arising under or in
connection with the Compositions; (iii) Licensor has the right, authority and power to enter
into this Agreement; (iv) no third-party consents, assignments or licenses are necessary to
perform under this Agreement; and (v) Licensor has no obligations to any employer
(whether by law or by contract) that could in any way prohibit Licensor from licensing the
Compositions to the Licensee. Licensor agrees to immediately notify the Licensee in
writing if any facts or circumstances arise that would make any of the representations in
this Agreement inaccurate in any way.

5.2 Indemnity. The Licensor agrees to indemnify the Licensee against any and all costs,
claims, expenses and liabilities (including, without limitation, legal fees and any sums paid
on the advice of Counsel) resulting from breach by the Licensor of the Agreement
hereof.

6. Territory

6.1 Territory. The license shall be limited to the following territory: Mainland China.

7. Miscellaneous.


7.1 Licensee. Licensee shall perform this Agreement solely as a licensee and exclusive
distributor for the territory set out in section 6 not as Licensor’s independent contractor,
agent or employee. Licensee has no authority to make any statement, representation or
commitment of any kind or to take any action binding upon Licensor, without Licensor’s
prior written authorization.


7.2 Assignment. Neither party may assign its rights or obligations under this Agreement,
whether by corporate restructuring, operation of law, or otherwise, without the prior written
consent of the other party.

7.3 Governing Law. This Agreement shall be construed and enforced in accordance with
the laws of the Hong Kong without regard to principles of conflict of laws that would cause
the laws of any other jurisdiction to apply.


7.4 Jurisdiction and Venue. The parties irrevocably (i) agree that any suit or other legal
proceeding arising out of or relating to this Agreement may be brought only in a court of
Hong Kong, (ii) consents, for himself and in respect of his property, to the jurisdiction of
such court in any such suit or proceeding, and (iii) waives any objection which he may
have to the laying of venue of any such suit or proceeding in any of such courts and any
claim that any such suit or proceeding has been brought in an inconvenient forum.

7.5 Headings. Headings of particular sections are inserted only for convenience and are
not to be considered a part of this Agreement or be used to define, limit or construe the
scope of any term or provision of this Agreement.


7.6 Notices. All notices, payments or consents required or allowed hereunder, shall be
sent to the parties as provided herein, in writing, and shall be deemed to have been
delivered (a) immediately, if delivered personally or by email, (b) on the third business day
following if delivered by registered or certified mail, postage prepaid, return receipt
requested, or (c) on the following business day if delivered by a nationally recognized
overnight courier service, to the above indicated addresses of the respective parties.

7.7 Change of Address.

A party may change its address listed above by notice to the
other party given as set forth in this Section 8.6.

7.8 No Oral Modification. No modification, extension or waiver of or under this


Agreement shall be valid unless made in writing and signed by both the Licensor and the
Licensee.

7.9 Severability. In case any one or more of the provisions of this Agreement should be
invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the
remaining provisions contained herein shall not in any way be affected or impaired
thereby.

7.10 Entire Agreement. This Agreement constitutes and contains the entire agreement
and understanding of the parties with respect to the subject matter hereof and supersedes
any and all prior written and oral negotiations, correspondence, agreements,
understandings, duties or obligations between the parties respecting the subject matter
hereof and shall be binding upon and inure to the benefit of the parties hereto and their
successors and assigns.


7.11 Restrictions. The Licensee shall not be obliged to publish, distribute or host the
Licensor’s Compositions on the Platform.

7.12 Sublicense No sublicense agreement into which Licensee enters pursuant to Section
2.1 of this Agreement may extend beyond the term of this Agreement. Licensee may not
enter into any sublicense pursuant to this Agreement without the prior written consent of
Licensor.

7.13 Cure. If either party hereto alleges that the other has breached this agreement, they
must notify the other party in writing of such breach and then the other party shall have a
period of thirty (30) days to cure such breach.

1. 义务

式,向获许可⽅方提供作品。

1.2 获许可⽅方义务。获许可⽅方应负责内容的前期和后期制作。获许可⽅方应负责内容技术⽅方⾯面
的操作实施。获许可⽅方应开展对内容的翻译、营销、发布和推⼴广。发布时,获许可⽅方需公开
表明本协议项下内容包含的作品之所有权。

2. 知识产权许可的授予

2.1 知识产权许可的授予。为了了制作、使⽤用和推⼴广内容,按照本协议的条款和条件,在期限
(定义如下)内,许可⽅方向获许可⽅方授予独家权利利,且获许可⽅方接受该独家权利利,记录、复
印、复制、⼴广播、播放、翻译、转录、⾳音译、传输和表演全部或部分作品。

2.2 期限。本协议的期限⾃自⽣生效⽇日期起,应为2年年(“期限”);除⾮非任何⼀一⽅方按照本协议第4
条终⽌止,本协议期满后应⾃自动续期,并以此类推。

2.3 营销。为了了推⼴广按照本协议条款下许可⽅方所提供的作品,获许可⽅方可使⽤用和授权其平台
在任何营销资料料中使⽤用内容创作者的名称、肖像和相关传记资料料以及内容标题、插图。

3. 收⼊入分成和付款
3.1 ⾮非商业使⽤用。鉴于作品是从许可⽅方⽆无偿获得,因此在本协议的期限内,获许可⽅方使⽤用许
可资料料不不会产⽣生任何收⼊入,且⽆无需向许可⽅方提供任何收⼊入。

4. 终⽌止与继续有效

4.1 终⽌止。获许可⽅方可随时通过向许可⽅方发出60天书⾯面通知,或者⽀支付代通知⾦金金终⽌止本协
议,此后⽆无任何其他义务或赔偿。

4.2 期满或终⽌止的影响。⼀一旦终⽌止,双⽅方约定:

i. 本协议项下转让给获许可⽅方的权利利应归还许可⽅方;

5. 保证和赔偿

5.1 保证。许可⽅方陈述并保证:(i)本协议项下许可的作品为许可⽅方的原创作品,许可⽅方有
权按照本协议许可作品的知识产权(以下简称知识产权);(ii)许可⽅方未获知任何因其提供
的作品产⽣生的,或与作品有关的第三⽅方知识产权侵权索赔、诉讼或要求;(iii)许可⽅方有授
权和权⼒力力签订本协议;(iv)履履⾏行行本协议⽆无需取得第三⽅方同意、转让或许可;和(v)许可⽅方
⽆无需向任何雇主(⽆无论法律律还是合同上的)承担,任何会以任何⽅方式禁⽌止许可⽅方向获许可⽅方
许可作品的义务。如果发⽣生任何会导致本协议项下的任何陈述不不准确的事实或情况,那么许
可⽅方同意⽴立即以书⾯面形式通知获许可⽅方。

5.2 赔偿。许可⽅方同意就任何及所有因许可⽅方违反本协议⽽而产⽣生的成本、索赔、费⽤用和责任
(包括但不不限于法律律费⽤用以及⽀支付给律律师的任何款项)向获许可⽅方作出赔偿。

6. 区域

6.1 区域。本许可应限制于以下区域:中国⼤大陆。

7. 其他
7.1 获许可⽅方。获许可⽅方应仅作为第6条规定的区域内的获许可⽅方和独家经销商履履⾏行行本协议,
不不得作为许可⽅方的独⽴立承包商、代理理⼈人或员⼯工。未事先取得许可⽅方的书⾯面授权,获许可⽅方⽆无
权作出任何类型的声明、陈述或保证,亦⽆无权采取任何约束许可⽅方的⾏行行动。

7.2 转让。未事先取得另⼀一⽅方的书⾯面同意,任何⼀一⽅方不不得将其在本协议项下的权利利或义务转
让出去,⽆无论通过公司重组、法律律实施还是其他。

7.3 管辖法律律。 本协议应按照⾹香港法律律解释和履履⾏行行,不不考虑会导致本协议适⽤用于任何其他法


域的法律律的冲突法原则。

7.4 管辖权和审判地。 双⽅方不不可撤销地(i)同意任何因本协议产⽣生的,或与之相关的诉讼或


其他法律律程序应在⾹香港法院提出,(ii)在任何该等诉讼或程序中,各⽅方及其财产应服从该等
法院的管辖权;和(iii)关于在任何该等法庭提出任何该等诉讼或程序放弃任何异议,并放
弃在不不⽅方便便法院提出任何该等诉讼或程序之要求。

7.5 标题。具体条款的标题仅为⽅方便便起⻅见,不不作为本协议的⼀一部分,亦不不⽤用于定义、限制或
解释本协议任何条款的范围。

7.6 通知。本协议项下要求或许可的任何通知或同意应以书⾯面形式发⾄至本协议上述规定的接
收⽅方的地址,并在下列列情况下视为送达:(a)如果采取⾯面交或电⼦子邮件形式,则应⽴立即收
到;(b)如果采取挂号或认证邮件的形式,邮资预付,要求回执,则在邮寄后第三个营业
⽇日送达;或(c)如果采取国家公认隔夜快递服务,则在寄出后下⼀一个营业⽇日送达。

7.7 地址变更更。⼀一⽅方可按照第8.6条的规定,通过向另⼀一⽅方发出通知变更更其地址。

7.8 禁⽌止⼝口头修改。本协议项下的任何修改、延期或⾃自动弃权应⽆无效,除⾮非以书⾯面形式作出
并由许可⽅方和获许可⽅方签字。

7.9 可分割性。如果本协议的任何⼀一个或多个条款在任何⽅方⾯面是⽆无效的、不不合法的或不不可执
⾏行行的,那么不不得以任何⽅方式影响或损害其余条款的有效性、合法性和可执⾏行行性。
7.10 完整协议。本协议构成了了双⽅方之间与本协议标的有关的全部协议和谅解,并取代双⽅方之
间的,与该标的有关的任何及所有先前书⾯面和⼝口头协商、通信、协议、谅解、责任或义务。
本协议对双⽅方及各⾃自的继承⼈人和受让⼈人均具有约束⼒力力,并为保障前述⼈人⼠士的利利益⽽而订⽴立。

7.11 限制。获许可⽅方应⽆无义务在平台上发布、经销或托管许可⽅方的作品。

7.12 转许可。获许可⽅方按照本协议第2.1条签订的任何转许可协议不不应超出本协议的期限。
未事先取得许可⽅方的书⾯面同意,获许可⽅方不不得按照本协议签订任何转许可协议。

7.13 补救。如果任何⼀一⽅方声称另⼀一⽅方违反本协议,须书⾯面通知违约⽅方,违约⽅方应在三⼗十
(30)天内补救该违约⾏行行为。
