MANAGEMENT CONTRACT
The GLOBAL ARTS AND SKILLS INSTITUTE, principally located at ZAMBOANGA CITY,
herein represented by its School President LEONORA A. BINIGAY, and herein referred to
as “First Party”;
-and-
MACARIO A. ACEJAS, JR. principally located at Barangay Guiwan, Zamboanga City, herein
represents as owner/proprietor, and herein referred as “Second Party”.
WITNESSETH
WHEREAS, GASII has signified its intention to lease the lot owned and managed by the
Mr. Macario A. Acejas,Jr. for its purpose of establishing, raring animals and process
agricultural theories to its students/trainees for academic and technical proficiency on
agriculture.
WHEREAS, Mr. Macario A. Acejas Jr.is willing to lend (four hectares) to Global Skills and
Arts Institute for its operation and the aforementioned purpose.
1.1. Operate a duly accredited private school to offer TESDA courses and other
courses for senior high school with legal documentation and permits as to the
kind of business and operation that GASII will establish and operate.
1.2. Provide copies of all the necessary documents needed in the processing of
Certificates of Public Convenience, Provisional Authorities, and other necessary
permits and licenses, all under the name of GASII, referred to in the above
provision;
1.3. Provide copies of income statement of the leased agricultural land to Mr. Macario
A. Acejas as a reference of the profit sharing that both parties will adhere in
respect to give the fifty (50%) net income to the proceed of the agricultural
plants and animals produce item of this agreement.
1.4. Carry all other expenses that will be incurred for any improvement and
enhancement of the land to be leased to meet certain requirements for its
operation as a school that will include light and water consumption.
1.6. Operate only on designated area coverage for the following purposes:
1.7. Maintain, cultivate and finance the land that is used for the operation of the
private school on its agricultural courses.
1.8. Hire its own employees for all transaction and operation of the cultivation of the
agricultural land.
2.1. Provide legal documents and other permits of the lot to be leased to AICCAT for
its operation;
2.2. Pay all other expenses that pertains to the lot for leased which may include, tax
declarations, renewal of any legal permits for the lot and all expenses that the
local and national law may require the owner of the lot thereof;
Neither of the Parties shall enter into a contract or agreement, nor assume any
obligation on behalf of, or in the name of the other in the course of or during the
implementation of this Management Contract without written consent from the other.
GASII shall hold MR. MACARIO A. ACEJAS, harmless from all claims, accounts, demands
or actions arising out of accidents or injuries, whether to property or to persons, caused
by the construction or operation of the private school, and from all liabilities,
obligations, losses, damages, costs, and expenses arising from or in connection with any
claim, demand, suit, action, or proceeding by any third party, or any government agency
or entity, in connection with the management and operation of the private school in
Zamboanga City.
5.1. This Management Contract shall take effect immediately upon its execution and
shall be valid for ten (10) years;
5.2. Profit generated from the agricultural land, which includes, gross profit garnered
from selling of the produced of the leased land will be divided accordingly:
5.2.1. Forty Percent (50%) will be given to MR. MACARIO A.ACEJAS, as profit
share of land owner while;
5.2.2. GASII will have the sixty percent (50%) of the profit as leaser and cultivator
of the agricultural land.
5.3 All facilities and equipment used in cultivating the agricultural land will be
provided by GASII.
5.4. Breach of and/or deliberate disregard of any of the terms and conditions of this
Management Contract by any Party shall be a ground for its termination by the
other Party, without prejudice to the right of the offending party to be heard;

5.5. In case of the termination of this Management Contract, there will be no changes
of property of each party.
5.8. This Management Contract states the entire agreement between the parties
concerning the subject matter thereof. Any addition or modification to this
Management Contract must be made in writing and signed by the Parties. The
Parties recognize that the terms and conditions of this Management Contract are
to be interpreted to ensure the utmost cooperation between all Parties.
It is understood and agreed to that the Parties may provide certain information that is
and must be kept confidential. To ensure the protection of such information, and to
preserve confidentiality, it is agreed that
7.1. The venue of suits arising from the enforcement of this Management Contract
shall be the appropriate court/s exclusively within the territorial jurisdiction of
Zamboanga City.
7.2. Any question, dispute, or differences arising from this Management Contract
should first be settled by both Parties in good faith, and subjected to all modes of
alternative dispute resolution, before resorting to legal recourse with judicial
and/or quasi-judicial authorities.

Contract, comprising of six (6) pages including this page which bears my signature, and
every page of which having been duly signed by the parties and their instrumental
witnesses.
