unanimously adopted:

“RESOLVED, that there is a need to procure a new model of AS5350

CISCO Routers which could meet the demands of our prospective clients
considering the competitive market on data management and information
systems;”

“RESOLVED, that the agreement previously entered into with

PENSHONE INCORPORATED be modified or otherwise nullified and to
enter into a new agreement indicating the changes therewith;”

“RESOLVED, that Mr. Ramon de Leon, the President of the

Corporation, be authorized, as hereby authorized, to enter into an agreement
or contract and modify its terms thereof with PENSHONE
INCORPORATED; and”

“RESOLVED FINALLY, that this Resolution shall remain valid,

subsisting, and enforceable unless subsequently modified, revoked,
rescinded or superseded by a resolution of the Board.”
