Note:
❖ Your offer should be for Basic Price per UOM.
❖ All Taxes, Duties & TDS, if any, will be EXTRA as applicable on the date of delivery.

❖ Invoice will only be generated for valid legal entity name of participating bidder. Any deviation / non-
conformance / request for change- pre-or after complete auctioning process, will result automatically into
forfeiting of monetary deposits in any form with us. And may result into automatic permanent
disqualification of bidder for all future dealings with Sandvik. Sandvik will not be responsible for any loss to
bidders during any stage between market assessment/exploration to firm engagement - does not create
obligation -monitory or non-monitory nature - in any manner on SAPL or on behalf of SAPL, for all potential
future activities - such as enquiries/discussions/site visits etc. - which may or may not be taken up in near
future with respect to first right of participation / rite to short-list by any bidder.
Special Note:

1 Customer must provide vehicle as per Lot load & as per SAPL requirement (Space, 5S & safety guidelines)
2 Customer must send vehicle on or before 8 AM for in time loading, loading note forward to logistic for invoice
activity before 2 PM.
3 Customer must submit DD/RTGS/NEFT immediately after Invoice issued before checking out from SAPL
premises.
4 Customer must lift material as per above define material category.
5 Customer Need to submit Return timely to MPCB authorities (If Applicable).
6 Customer is responsible for any legal obligation arising out of SAPL premises.
7 Loading assistants from SAPL limited to Forklift for heavy scrap loading only.

*** As discussed, ISO, Excise, PAN, VAT, GST, Shop Act etc. related issue will be validated by SAPL TEAM during
customer registration activity. It is mandatory to have all valid documents available & can be provided whenever

TERMS & CONDITIONS OF THE CLOSED BID CUM ONLINE AUCTION
DEFINITIONS:

✓ SELLER: Seller referred in this catalog is SANDVIK ASIA PVT. LTD.


✓ SERVICE PROVIDER: MatexNet Pvt. Ltd. (hereinafter referred to as “MatexNet”) is an e-commerce service
provider appointed by the seller to facilitate virtual auction by them. MatexNet will only facilitate closed bid
cum online auction and is considered as third party not particularly interested in the item(s) being sold on
behalf of seller.
✓ BIDDER: Any person - as an individual OR a proprietor OR a partner OR an authorized representative of any
company OR any legal entity and who is paying the requisite EMD and is registered at MatexNet and who
makes or places a bid for and purchases the auction property either in part or in full is considered as a
bidder. One individual can represent as a bidder on his own behalf and on behalf of other companies
provided, he registers himself in those capacities separately i.e. for each representation he should pay
separate Earnest Money Deposit. Successful Bidder is that Bidder in whose name confirmation of sale is
issued by the seller.
✓ TIMING OF ONLINE BID: Time, wherever mentioned in any document relating to the bidding event,
including the auction catalog, refers to Indian Standard Time (IST) i.e. UTC + 05.30 hrs. All the timings of the
Online Bid shall be based on the time indicated by the Server hosting the Auction Engine. It shall be the
endeavour of MatexNet to ensure that the Server Time reflects as closely as possible the Indian Standard
Time (IST) i.e. UTC + 05.30 hrs. However, in the event of any deviations between the Server Time and the
Indian Standard Time, the functioning of the Auction Engine (Start, operation, closure) would be guided by
the Server Time. Bidders are advised to refresh the right-side window of the Auction room to check the exact
Server Time that is displayed there.

DISCLAIMER:

1. MatexNet runs its business on the basis of a robust Web Site. However, MatexNet is outsourcing server space
from a third-party hosting company and hence shall ensure the smooth running in all good faith and
intention. However, MatexNet will not be held responsible for any failure of power, network, server, hosting
server, Internet connectivity, ISP or otherwise at Bidder's end or at MatexNet directly or indirectly affecting
online method of Bidding.
2. MatexNet takes no responsibility of the quality, quantity, documentation details of buyers/sellers. Both the
buyers & sellers agree to defend indemnity and hold MatexNet harmless of any loss, damage, cost, and
expenses caused by any reason during this transaction. In no event, shall MatexNet be liable for any loss to
the transactors by business, revenues, profit, costs - direct and incidental, consequential or punitive damages
of any claim. Both the parties agree to have discussed all the related matter regarding this transaction and
have understood in full that MatexNet has provided a source of supply and has nothing to do any further
especially with regards to quality, warranty, guarantees, delivery schedules, payments, rejections,
transportation, legal laws and regulations to be followed from time to time etc. The Parties acknowledge that
since MatexNet does not possess knowledge base of the commodities under transaction, both the parties
agree that the matter contained in the material, as a part or as a whole, does not violate any applicable law.
MatexNet Pvt. Ltd. is only an e-commerce service provider and is not and cannot be a party to or control in
any manner any transactions between the Seller and Bidder. MatexNet Pvt. Ltd. shall neither be responsible
nor liable to mediate or resolve any disputes or disagreements between the Seller and Bidder.
3. The Seller/Bidder agrees to limit the liability of MatexNet Pvt. Ltd. to them for any and all claims, losses, costs,
damages of any nature whatsoever or claims expenses from any cause or causes, including attorneys’ fees
and costs, and that the total aggregate liability of MatexNet Pvt. Ltd. to the Seller/Bidder shall not exceed its
total fee receivable from the Seller/Bidder. It is intended that this limitation apply to any and all liability or
cause of action however alleged or arising, unless otherwise prohibited by law.
4. Bidders/Seller may note that any payments by DD or any other means towards EMD/Security Deposit or
other purposes received by MatexNet on behalf of Seller/Bidder shall be handled in good faith and intention.
However, MatexNet shall not be responsible for the loss of the DD/Cheque from its custody due to reasons
beyond its control such as fire, theft, burglary, loss in transit, accident, war, riots, civil commotion, any
terrorist activity, any natural calamity, adverse weather and climatic conditions etc.

5. Wherever images of the auction property are displayed, Bidders may note that MatexNet does not represent
or warrant that the images are accurate, complete, reliable, current or error-free even though care has been
taken to present them. They are only indicative in nature. Hence, bidders are advised to physically inspect
the auction property before placing bids.

1.0 GENERAL TERMS & CONDITIONS:

1.1 Subject to the reserve price, if any, fixed by the SELLER and subject to the terms and conditions set out
herein, sale shall be made to the approved bidder on “AS IS WHERE BASIS” and “NO COMPLAINT BASIS.” The
Seller does not undertake any responsibility to procure any permission/license etc., in respect of the auction
property offered for sale.
1.2 SELLER reserves the right to modify and amend the terms & conditions and announce the same at any time
before the entire auction concludes. Announcements made during the auction in the auction room and
changes made in the catalogue, including start price, bid increment/decrement, extension of time for lots
where bids are received or not and any other additional conditions OR correction in the catalogue and/or
additions or deletions of items being offered for sale, are being done with the consent and knowledge of the
seller and those would be binding on the bidder. Bidders are advised in their own interest not to leave auction
room till the entire auction is closed.

Participation and bidding in this auction shall be treated as conclusive evidence of the fact that the bidder,
has inspected the materials and the documents pertaining to it and is satisfied in all respects regarding
quantity, quality, condition of the auction property, taxes & duties, and other extraneous factors and the
Principle of Caveat Emptor (let the buyer beware) will apply. Final decision regarding participation will be
with the Seller. It shall also imply that the bidder has carefully gone through and understood the terms and
conditions of Auction including the amendments if any, prevailing at the time of Auction. Seller/MatexNet
will not entertain any complaints or objections once Bid is placed.
1.4 Seller/MatexNet does not give warranty or guarantee of the quality, quantity, measurement, condition,
chemical composition of each individual item(s) or lot(s) that form the auction property and about its “End
Use” or fitness for a particular purpose.
1.5 The highest bidder does not get any right to demand acceptance of his offer. SELLER reserves the right to
accept/reject/cancel any bid, withdraw any portion of the Auction Property at any stage from Auction even
after acceptance of bid/issue of delivery order, or release order/deposit of full value by successful bidder
without assigning any reason thereof. In the event of such rejection/cancellation/withdrawal, SELLER shall
refund the value of Auction Property, if paid for, to the successful bidder. SELLER shall not be responsible for
any damages/loss whatsoever to the successful bidder on account of such withdrawal.
1.6 EMD amount will not carry interest.
1.7 In the event of failure on the part of the successful bidder to fulfill his contractual obligations,
seller/MatexNet reserves the right to debar such bidder from participating in any future auctions conducted
by MatexNet on behalf of seller.

2.0 PARTICIPATION:

2.1 The prospective bidders have to register with MatexNet by submitting the Membership Registration Form
duly filled and signed along with self-attested copies of their PAN Card, valid VAT registration certificate, and
address proof by way of electricity bill, or telephone bill, or Bank account statement for the last six months.
The Membership Registration form along with the prescribed documents shall be submitted to MatexNet.
The Prospective Bidders, who have submitted the Membership Registration form along with the prescribed
documents to MatexNet once, need not submit the same again. The prospective bidders after completing the
registration process as above shall have to deposit Earnest Money Deposit (EMD) for each lot separately or
for all lots as prescribed (refer Details of Auction Material for Lot-wise EMD) by Demand Draft / Pay Order on
any Scheduled Bank / Nationalized Bank / Scheduled Co-operative Bank (as prescribed by the Seller) drawn
in favour of “Sandvik Asia Pvt. Ltd.” payable at Pune. It has to be submitted directly to any office of
MatexNet (see details of MatexNet’s Offices on www.matexnet.com). CASH / CHEQUE WILL NOT BE
ACCEPTED.

2.2 All the bidders participating in the E-auction should mention their valid VAT / TIN Tax Registration Number
on online acceptance form. KYC forms can be downloaded from MatexNet site “www.matexnet.com” from
‘Register’ Link.
2.3 On completion of the registration process and payment of prescribed EMD as outlined in 2.1 above,
seller/MatexNet will activate the User – Identity to enter into Website www.matexnet.com. Prospective
Bidders may please note the following:
a. Failure to submit the Membership Registration form duly filled and signed along with the prescribed
documents will lead to non-activation of the User ID even if the prescribed EMD has been remitted.
b. For any auction, a bidder acting as an individual or as proprietor of various firms registered under
different user ID and having the same PAN will be allowed to participate under one user ID only, unless
otherwise permitted by the Seller in writing.
2.4 Duly filled Declaration Form is to be submitted along with visiting card at any of the offices of MatexNet
along with Earnest Money Deposit (EMD).
2.5 On completion of the registration process and payment prescribed of EMD as outlined in 2.1 above,
seller/MatexNet will activate the User-Identity to login into website (www.matexnet.com). Bidders SHOULD
NOT disclose their PASSWORD to anyone and safeguard its secrecy. Bidders are advised to change the
Password. Prospective Bidders may please note that failure to submit the Membership Registration
Form duly filled and signed along with the prescribed documents will lead to non-activation of the
User ID even if the prescribed EMD has been remitted.
2.6 In case of successful bidder, the EMD amount will be converted into Security Deposit and same shall be
refunded after satisfactory execution of order. For unsuccessful bidders EMD will be refunded from MatexNet
offices. Under any case, SD/EMD shall not bear any interest.
2.7Password and Security - After intending bidders register with MatexNet on the website, they will be
allotted a unique user identification (User ID) by MatexNet and they will be prompted to enter a password.
This is the log in password. The log in password is a string of characters (combination of alpha, numeric &
special characters) used to authenticate the identity and provide access to various resources on the website.
The length of the log in password has to be a minimum of eight characters and has to be a combination of
alpha and numeric characters. Special characters can also be included to strengthen the log in password.
However the following special characters ~, ., /, ?, <, >, : , ; , \ ' , \ " , +, =, _, -, ^ are not allowed and will be
ignored. Bidders are solely responsible for all use and for maintaining and protecting the confidentiality of
their User ID and password.
Forgot Password - In case Bidders forget the log in password, the only way they can change their log in
password is by clicking on the “Lost Password” link on the home page of the website. Bidders will receive a
verification code on their registered e-mail address and their registered mobile phone. Using the verification
code Bidders can change their log in password. The e-mail carrying the verification code will also contain a
link. Bidders can also change their log in password by clicking on the link that will directly take them to the
change password page. Bidders are advised to check their spam / junk mail to check for the e-mail carrying
the verification code. MatexNet will not be responsible for non-receipt of SMS/e-mail carrying the
verification code. Bidders are advised in their own interest to log in and check to ensure that their credentials
are valid before the auction starts to avoid complications in the last minute. Bidders reporting loss of access
to their registered mobile phone & their registered e-mail may please note that their request for resetting
their log in password will be done only after receipt of a written request along with the full set of documents.
Resetting of log in password will be done after verification of the documents submitted and will take at least
two working days.
Bidders. SHOULD NOT disclose their PASSWORD to anyone and safeguard its secrecy. Bidders are advised to
change the Password.
Transaction Password - In order to have an additional layer of security, Bidders have to authenticate their
entry into the virtual auction room using their transaction password. Only then they will be able to place
their bids. Bidders can set their transaction password and have to confirm the same with the OTP that will
be sent to their registered mobile number and their registered e-mail ID. Transaction password is session
specific.

3.0 CONDITIONS APPLICABLE TO “ONLINE” AUCTION METHOD OF BIDDING:

3.1 Validity: The closed bid cum online auction bidders must keep their bids valid for a period of 15 calendar
days from the date of closing of e-auction excluding the date of closing. In case the 15th day falls on a holiday
or remains closed for the seller, such Bids will be deemed to be automatically extended to be valid up to the
next working day of seller.
3.2 Time Extension: If any market-leading bid (bid higher than the highest at the point in time) is received
within the last 3 minutes (“Time Extension” as mentioned in the Bidding Room will be in force & 3 Minutes
is an example) of closing time, the time will be extended automatically by 3 minutes.
3.3 Training: MatexNet will provide training (online) if required by the bidders at a mutually convenient date
and time before the Auction.
3.4 Bids: All bids placed are legally valid bids and are to be considered as bids from the bidder himself. Once the
bid is placed, the Bidders cannot reduce or withdraw the bid for whatever reason. If done so, the seller will
forfeit the EMD. The highest and the latest bid on the Auction shall supersede all the previous bids of the
bidder. Bidders may please note that in the event of a manual bid amount matching that of an auto bid, the
manual bid will prevail and will be considered. The bidder with the highest offer/ bid does not get any right
to demand acceptance of his Bid.

CONDITIONS APPLICABLE FOR ONLINE CLOSED BID

➢ The Online Closed bid event will take place between 11.00 AM to 12.30 PM on Friday, 09th August 2019.
➢ Placing the Online Closed Bid is compulsory.
➢ If Bid is not placed in Online Closed Bid, access will not be given for Online Auction.
➢ The bidders are free to revise their bids any number of times during this period. The latest bid will overwrite
and supersede all the previous bids. Only the latest bid will be considered.
➢ No Time extension will happen for Closed bid event.
➢ Closed bids will be opened on 09th August 2019 after 12.30 PM.
➢ For the purpose of deciding the successful bidder, only the highest bid placed in the closed bid event or the
online auction will be considered.
➢ Auto-bid facility is not available for the closed bid event.
➢ Bidders will be able to see only the bids placed by them.

Conditions applicable for Online auction

➢ The Online Auction event will take place between 03:00 PM to 05:00 PM on 09th August 2019.
➢ Registered bidders, who have participated in ‘Closed Bid’, would be permitted to participate in on-line
auction.
➢ For the purpose of deciding the successful bidder, only the highest bid placed in the closed bid event or the
online auction will be considered.
➢ Bidders will be able to see only the bids placed by them and the H1 bid.

4.0 PAYMENT:

4.1 All payments shall be made in the form of Demand Draft/ Pay order issued by any Scheduled Bank /
Nationalized Bank / Scheduled Co-operative Bank in favour of Sandvik Asia Pvt. Ltd. payable at Pune.
4.2 Post approvals from Sandvik, highest bidders have to make full & final payment including GST & taxes
within 3 days.
4.3 On receipt of sale confirmation, Successful Bidder/s shall deposit 100% value of the material for the
respective lot/s inclusive of the applicable taxes and duties, if any, (calculated as per the bid/s placed and
approved by the seller) before collecting the sale order.
4.4 Bids placed/Rates offered are for the basic price only and are exclusive of all applicable taxes and duties, if
any. Taxes and duties will be in addition to the basic price and will be added at rates applicable at the time of
delivery.

4.5 If required, only acetylene cutting of the items will be allowed. Therefore, your bids should be based on
acetylene cutting.
4.6 In the event of the failure of the Purchaser (H1 Bidder) by way of a default in payment of the material being
disposed or non-compliance or any of the terms mentioned herein, the contract will automatically stand
terminated and the Security Deposit will stand forfeited for the breach of contract by the buyer. In this case,
the Seller reserves the right to dispose of the balance material in the Lot and the said buyer will have no
claim whatsoever.

5.0 DELIVERY:

5.1 On receipt of full Sale Value along with applicable taxes by the Seller, the Seller will issue final Sale / Delivery
/ Release Order to the Buyer thereby enabling him to lift the materials within 05 days, from the date of sale
order. Incase if the buyer fails to lift the entire lot in the stipulated time period, the EMD amount shall be
forfeited.
5.2 The successful bidder shall not be entitled to choose or pick up any particular material from the lot. He has to
lift the entire material as available in the lot.
5.3 In order to facilitate Sandvik Asia Pvt. Ltd. to complete the transaction before 4.30 PM the goods should be
collected before 4 PM on any working day with prior appointment of the concerned department during the
stipulated delivery days (except Sundays & Holidays). Please contact respective person for co-ordination.
Successful bidders should ensure that the material clearance is as per the seller’s instructions. Neat and clean
maintenance of the stockyard from where the material is lifted is the responsibility of the successful bidder.
In the event of non-adherence to the above by the successful bidder, seller will reserve its rights to impose
penalties/forfeiture of EMD and other payments collected. Weight recorded at the seller’s premises shall
prevail.
5.4 The loading of the material will be in the presence of and after the approval/authorization of Sandvik Asia
Pvt. Ltd.
5.5 The Buyer shall be responsible to ensure that their employees follow safety regulations as per Sandvik Asia
Pvt. Ltd.’s stipulations and other statutory regulations. Buyer shall ensure that all his workmen on site use
safety belts, gloves, helmets, masks etc., as necessary for their safety. The buyer shall be responsible to secure
compliances with all Central and State laws as well as the rules, regulations, bye-laws/notifications and
orders of the local authorities and statutory bodies as may be in force from time to time. Buyers have to
comply with all statutory obligations like Labor License, Workman Compensation policy, ESIC, PF etc.,
whichever is applicable.
5.6 The successful bidder will make his own arrangement for lifting, loading and transporting of the material
from the factory premises and he will not claim any sort of assistance or charges whatsoever from the
company.
5.7 In case seller is unable to deliver the goods within the specified time due to unforeseen administrative
reasons, then the seller shall grant suitable extension of delivery period to the Buyer without any penalties
till the expiry of such extended period. In such eventuality, however, the Buyer shall not be entitled to claim
any compensation for such delay.
5.8 If the goods sold or portion thereof remain un-cleared in the premises of the seller beyond the stipulated
period, the sales proceeds of the un-lifted assets shall be forfeited, and the un-lifted portion of the assets may
be removed at the risk and cost of the buyer.
5.9 While taking delivery of the material, it will be at the discretion of the seller or its authorized representative
to direct the manner/order in which the materials or lots shall be removed. No segregation of the items of
any lot is allowed inside the seller’s premises.
5.10Breaking/cutting may be allowed to the extent necessary for facilitating of loading into vehicles as per the
discretion of the seller. No gas cutting equipment’s or any equipment, which are likely to cause damage, will
be allowed in the premises. Only safe oxy-acetylene gas cutting equipment will be allowed with permission
of seller. The decision of the seller or his authorized representative shall be final in this regard.
5.11The buyer shall arrange for all tools and tackles, forklifts and hoists or cranes or labour at their own
expenses.

5.12It will be successful purchaser’s responsibility to weigh the empty Truck at the certified weigh bridge of
Sandvik Asia Pvt. Ltd. and produce the weight certificate so that the weight of the empty truck will be
deducted from the weight of the fully loaded truck.
5.13Should the original purchaser wish to take delivery of the surplus material through a representative, he
must authorize the latter by a letter of authority or continuing authority, which shall be presented to the
seller. The seller may in his entire discretion decline to act on any such authority and it shall be for the
purchaser to satisfy the seller that the authority is genuine. Delivery to such authorized person will
constitute valid delivery and no claim shall lie against the seller on any account thereafter.
5.14Once the goods/materials are taken out of the factory gate, purchaser will be solely responsible for all sorts
of claims like shortage, missing parts, damage, incident, accident, loss of material etc.
5.15Resale/Sale in transit will not be recognized. The purchaser shall not be entitled to resell any lot or part of a
lot while goods are still lying within the premises of the seller and no delivery would be affected by the seller
to any person other than the Purchasers whose names are mentioned in the Sale order/Delivery order.
5.16Purchaser and his men are subject to the security rule of seller in force while in the seller’s premises. The
purchaser(s), their workmen agents, or representatives shall not commit any nuisance, theft or indulge in
any antisocial activities in the seller’s premises and the purchaser shall be liable for the good conduct, safety,
& discipline of his workmen. In case of any such activity, delivery will be suspended and strict action as per
law will be taken including forfeiture of EMD.
5.17While taking delivery of the material, the Purchasers shall be responsible for any damage that may be done
to premises/fittings of the SELLER in the course of removing the lot(s) purchased by them. The SELLER may
at its option arrange to make good such damages and the purchaser shall pay for the same on demand. If
such payment is not made on demand, the SELLER may forfeit the EMD/Security Deposit or may stop
delivery of the material till payment is made.
5.18SELLER will not at any time be responsible for any injuries caused due to accident within its premises either
to the buyer or his representative/labour etc., and the buyer will make proper arrangements for any claim
arising out of the employment under any status. It is the responsibility of the buyer to provide necessary
safety appliances (like hand gloves/safety shoes etc.) to the labourers, who are engaged for loading the
materials.
5.19If any accident or damage to the property/life etc., arises by reason of any act of negligence/omission/
default or non-compliance with any of the Terms & Conditions or statutory regulations or rules and
regulations applicable within the Seller’s premises, on the part of the Buyer/his representative or employees,
resulting in death or injury to any persons or damages to the property of the SELLER or any third party, then
in such an event the Buyer will have to pay compensation to such person including the employees of the
SELLER for such accident or injury/death or damage caused to their employees or to any of the Seller’s
employees or to others or to the Seller’s property. The Buyer shall in such event, keep the SELLER fully
indemnified from any demand, claims, or proceedings thereof.
5.19In case the whole or any part of the goods sold remained uncleared, after due date as stated in the delivery
schedule, the buyer shall have no claim whatsoever on the goods remaining uncleared and the amount paid
to Sandvik Asia Pvt. Ltd. will stand forfeited at the expiry of the said period. Sandvik Asia Pvt. Ltd. shall have
right to dispose of such goods in any manner they like. The buyer shall have no right whatsoever for any
compensation on this account.
5.20The buyer shall not be entitled to resell any lot or part of a lot while the goods are lying in the premises of
the Sandvik Asia Pvt. Ltd. and no delivery would be affected by the Sandvik Asia Pvt. Ltd. to any person other
than the buyer.
5.21Disposal of scrap is to be done against advance DD from Scheduled Bank / Nationalized Bank / Scheduled
Co-operative Bank Only.

6.0 DISPUTES / ARBITRATION:

6.1 In case of any dispute arising out of or relating to the terms of the sale order the matter shall be referred to
one arbitrator appointed by Sandvik Asia Pvt. Ltd. The arbitrator shall act in accordance with the provisions
of Arbitration and Conciliation Act, 1996. The venue of arbitration shall be Pune.
6.2 An authorized official or any other person appointed by the seller shall decide any dispute arising between
the successful bidder and seller. The decision of the Arbitrator shall be final and binding on both the parties.
6.3 In the event of any dispute with regard to not taking possession/non-availability of inspected Auction
Property etc., and forfeiture of 'EMD', MatexNet will not be held responsible for the loss/forfeiture.

7.0 TERMINATION OF CONTRACT:

7.1 Sandvik Asia Pvt. Ltd. reserves the right to terminate the contract at any time on the following grounds.
a. Unsatisfactory execution or performance of the contract by the Buyer.
b. Improper behavior of the buyer or his employees/agents/representatives or breach of the terms and
conditions of the contract.
c. Non-fulfillment of submission of statutory details, excise, & sales tax compliance before dispatch of
materials.
d. Or for any reason, whatsoever, as may deem fit to Sandvik Asia Pvt. Ltd., without assigning any reason
for what-so-ever nature.

Special Note: Bidders are requested to check the Bid Entry in words & figures before confirming it. Any
wrong bids will lead to forfeiture of Caution/Earnest Money Deposit (CMD/EMD) and said lot will be re-
auctioned immediately and the bidder may be barred from the future bidding, if any.

8.0 FORCE MAJEURE CLAUSE:

Seller shall not be liable for non-performance of any contract either wholly or in part nor for any delay in
performance resulting due to cases beyond seller’s control including fire, strikes, lock-out, closure, dispute
with workmen, uncertain and unstable labor situation, war, riots, civil commotion, pestilence, epidemic,
floods, accidents, damage or requirements of Government force or any circumstances. Should seller so
determine shall be entitled at any time without notice to the buyer to cancel any contract the performance of
which is likely to be delayed by any of the cause aforesaid and in such cases, the buyer shall have no claim
upon the seller of any kind, The provision of this paragraph shall not be limited or abrogated by any other
terms of the contract whether printed or written nor will be provision of this clause abrogate or limit the
effect of any other clause mentioned in these terms and conditions.

Annexure (Safety Guidelines)
A.) ENTRY:

1. Advance intimation to be given to Sandvik Authorized representative / Security with the details of labour
force.
2. Entry only with Photo ID card and after Safety, Security and Medical induction by the Buyer.
3. All the vehicles and equipment under use must have valid government registration documents. Copies of the
same will have to be submitted to Sandvik representative at the time of allowing it inside Sandvik Premises.
4. All the operators / Drivers will have appropriate valid driving license to operate / drive such equipment /
vehicle. Copies of the same will have to be submitted to Sandvik representative at the time of allowing it
inside Sandvik Premises.
3. Re-induction and medical if there is 3-month break.
4. Entry only with safety shoe & helmet as per Sandvik Asia standard.
5. All electrical tools, welding m/c, lifting tools & tackles allowed entry and usage only after certification by
SANDVIK ASIA.
6. Revalidation required every month for electrical equipment & tools.
7. Working Hours – Any person entering inside Factory / Sandvik premises can work maximum for 9 Hours (8
Hours working + 1 Lunch + Break Fast + Safety Briefing)
8. Workmen will not be allowed to enter site unless Buyer’s responsible Supervisor is present at the time of
entry at the site gate.

B.) WORK:

1. Additional Security personnel could be deployed at the Buyers cost. This will be done with the prior approval
of Sandvik Asia.
2. Use of Personal Protective Equipment (PPE) as per Sandvik Asia standard, Make & Specification compulsory.
3. All jobs to start only after valid work permit, authorized by designated Area In–Charge.
4. Daily Tool-Box talk to every worker before start of job.
5. Work above 2 Mtr with whole body harness, duly anchored with proper scaffolding and Platforms.
6. Every Mobile vehicle / equipment will have the reverse horn fixed and in operating condition all the time
during the entire duration of the activity inside Sandvik Premises.
7. All jobs, in particular High Risk Jobs should be done with adequate Supervision.
8. High risk/high hazard jobs should have 100% supervision from both contractor and Sandvik Asia.
9. No High Risk / high hazard jobs after sunset.
10. Start High risk/high hazard jobs only after risk assessment and approval by site safety officer
11. No walking on beams is permitted. Only crawling on beams is allowed.
12. Use Lifeline and double hook safety belt, fall arrestor etc. as per risk assessment /THA.
13. Only metal railing (not rope) around openings on floor/ground, trenches, building edges.
14. Only Oxy-acetylene cutting allowed.
15. Appropriate fire extinguisher in working condition need to be kept at the workplace.
16. Water tanker filled with water needs to be always kept at site during the work.

C.) ELECTRICAL:

1. Portable electrical tools should be 230 V or less.


2. All Electrical jobs to be done by only Electrician with valid License. Unskilled job excluded.
3. Only DC Welding sets allowed into the site. AC welding set is not permitted entry.
4. ELCB (RCCB)’s for all electrical tools and equipment including welding set, hand tools etc.
5. ELCB should be tested before every start with Test P.B & with the Tester every month.
6. Rotary/moving parts of all equipment should have safety guards.
7. All construction power cable to be laid above ground and not on the ground.

D.) TOOLS, TACKLES & AIDS ETC:

1. All lifting tools & tackles, cranes etc. should be have valid test certificate. This will needed before starting of
the Jobs.
2. Ladders –securing /anchoring facility, all rungs in place. Bamboo ladders would not be allowed.
3. Daily check of Safety belts, Scaffolding, Electrical Tools, etc. must be done.
4. All scaffolding must be metallic. Scaffolding erection work allowed by only competent person. Bamboo
would not be allowed.
5. Fire extinguishers near Gas cylinders, DG sets etc.
6. Gas cylinders upright and fastened.
7. Contractor should keep First Aid box at site office.

E.) PERSONNEL:

1. Supervisor – minimum 2 year experience. Entry only after evaluation and approval.
2. Competent Safety officer(s) from day one.
3. High skill (e.g. welder) workman should have valid certificate and pass test before start of work.
4. All Statutory regulations of the State should be strictly followed including Labour license, Migratory labour
license, ESI, P.F, Muster roll, min. Wage, payment before 7th of every month.
5. No smoking, No intake of alcohol inside the site. Person under influence of alcohol will not be allowed to work
at Site.
6. Emergency vehicle with driver during all the time when any workmen at site.
7. Drivers of vehicles, cranes, Hydra etc. should have valid heavy-duty License.
8. Compliance to Access control procedure.

F.) SYSTEM:

1. All the mandatory tests &checks should be duly documented.


2. Updated inventory of all electrical tools of all electrical tools, welding sets & lifting tools.
3. Immediate information to safety Officer on any accident. Written report within an hour.
4. All vehicle movement as per the standard (PUC, fitness, speed limit, hand brake, helper etc.).
5. Violation of any rule liable for penalty including suspension of work /contract.
6. Safety review &action meeting at-least every fortnight.
