DECLARATION CUM INDEMNITY

This Declaration cum Indemnity is issued by ________________________________, having

our office at

(hereinafter referred to as “CLIENT”), in favour of National Bulk Handling Corporation
Private Limited, having its registered office at 203, Ackruti Star, MIDC Central Road,
Andheri East Mumbai - 400093 (hereinafter referred to as “NBHC”).

We agree, assure and undertake as follows:-

1) WHEREAS, the CLIENT is availing the services offered by NBHC in respect of

warehousing of imported goods;
2) WHEREAS, as per the provisions contained under Section 46 of the Customs Act,
1962 (hereinafter referred to as the “said Act”), NBHC has filed a Bill of Entry for
warehousing in respect of goods:

3) AND WHEREAS, NBHC has executed a Bond as per the provisions contained under
Section 59(1) of the said Act for an amount equal to the thrice the amount of duty
assessed on goods for which a Bill of Entry for warehousing has been presented under
the said Section 46 of the said Act.

4) In view of the said Bond, the “CLIENT” hereby agrees to irrevocably assure and
undertake to pay on demand to NBHC as an admitted liability without demur or
dispute, the full amount of duty chargeable on account of such goods together with
their interest, fine and penalties thereon, limited to Rs. ________________ (Rupees
_________ Crores Only), as maybe due and payable in accordance with the Commented [AJ1]: Amount to be put client basis.

Commissioner of Customs (collectively as “Duty Amount”);

5) It is hereby clarified that this Declaration cum Indemnity does not in any manner
modify the rights of NBHC under any Agreement executed between NBHC and us
(hereinafter referred to as the “said Agreement”). We agree and confirm that our
obligation and undertaking herein shall continue notwithstanding expiry or
termination of the said Agreement.

6) We also agree and confirm that in case of non-payment by us of the Duty Amount
demanded by NBHC under this Declaration cum Indemnity, NBHC shall at its sole
discretion, be entitled to adjust the same against any amounts deposited by us with
NBHC or payable by NBHC to us under any other agreement.
